RE:ClothingSalesContract

Iamwritingtoconfirmouragreementregardingthesaleofclothingitemstoyourpany[Client'spanyName].Thiscontractoutlinesthetermsandconditionsunderwhichwewillsupplytheproducts.

1.ProductDescription:

-Wewillsupplyclothingitemsaspertheagreed-uponspecifications,includingstyle,color,size,andquantity.

-Thedetailedproductdescriptionandspecificationsareincludedintheattachedexhibit[ExhibitA].

2.PriceandPaymentTerms:

-Thepriceforeachclothingitemisasstatedintheattachedexhibit[ExhibitA].

-Paymenttermsare[paymentterms,e.g.,30%advance,70%upondelivery].

-Allpaymentsshallbemadein[currency]tothebankaccountspecifiedbyus.

3.Delivery:

-Wewilldelivertheclothingitemstotheaddressspecifiedbyyou.

-Thedeliverydateforeachorderwillbemutuallyagreedupon.

-Anydelaycausedbyunforeseencircumstancesshallbemunicatedtoyoupromptly.

4.QualityControlandInspection:

-Wewillensurethatallclothingitemsmeettheagreed-uponqualitystandards.

-Youhavetherighttoinspectthedeliveredgoodswithin[numberofdays]fromthedeliverydate.

-Anydefectsornon-pliancewiththeagreedspecificationsshouldbereportedinwritingwithin[numberofdays]ofreceivingthegoods.

5.IntellectualPropertyRights:

-Weguaranteethattheclothingitemssupplieddonotinfringeonanythird-partyintellectualpropertyrights.

-Youshallnotduplicate,reproduce,ormodifytheclothingitemswithoutourwrittenconsent.

6.Termination:

-Eitherpartymayterminatethiscontractbyprovidingwrittennoticetotheotherparty.

-Intheeventoftermination,youshallpayusforallpletedanddeliveredordersuptotheterminationdate.

7.GoverningLawandJurisdiction:

-Thiscontractshallbegovernedbythelawsof[state/country].

-Anydisputesarisingoutoforinconnectionwiththiscontractshallbesubmittedtotheexclusivejurisdictionofthecourtsof[state/country].
