1．Notarization

2．PrincipalClauses

（一）PartyAisresponsibleforsellingthelegitimatecommoditiesofPartyBinChina.Priceofcommoditiesrefersto《ImportCommodityQuotationSheet》（theenclosure1）.AllcommoditiesofPartyBsoldinChinathroughPartyAmustbeenclosedwithexplanationinChinese（includingcommoditypackingexplanationandcommodityexplanation）.

（1）PartyBshallchooseauditservicestoverifyitsproductioncapabilitiesandqualitycontrolsystemswhichsuppliedby_________localaffiliateinPartyB"scountryaccordingtorequireofPartyA.PartyBshallpresentgradereportof_________toPartyA.

（2）PartyBconfirmsthatthetotalannualtransactionamountofcommodityunderthisagreementisUSD_________.

（3）PartyBshallputthe《ImportCommodityQuotationSheet》onrecordsattheNotaryOfficebyfaxwhichpresentedtoPartyAandgetreceiptofnotarizationandrecords.PartyBshallpresentthe《ImportCommodityQuotationSheet》intheImportQuotationColumnonwww._________.PartyBshallpresentthecoloredphotoofcommodityviainternettoPartyAandmustindicateSupplierCodeandCommodityCodetogetherwiththephoto.

（4）PartyBshallvisitPartyA"swedsite（http：//www._________）intimeandfindoutthetransactionguide，fillingexplanationofquotationandbusinessannouncement，etc.PartyBshallassistPartyAtosellitsproducts.AllinformationissuedinPartyA"swedsitebyPartyBshallnotbeagainstChineserelevantlawsandregulations.

（5）PartyBshallpublicizethecommoditieswhichbeingsoldthroughPartyAonitsownwebsiteifhehasandCommodityCodemustbeindicatedwhenpublicizes.

（6）IfthecommoditiessoldinChinaofPartyBneedsaleslicensewhichisappliedtoChineserelateddepartments，PartyBmayconsignPartyAtodealwithit.PartyBshallofferdocumentsandsamplesneededandbearrelevantexpenses.

（三）PartyBmayamendcommodityinformation.PartyBpresentsPartyAtheamendmentapplicationonlyafternotarizingandrecordingallcontentsofamendmentattheNotaryOffice.PartyAonlyacceptstheentirecontentsof《ImportCommodityQuotationSheet》andamendmentwhichhavebeenrecordedattheNotaryOfficebyfax.PartyBshallalsopresentthesamecontentstowww._________via.internet.AnyamendmentfromPartyAaboutthecontentspresentedbyPartyBisforbiddenwhenPartyAusesorpublicizestheabovementionedcontents（viz.PartyAonlyusesthenewlycontentsPartyBpresentsandhavebenotarizedandrecordedattheNotaryOffice）.

（四）PartyAagreesPartyBtolinkPartyB"swebsitewithwww._________.

（五）

（1）PartyAshallsellPartyB"scommoditiesaccordingtothedetailsinthe《ImportCommodityQuotationSheet》providedbyPartyBinChina.PartyAshallpresentthe《NCENImportPurchaseSheet》（theenclosure2，forshort《PurchaseSheet》）toPartyBbyfaxastheproofoforderaccordingtothesalesinformationof《ImportCommodityQuotationSheet》.

（2）PartyAshallfaxthe《PurchaseSheet》toPartyBafterputtingitonrecordsattheNotaryOffice.PartyBmustconfirmthereceiptofthe《PurchaseSheet》byfaxwithin24hours.ShallPartyBnotconfirmthereceiptofthe《PurchaseSheet》byfaxwithin48hours，PartyBbreaksthecontract.PartyAwillissue《DefaultAdvice》（theenclosure3）toPartyBanddealwithitaccordingtotheclauseXofthisagreement.

（3）PartyAshallissueanIrrevocableDocumentaryLetterofCreditatsightinfavorofPartyBwith100％invoicevaluewithin7daysafterreceivingthefaxof《PurchaseSheet》whichPartyBconfirmedandwellreceived.ThestatednegotiableamountoftheL/Cis95％valueofsalesinvoicepresentedtoPartyAbyPartyB.

（六）《NCENImportTransactionServiceAgreement》isindivisiblewiththerelevant《ImportCommodityQuotationSheet》andthe《PurchaseSheet》，etc.Thosehavethesamelegaleffect.

（七）PartyAshallhavetheprioritytobetheexclusiveagentofPartyB"scommoditiesinChinaandthetwopartiesnegotiateandsigncontractlater.

3．TransactionDeposit

（1）Toensuretheexecutionofthisagreement，PartyBshallpay4％valueoftheannualtotaltransactionamountofcommodityconfirmedbyPartyBasthedeposit（notlessthanUSD2，000）.ItmeansthatthetotalamountofgoodsinorderswhichcanbeacceptedbyPartyBshallnotexceed25timesofamountofthedepositavailable.Renderwayofthetransactiondeposit：Within5daysaftersigningthisagreementPartyBshallissueaLetterofGuaranteeforDepositPaymenttoPartyAfromabankauthorizedbyPartyAandinfavorofPartyA（L/Gformatislistedintheenclosure4，forshortL/Gforpayment，thisagreementnumbermustbemarkedintheL/G）.Thedepositisvalidtill6monthsafterthevalidityofthisagreement.PartyAshallreturntheL/Gtotheissuingbankforcancellationuponexpiry.AftertheL/GhasbeenconfirmedbyPartyAandbecomeeffective，PartyBpresentsthe《ImportCommodityQuotationSheet》intheImportQuotationColumnonwww._________viainternet.

（2）ShallPartyBfailtodeliveraccordingtothetime，place，varietyorquantitywhicharestipulatedinthe《NCENImportPurchaseSheet》，PartyAhastherighttodeduct4％valueofgoodsindefaultbyfaxfromthebankwhichissuedtheL/G.

（3）Thedepositcanbeusedcircularly.PartyBmayincreaseordecreasethedepositaccordingtothebusinessneeds.

4．DeclarationofAudioVideoInformation

（1）PartyAshallbroadcastPartyB"senterpriseandcommodityaudiovideoinformation（forshortcommodityinformation）in_________onbehalfofPartyBexclusively.

（2）PartyBshallpresentdocumentsanddiskofaudiovideoinformation（AVIformat）to_________whichissubordinateto_________，accordingtotherequirementofImportTransactionInformationBroadcastNotification.

（3）Verifiedby_________，PartyBshallpaythecommodityinformationbroadcastchargeaccordingtoImportTransactionInformationBroadcastNotification.

（4）ShalldocumentsanddiskofaudiovideoinformationwhichPartyBpresentedfailtopassverificationof_within30daysafterthisagreementbeingsigned，PartyBshallpayUSD800toPartyAwithin40daysafterthisagreementbeingsignedasservicechargeofcommodityinformationbroadcastandrepresentthedocumentsandinformationto___afteramendingaccordingly.

（5）ShalldocumentsanddiskofaudiovideoinformationwhichPartyBpresentedfailtopassverificationof__within90daysafterthisagreementbeingsigned，PartyAhastherighttoterminatethisagreementunilaterallyandservicechargeofcommodityinformationbroadcastwillnotbereturnedtoPartyB.

5．ProductLiabilityClauses

（1）PartyBshallconsignPartyAtoapplyProductLiabilityInsuranceforallofitsproductssoldinChinathroughPartyA.

（2）PartyBshallprovidesamplesforinspectionto_________StandardsTechnicalServicesCo.，Ltd.（forshort：_________）whichissubordinatetoSwitzerland_________Group（thequantityshallmeettheinspectiondemandsof_________）.PartyBshallassign_________tosealthesamplesforkeepingforhalfayearandprovideonceagainwhenexpires（PartyBbearsthecorrespondingcharges）.Whendisputesaboutqualitytakeplace，bothpartiesagreetoinspectthesealedsamplesandacceptinspectionresultasqualitystandard.InspectionchargeswillbepaidforfirstinadvancebyPartyAandbornbythepartybeingatfaultfinally.

（3）PartyBshallbearallthelossescausedtoPartyAowingtothequalityproblemsofPartyB"sproducts.PartyAhastheobligationtoprovidePartyBtheclaimdocumentsfromtheChinesebuyer，whichincludesclaimletter，certificateissuedbyChineseinspectioninstituteandotherrelevantdocuments.

6．InspectionandTransaction

（一）PartyBshallconsignitslocal_________toinspectthebatchgoodsaboutvarietyandquantitybeforeloadingeverytime（PartyBbearsinspectioncharges）._________shallissuetheoriginalinspectionreportofwhichcontentsmustbeinaccordancewithdescriptionofvarietyandquantitystipulatedinthe《PurchaseSheet》absolutely.

（二）

（1）Bothpartiesappoint_________asCarrierofthisagreement.Contents（timeandplace，etc.）oftheoriginalB/LissuedbytheCarriershallbeinaccordancewithcontents（timeandplace，etc.）stipulatedinthe《PurchaseSheet》absolutely.ContacttheCarrierasfollows：

（2）BothpartiestakedeliverytimeanddeliveryplacerecordedintheoriginalB/LissuedbytheCarrierasactualdeliverytimeanddeliveryplace.Theactualdeliverytimeshallbewithinthelatestshippingdateofthelastlotstipulatedinthe《PurchaseSheet》.

（3）PartyAshallinformPartyBinwrittenthedeliverytimeanddeliveryplaceafteralteringifthedeliverytimeanddeliveryplacearealteredbecauseofthereasonofPartyAortheCarrier.

（4）Afterthegoodsbeingready，PartyBshallfaxtheinspectionreportissuedby_________toPartyAforconfirmationnotlaterthan12daysbeforethelatestdeliverytimeofeachdelivery.

（5）IfPartyAhasnodisputesaboutthecontentsoftheinspectionreportissuedby_________whichPartyBfaxed，PartyAshouldfaxPartyBthe《ShippingAdvice》（theenclosure5）.PartyBshalldeliverthegoodstotheCarrieraccordingtothestipulationinthe《ShippingAdvice》and《PurchaseSheet》.IfPartyAhasdisputesaboutthecontentsoftheinspectionreport，PartyAshallfaxPartyBthe《DefaultAdvice》anddealwithitaccordingtoclauseXofthisagreement.

（三）PartyBshallpackthecommoditiesunderthe《PurchaseSheet》inpackagessuitableforlongdistanceoceanorinlandtransportation，protectingthecommoditiesagainstmoisture，shock，rustinessandroughhandling.Packingofspecialcommoditiesmaybediscussedbybothpartiesseparately.PartyBshallberesponsibleforanydamagesandlossescausedbytheimproperandpoorpackage.

（四）PartyBshallmarkoneachpackagetheContractNo.，PackageNo.，Measurement，GrossWeight，NetWeight，andmarkssuchas“THISSIDEUP”，“HANDLEWITHCARE”and“KEEPAWAYFROMMOISTURE”，etc.

（五）ThelatestshippingdateofPartyBmustbe20daysafterPartyAissuingtheirrevocabledocumentaryL/Catsightbutwithinthelatestshippingdatestipulatedinthe《PurchaseSheet》.

7．TransactionCharges

PartyBhereofagreestopay5％valueofthetotalamountof《PurchaseSheet》ascommission.PartyAshallissuecommercialinvoiceatsameamounttoPartyB.

8．Payment（clausesintheL/C）

AfterdeliveringgoodstotheCarrieraccordingtothetime，place，varietyandquantitystipulatedinthe《PurchaseSheet》，PartyBmaynegotiatetheL/Cfromtheissuingbankwiththefollowingdocuments，thestatednegotiableamountoftheL/Cis95％valueofsalesinvoicepresentedtoPartyAbyPartyB.：

（1）PartyBshallissuethesalesinvoiceof100％commodityvalue，andindicatethecorresponding《PurchaseSheet》No.ontheupperrightcorneroftheinvoice.Otherwisetheinvoicewillbenon-validandreturnedtoPartyA.

（2）PartyBshallpresentoriginalinspectionreportaboutcommodityvarietyandquantityissuedbyitslocal__，andthecontentsofthereportmustbeinaccordancewithdescriptionofvarietyandquantitystipulatedinthe《PurchaseSheet》absolutely.

（3）Contents（timeandplace，etc）oftheoriginalB/Lissuedby_________shallbeinaccordancewithcontents（timeandplace，etc）stipulatedinthe《PurchaseSheet》absolutely.The《PurchaseSheet》No.mustbeindicatedintheB/L.

（4）WeightlistorpackinglistissuedbyPartyB（ifwoodencaseisused，certificateoffumigationmustbepresentedtoPartyA），andcertificateoforigin.

9．PurchaseofSamples

（一）PurchaseWay

（1）PartyBshallsupplysamplestostoreintheappointedbondedwarehouseaccordingtothe《SamplesConsignmentSheet》（theenclosure6）ofthisagreementandbearthelocalchargessuchasimportclearingcustomscharges，inlandfreightandincidentals，etc.（forshortincidentals：USD240/batch，andmustbepaidtotheaccountappointedbyPartyAbeforesendingthegoods.）PartyBshallfaxtheshippingadviceandimportdocuments（invoice，packinglistandB/Lorairwaybill，etc.）toPartyAaftersendingthegoodseverytime.PartyAhastherighttorefusetodealwiththeimportclearingcustomsifnothavingreceivedthementionedincidentalsaftergoodsarrived.PartyBshallbeartheadditionalexpensesaccordinglybyhimself.PartyAshallpaycorresponding90％valueofthegoodsafteractualselling（accordingtotheimportcustomsdeclarationissuedbyBeijingCustoms）orsendthegoodsbackaccordingtoPartyB"sindication（PartyBbearstherelevantreturncharges）.

（2）PartyAwillsendPartyBthe《ReplenishmentAdvice》（theenclosure7）byfaxwhenthesamplesinstockarelessthan50％ofconfirmedquantity.PartyBshallsendsamplestotheappointedbondedwarehouseaccordingtothe《ReplenishmentAdvice》andbearthelocalchargessuchasimportclearingcustomscharges，inlandfreightandincidentals，etc.

（3）Thissampleparticularlyreferstotheconsignedcommodityassameasthesamplewhichissealedby_________.

（二）Payment：

（1）PartyBmayinquireaboutthedetailsofsampleordersviaPartyA"swebsitewww._________

（2）PartyAshallfaxultimosalessheettoPartyBbeforethe5thofeverymonth.

（3）PartyAwillarrangethepaymentbyT/TtotheaccountappointedbyPartyAaccordingtothetotalamountofthesheetdeduct10％commissionafterPartyBconfirmingandsendPartyBthecommercialinvoicewhichamountis10％valueofthetotalamountofthesheetbypost（PartyAshallmarkthe《NCENImportSampleOrder》No.inthecommercialinvoice）

10．BreachofContractandPenalty

（1）ShallPartyBnotconfirmthereceiptof《PurchaseSheet》byfaxtoPartyAaccordingtothestipulationofclauseII5（2）ofthisagreementinprescribedtime-limit，PartyBbreaksthecontract.

（2）ShallPartyBfailtodeliveraccordingtotime，place，varietyorquantitystipulatedinthe《PurchaseSheet》，thenPartyBbreaksthecontract.Theinspectionreportissuedby_________shallbethestandardofadjudicatingifPartyBfailstodeliveraccordingtovarietyandquantitystipulatedinthe《PurchaseSheet》.TheoriginalB/Lissuedby_shallbethestandardofadjudicatingifPartyBfailstodeliveraccordingtotimeandplacestipulatedinthe《PurchaseSheet》.

（3）ShallPartyBdeliverafterthelatestshippingdatestipulatedinthe《PurchaseSheet》，itisstillregardedasbreachofcontract.IftheChinesebuyerunderthe《PurchaseSheet》doesnotacceptthegoods，PartyBhasnorighttogetanypaymentandshalldealwiththegoodsbyhimself.AlltherelatedexpensesshallbebornbyPartyB.IftheChinesebuyeracceptsthegoods，PartyBcanproportionallygetsomepayment.The4％valueofthegoodsindefaultshallbedeductedaspenaltystill.TheproportionandtimeofthepaymentareatPartyA"soption.

（4）ShallPartyBhavebreachofcontractactionsundertheabove“1.2.3”clauses，PartyAhastherighttoissue《DefaultAdvice》unilaterallytothebankwhichissuetheL/GfortransactiondepositpaymentforPartyBanddeduct4％valueofgoodsof《PurchaseSheet》formthebankaspenaltydirectly.

（5）PartyBshallcompensatePartyAthelossescausedbyPartyB"sfailuretodeliveraccordingtothe《PurchaseSheet》.Notonlythe4％valueofgoodsindefaultshallbedeductedaspenalty，butalsoPartyA"slossesinbusinessprofitshallbecompensatedbyPartyB.

（6）ShalltheChinesebuyerunderthe《PurchaseSheet》refusetoacceptthegoodsorreturnthegoodsbecauseofPartyB"sbreachofcontract，PartyAcouldhelpPartyBtotaketh
