ngineermay,byanyinvoice,alsorecommendanycorrectionormodificationinanypreviousinvoices,whichhavebeenrecommendedforapprovalbyhimandpaidbytheOwner.工程师应审核承包商提交的进度款发票，并在收到发票的两周内通知业主是“审定”、“已认可”或“拒绝”。即使对已经工程师认可、业主已付款的发票，工程师仍可作出更正或修正。f)TheEngineershall,subjecttotheOwner'sapproval,havethepowertoorder,priortoProvisionalAcceptance,“thestop”oftheprogressofoneormorepart(s)oftheWorksifthesearenotinaccordancewiththeContractwithoutanyobligationoftheOwnerforsuchdelaysduethesestoppages.工程师在业主认可的前提下，有权在临时验收前，要求承包商对不符合合同要求分工程命令其停工。g)TheEngineershall,subjecttotheOwner'sapprovalhavethepowertoorder,priortoProvisionalAcceptance,theContractortomakegoodanypartoftheWorksnotinaccordancewiththeContract.工程师在业主认可的前提下，有权在临时验收前，要求承包商对不符合合同要求的部分工程进行完善。h)TheEngineershall,subjecttotheOwner'sapprovalduringtheprogressofWorks,havethepowertoordertheremovalfromtheSiteofanymaterial,whichisnotinaccordancewiththeContractandishinderingtheoverallprogressoftheWorks.工程师在业主认可的前提下，有权在工程进展的过程中，要求承包商对不符合合同要求的材料清除出现场。i)TheEngineershall,subjecttotheOwner'sapproval,duringtheprogressofworks,havethepowertoorderthesubstitutionandproperre-executionofanywork,whichisnotinaccordancewiththeContractatnoextracosttotheOwner,withoutanyobligationoftheOwnerfordelaysduetheseinstructions..工程师在业主认可的前提下，有权在工程进展的过程中，要求承包商对不符合合同要求的工程进行替换或重新施工，并且不得要求业主额外支付费用。j)TheEngineershallhavenoauthoritytorelievetheContractorofanyofhisobligationsunderthisContractnorexceptasexplicitly（除非）providedinthisContract,toorderanyworkinvolvingdelayincompletionoranyextrapaymenttotheContractornortomakeanyvariationstotheworksunlessotherwiseapprovedinwritingbytheOwner.工程师没有权利在合同下减轻承包商的任何责任，或者安排承包商做合同以外的任何影响工程进程和增加业主给承包商费用的工作，如果没有业主的允许，工程师不能在工程进程中作出任何变更。k)TheEngineerdutyistoactingoodfaith,asagoodprofessionalandinaccordancewiththeethicsoftheengineeringprofession.TheEngineershallinparticularexercisehisdiscretionwithinthetermsoftheContractandhavingregardtoallthecircumstances.TheEngineersinstructionanddecisionsubjecttotheOwner’sapproval（依照业主的批准）shallbefinal.工程师有责任保持诚信，和良好的职业道德。工程师应对合同条款具有良好的判断力，并对熟悉了解所有情况。工程师的指令和决定具有最终决定权。TheContractoracknowledgesandagreesthatrevieworapprovaloftheEngineerorOwnerorboth,shallnotrelievetheContractorformhisperformanceofhisobligationsandresponsibilitiesunderthisContractandtheContractorshallremainsolelyresponsiblefortheContractperformancetotheOwner.工程师的审核和业主的认可将不减免承包商履行合同下的任何责任，承包商应对业主独自承担履行合同的责任。ThePartiesacknowledgeandagreethattheEngineermayappointasuitablyqualifiedpersontoperformthetasksanddutiesofandtoactastheEngineer'srepresentativebynotifyingthePartiesinwritingofthisperson'sidentity.TheEngineer'srepresentativewillrepresenttheEngineerinallitsrelationshipsanddealingswiththePartiesunderthisContract.双方知道并认可的工程师可书面指派另一个合格的人作为工程师代表，代表工程师履行任务和义务。工程师代表可代表工程处理本合同项下与之相关的一切事务。Article6:Sub-contractorsandSub-suppliers分承包商和供货商a)ForthepurposeofexecutingthisContract,theContractormayprocureequipmentand/orservicesfromSub-contractorsand/orSub-supplierswhoareapprovedbytheOwner.为履行本合同，承包商可从分供货商和/或分承包商那里采购设备和/或服务，这些分供货商和承包商需得到业主的批准。b)TheContractorshallinformtheOwnerofhischoicebeforeplacingorder(s).However,incaseofanychangerequestedbytheContractorduringexecutionoftheContractsameshallbemutuallydiscussedandwillbesubjecttotheOwner'sapproval.承包商在定下分供货商和/或分承包商之前，应该告知业主要选择人员。在施工期间，承包商若要作更改，需事先跟业主讨论并经业主批准。c)TheContractormayrequireandproposetouseadditionalSub-contractorsorSub-suppliersfortheWorktothosenominated,inwhichcasehemustfirstobtaintheapprovalinwritingoftheOwnerfortheuseofsuchSub-contractorsorSub-suppliers.如果承包商要选择上述经认可的分包商外的其它分包商，应书面通知业主并获得业主的书面批准后才能使用其它分包商。d)TheContractorshallnotbeentitledtochangetheapprovedSub-contractorsorSub-suppliersexceptwiththeOwner'spriorwrittenconsent.没有业主书面批准承包商不得更换分承包商或分供货商。e)TheContractormustsatisfyhimselfandbeentirelyresponsibleastoquality,performance,timeofdeliveryandcompletionofallcomponents,construction,orerectionworkswhetherofhisownexecutionorofhisSub-contractorsorSub-suppliers.承包商必须对他自己以及他的分承包商或分供货商所提供的设备质量，性能，交货日期，和部件的完整性，施工和安装工程及服务负责。f)TheContractorshallensurethatallitsSub-contractorsandSub-supplierscomplywiththerequirementsofthisContract.Further,theContractorshallincludetherelevantArticlesofthisContractinallsub-contractsforworksinexcessofUSDollarsonehundredthousandUS$100,000orequivalentinSaudiArabianforworks.承包商应确保其分承包商和供货商遵守本合同的要求。另外应根据本合同的相关条款用当地（Riyals）的分包商的工作量应大于或等于100,000美元。g)Local(SaudiArabia)Manufacture,SuppliesandWorks:Locallymanufacturedequipment,Sub-contractorsandSub-suppliersareacceptableprovidedthatthematerialsusedandworkmanshipareaccordingtointernationalstandards,GoodIndustryPracticeandinaccordancewithallSpecificationsandConditionsstipulatedinthisContract.HowevertheContractorshallremainsolelyresponsibleforalltheworkscarriedoutbylocalSub-contractorsandSub-suppliersincludinginrespecttothecivilanderectionworks.沙特国内制造、供货及工作：沙特国内制造的设备，分承包商及分供货商应该严格按照国际标准及其他规范及合同中所规定的条款。不过承包商应对沙特国内分承包商和分供货商包括土建及安装工程的所有工作负全部责任。h)TheContractorshall,inhiscontract/purchaseordertoSub-contractors/Sub-suppliersincluderelevantclausestoenableOwnerprocuresparepartsdirectlyfromthesevendors.TofacilitateOwnerenterintodirectcommunicationandprocurementofsuchsparepartsfromthesesub-contractors/sub-suppliers,Contractorshallprovidelistofnames,contactaddressesetctotheOwner.在承包商和他选定的分包商或分供货商签定的合同中应该包括相关条款，以便于他们的备件直接提供给业主。便于业主直接跟分包商和分供货商联系得到备件的相关资料，承包商应向业主提供分承包商/分供货商的名字，地址和联系方式。Article7:LawtoGovern适用法律ThisContractandtheperformanceoftheWorksshallbegovernedbyandinterpretedinaccordancewiththeLawsofEngland.本合同和履行本合同应遵守和依据英国法规。Article8:ContractPrice合同价格TheTotalContractPriceisalumpsumfixedpricewithoutprovisionsfortherecoveryofanypricevariation.TheTotalContractPriceincludesallcostsofperformingtheWorksincludingalloverheads,costs,profitsandalltaxies,leviesandchargesimposedbyanyGovernmentalAuthorities.合同总价是固定的，不会有增加和变动。合同总价包含执行工程的所有管理费、花销、利润及政府机构征收的所有税金。TotalContractPriceis:USD1,000.(UnitedStatesDollarsOneHundredandSeventyMilliononly).合同总价是USD1,000。ContractPricehastwocomponentsnamely:合同价格由两部分组成，即：•CommittedPayment:USD1,000主体付款：USD1,000•PerformanceBonus:USD1,000(Article10.5)质保金（条款10.5）：USD1,000TotalContractPriceisalumpsumfixedpriceandisnotsubjecttoanyescalationforwhateverreasonduringthewholeperiodofexecutingthisContract(includingtheDefectsLiabilityPeriod).合同总价是固定的，在整个合同执行期间不能有任何增加（包括缺陷责任期）。TheitemisedpricelistshallbeasperAnnex2.MeasurementforPaymentand“IssuanceofCertificates”shallbeasAppendix2-1ofAnnex2.详细的价格清单参照附件2。付款方式和证件参照附件2的子附件2-1。TheContractPricemayonlybeadjustedbyContractVariationsagreedandsignedbythePartiesinaccordancewithArticle9orinaccordancewithanyothertermofthisContractexpresslyallowingforanadjustmenttotheContractPrice.合同价格只可能根据条款9、双方同意并签订变更协议时变更。Article9:Variation变更9.1RequestforContractVariations:合同变更要求TheOwnermayatanytime,bywrittennoticetotheContractortitled“RequestforContractVariation”,requestvariationstoorwithintheScopeofWorksorservicescalledforunderthisContract,includingincreasesordecreasesinthequantityoftheWorksorchangesinthecharacter,quality,kindorperformanceofanypartoftheWorks.TheContractormay,bywrittennoticetotheOwner,titled“RequestforContractVariation”requestvariationssubjecttotheOwner’sapprovalwhichtheOwnermaygrantorrefusetograntinitssolediscretion.业主可以在任何时候，书面通知承包商，要求对合同下的工程范围和服务进行变更，包括增加或减少工作量或变更工作的性质、质量、类别或任何部分的性能。承包商可以书面通知业主要求对合同进行变更，但要得到业主的认可。9.2ProceduresforContractVariations:合同变更程序a)Withintwo(2)weeksofreceiptoftheOwner'swrittenrequestinvolvingavariationtothescopeofworkorservicesunderthisContract,theContractorshallsubmittotheOwneraproposalforreviewanduseinpreparationofaContractVariations.Thisproposalmustincludeacompletedescriptionofthevariationworktobeperformed,thescheduleofitsexecutionandtheconsequencesofOwner'srequestintermsoftheContractPrice,theTimeSchedule,guaranteesandothereffects,ifany.在接到业主要求对合同变更的书面通知2周内，承包商应提交给业主一份意见，用于准备合同变更协议，如果变更涉及到价格、进度计划、担保及其他事项应详细说明。b)UponreceiptoftheContractor'sproposaltheOwnerwillreviewtheContractor'sproposalandmayconsultwiththeContractororEngineertoresolveanyquestions,whichmayresult.收到承包商的方案后，业主应审核此方案，并与承包商或工程师协商、解决可能引起的问题。c)UponreachingamutualagreementwiththeContractor,theOwnershallissueasignedformalContractVariation,whichshallreflecttheagreement,totheContractorforsignaturebythePartiesandimplementation.TheprovisionsofthisContractshallapplytoallformalContractVariations.一旦达成协议，业主起草一份正式的合同变更协议，并交给承包商以供签字和执行，本合同条款适用于所有正式变更协议。d)TheContractorshallnotproceedwithanyvariationfromtheContractscopeofworkorservices,unlessauthorizedandapprovedbytheOwnerunderaformalContractVariationexceptinanemergencyasdeclaredtotheContractorbytheOwnerinwriting,inwhichcasetheContractorshallcarryoutanyvariationworkontheOwner’sRepresentative’sverbalinstructionpendingthereceiptoftherelevantformalContractVariation,whichshallbeprovidedassoonasreasonablypracticable.除非得到业主的授权和认可，并签订正式的合同变更协议，否则承包商不执行合同范围之外的任何变更。Article10:-TermsofPayment付款条款Thepaymentsunderthecontractshallbemadeasdescribedhereunder:本合同的付款条款如下：10.1Down-payment预付款USD1000(UnitedStatesDollarsTwentyEightMillionandFiveHundredSixtyThousandOnly)i.eSeventeenpercent(17%)oftheTotalContractPriceofUSD1000(notincludingtheUSD1,000performancebonusprovidedforinArticle10.5),shallbepaidasdownpaymentbymeansofabanktransferagainstreceiptbytheOwnerofContractor’sinvoiceandtherelevantDown-paymentBankGuaranteeasperArticle11.1.预付款USD1000，占合同价（除去质保金的价格）的17%，在收到承包商的发票和条款11.1所述的预付看保函后支付。FirstIssuedrawingshallmeandrawingswhichmaybeincompleteasregardscertaindetailedinformation,butwhicharefinalinrespectoftheitemsmentionedhereunder,andmaythereforebeusedforstartingtheplanningofcivildesign.第一次签发的工艺图纸意指信息不确定，但以下提到子项需是最终的，这关系到按计划启动土建工作的设计。Maindimensionsofbuildings建筑的主要尺寸•Locationofmachineryandequipmentwithcorrespondingloads机器和设备的相应位置•FloorLoads,openingandrecesses地面负载、开口和凹槽•Referencenumbersforeachmachineforlegend.图例中每个设备的参考号•Lessessentialdetailssuchasfoundationsforsmallmachineryandsmalldrivestationscanstillbepending,buttheirestimatedsizes,locationandloadsareshown.对不确定的、但已预算尺寸和位置的小机器、驱动装置不用太详细10.2.2PROGRESSIVEPAYMENT(PART1)进度款（第1部分）USD1000(UnitedStatesDollarsFiftyOneMillionSixHundredThousandOnly)beingSixtypercent(60%)ofvalueofDeliveries,shallbepaidasprogress
