教学目标:第二章交易磋商
一、询价(inquiry)又称询盘,是指询问交易条件的邮件。一般情况下,询盘由进口商向出口商发出。询盘分为具体询盘和普通询盘。具体询盘涉及具体商品名称、型号、款式、数量、价格、付款方式、交货期等交易细节。普通询盘只表达交易意向,不涉及采购具体那款商品,也不涉及具体商品数量。询盘属于一般书信,不产生法律效力,即对任何一方都不产生权利或义务。买卖双方均不受询盘内容约束。§1.业务知识——询价、报价、还价、接受的概念及其法律效力
一、询价(inquiry)§1.业务知识——询价、报价、还二、报价(offer)1.报价的构成要件报价又叫做要约或实盘。报价和实盘是外贸业内的叫法,要约是法律用语。报价具有严格的法定含义。根据《联合国销售合同公约》(以下简称《公约》)和《中华人民共和国合同法》,要约(报价)是希望和他人订立合同的意思表示。该意思表示必须满足两个条件:一是内容具体确定,二是表明经受要约人承诺(接受),要约人(报价方)即受该意思表示约束。简言之,报价有两个构成要件:(一)表明交易条件;(二)有订立合同意图。有订立合同意图——表明在对方接受报价时,报价方即刻受该报价约束。第二章交易磋商修改版课件1.关于交易条件:《公约》规定,交易条件至少应该包括商品名称、数量和价格,否则不构成报价。在实际业务中,交易条件除了商品名称、数量和价格外,还常常包括包装情况、商品规格、商品质量、交货期限、付款方式、贸易术语、运输方式等内容。2.关于订立合同意图:下列情形之一,表明报价方有订立合同意图:(一)报价函中出现“报价”(offer/quotation)、“实盘”(firm)或“不可撤销”(irrevocable)字样的;(二)报价函表明报价有效期的;(三)报价函有其他文字表示,使受报价方有理由认为报价方有订立合同意图的;(四)报价方做出某种行为或依据双方交易习惯,使受报价方有理由认为报价方有订立合同意图的。出口商或进口商都可以向对方发出报价。报价可以采用口头形式或者书面形式,但外贸报价一般都采用书面形式。1.关于交易条件:2.报价的生效、撤回、撤销与失效(1)生效:报价送达受报价方时生效。(2)撤回:报价在生效之前可以撤回,但撤回通知必须在报价送达受报价方之前或同时送达受报价方,被撤回的报价不生效。报价生效后可以撤销,但下列报价除外:(一)报价方确定了承诺期限(即报价有效期)或者以其他形式明示报价不可撤销;(二)受报价方有理由认为报价是不可撤销的,并已经为履行合同作了准备工作。(3)撤销如要撤销报价,应向受报价方发出撤销通知,且撤销通知必须在受报价方发出接受通知(承诺)之前送达受报价方。(4)失效:被撤销的报价从被撤销时起失效。有下列情形之一的,报价失效:
(一)拒绝报价的通知到达报价人;
(二)报价人依法撤销报价;
(三)承诺期限届满,受报价人未作出承诺;
(四)受报价人对报价的内容作出实质性变更,如变更价格、数量、包装等。2.报价的生效、撤回、撤销与失效3.还价(Counter-offer)受报价方不接受报价的全部或部分条件,并且提出自己的条件,称还价。如果还价函符合报价构成要件,则构成报价。还价等同于拒绝接受报价,并且提出新报价(反报价)。还价函送达原报价方时,原报价失效,新报价(即还价)生效。3.还价(Counter-offer)三、虚盘(Non-FirmOffer)在外贸实践中,还有另外一种叫做虚盘的“报价”。所谓虚盘,是指不满足报价两大要件的“报价”。例如给对方寄送价目表,产品目录,只报个价格而没有数量等。虚盘不是报价,而是报价邀请,即邀请对方报价。虚盘对报价方没有约束力。三、虚盘(Non-FirmOffer)四、接受(Acceptance)接受又称承诺或受盘,是指受报价方表明同意接受报价的意思表示。该意思表示由受报价方以接受通知的方式通知报价方。在报价生效期间,接受通知(受盘)送达报价方时,合同成立;报价内容即为合同内容,从合同成立时起,双方均受报价内容的约束。四、接受(Acceptance)五、拒绝(Decline/Refusal/Denying)拒绝是指不接受报价,下列情形属于拒绝:(一)表明拒绝报价全部条件的;(二)表明拒绝报价部分实质性条件的,如不接受价格、数量、装运期限等;(三)受报价方在报价生效期间不发出接受通知的。被拒绝的报价从拒绝通知送达报价方时失效。五、拒绝(Decline/Refusal/Denying)Case1——普通询盘
