ytotheextentitisdocumentedbydatasubstantiatingthattheweatherconditions(i)wereunusuallyseverefortheAberdeenareaduringtheperiodoftimeinquestion,(ii)unusuallyseveretobedefinedasoccurrencesofinexcessof1.50inchesofprecipitationfor2ormoreconsecutivedays,and/orprecipitationinexcessof2.00inchesofprecipitationfor1ormoreconsecutivedays,and/orprecipitationinexcessof1.00inchesfor3ormoreconsecutivedays,asmeasuredatHoquiam’sBowermanAirport,(iii)couldnothavebeenreasonablyanticipatedand(iiii)hadanadverseeffectonthescheduledperformanceoftheWork.13.1如果恶劣的天气条件或其他不可抗力事件是要求延长合同工期的依据,这种要求应仅在有数据证明天气条件(i)在有关时间段内对阿伯丁地区异常严重的情况下被允许,(ii)异常严重是指发生超过1.50英寸的降水连续2天或更多,和/或超过2.00英寸的降水连续1天或更多,和/或超过1.00英寸的降水连续3天或更多,如在霍奎姆的鲍尔曼机场测量,(iii)不能合理预期和(iiii)对工程的预定实施有不利影响。13.2AnextensionoftheContractTimesshallbeallowedonlytotheextentthatsuchdelaywasnotcausedbyanyfaultornegligenceoftheContractor,Subcontractors,anyonedirectlyorindirectlyemployedbyanyofthemorforwhoseactsanyofthemmaybeliable.13.2只有在这种延误不是由承包商、分包商、他们中任何一方直接或间接雇用的任何人或他们中任何一方可能对其行为负责的任何过失或疏忽造成的情况下,才应允许延长合同工期。13.3IftheWorkisstoppedorsuspendedbyorderofanycourtorgovernmentalauthority,withinseven(7)daysafterreceiptofnoticethatsuchWorkstoppageorsuspensionisremoved,theContractorshallcompletetheWorkasexpeditiouslyasreasonablypossible.Intheeventofsuchstoppageorsuspension,theContractorshallbeentitledtoanextensionintheContractTimesequaltothelengthofthedelay(thelengthofthestoppageorsuspensionplustheseven(7)orfewerdaysafternoticewithinwhichtheContractorrecommencestheWork)plusanequitableincreaseintheContractor’sFee.13.3如果工程因任何法院或政府当局的命令而停止或暂停,在收到取消这种工程停顿或暂停的通知后七(7)天内,承包方应在合理范围内尽快完成工程。在这种停工或暂停的情况下,承包方应有权延长合同工期,相当于延误的期间(停工或暂停的期间加上通知后的七(7)天或更少的时间,承包方重新开始工程),加上承包方费用的合理增加。14.Contractor’sPaymentObligations.14.承包商的付款义务TheContractorshallpayallofitsobligationsarisingoutoforinconnectionwiththeWorkinatimelymanner.UponreasonableevidencethatoneormoreSubcontractorshavenotbeenorwillnotbepaid,theOwnermaypayanyoftheContractorspaymentobligationsdirectlytotheclaimantorbymultiplepayeechecktotheContractorandtheclaimantandpartiesininterveningtiers,ifany,anddeducttheamountofsuchpaymentfromamountsdueortobecomeduetotheContractor.UpontheOwnerswrittenrequest,theContractorshallfurnishtotheOwnerallinformationrequiredtofacilitatesuchdirectormultiplepayeepayments,includingwithoutlimitationacompletelistingofoutstandingamountsowedtoallSubcontractors.承包商应及时支付由工程引起的或与工程有关的所有债务。如果有合理的证据表明一个或多个分包商没有或不会得到付款,业主可以将承包商的任何付款债务直接支付给索赔人,或通过多个收款人的支票支付给承包商和索赔人以及中间层的各方(如有),并从应付给或将应付给承包商的款项中扣除这种付款的数额。根据业主的书面要求,承包商应向业主提供所有必要的信息,以促进这种直接或多个收款人的付款,包括但不限于欠所有分包商的未付款项的完整清单。15.Liens.15.留置权TheContractorshallkeeptheProjectandProjectpropertyfreeandclearofallconstructionliensarisingoutoftheWork.IfanyliensarisingoutoftheWorkarefiledbyanypersonorentity,includingwithoutlimitationanySubcontractor,theContractorshall,atitscostandwithinten(10)daysafterdemandfromtheOwner,satisfysaidlienorpostandperfectabondunderapplicablelawsoastoremovethelienfromtheProjectandProjectproperty.Theabovenotwithstanding,nothinghereinshallprecludeordepriveContractoroftherighttofileandmaintainalienontheProjectorProjectpropertyintheeventofnon-paymentbyOwner.承包商应保持项目和项目财产不存在因工程而产生的所有建筑留置权。如果任何个人或实体,包括但不限于任何分包商,提出任何工程留置权,承包商应在业主要求后的十(10)天内,以其价款清偿上述留置权或交易账目张贴和完善债券,以消除项目和项目财产的留置权。尽管有上述规定,但在业主未付款的情况下,本条款不应排除或剥夺承包商对项目或项目财产提出和维持留置权的权利。16.Warranty.16.保修承诺16.1TheContractorwarrantstotheOwnerthatthematerialsandequipmentfurnishedunderthisAgreementwillbe(a)newandofgoodquality;(b)freefromdefectsinmaterialsandworkmanship,unlessotherwiseapprovedinwritinginadvancebytheOwner,and(c)thattheWorkwillbeperformedinagoodandworkmanlikemannerandinaccordancewiththePlansandallapplicablecodes,lawsandstandards.16.1承包商向业主保证,根据本协议提供的材料和设备将是(a)新的和高质量的;(b)没有材料和工艺上的缺陷,除非事先得到业主的书面批准,以及(c)工程将以良好和精湛的方式进行,并符合计划和所有适用规范、法律和标准。TheContractorshallcollectandsubmittotheOwner,uponMechanicalCompletionoftheWork,allwarrantiesfromSubcontractorssupplyingmaterials,equipmentorcomponentsincorporatedintotheProject,andtheContractorherebyassignstotheOwneralloftheContractor’srightsundersuchwarranties.TheContractoragreesthatsuchwarrantiesfromthoseSubcontractorsreferencedinExhibitFshallcomplywiththerequirementssetoutinExhibitF.承包商应在工程机械完工收集并向业主提交材料、设备或部件的分包商对项目的所有保证,并且承包商在此将承包商在这些保证下的所有权利转让给业主。承包商同意,附件F中提到的那些分包商的这种保证应符合附件F中的要求。16.2TheContractorwillrecommendtoOwnerallprocessandconstructionimprovementsthatitbelievesingoodfaithwouldoptimizetheProjectconstructionandoperations,providedthatContractor’sliabilityforbreachesofsuchwarrantyshallbelimitedtoinstancesofgrossnegligenceorwillfulmisconduct.16.2承包商将向业主推荐其真诚地认为可以优化项目建设和运营的所有工艺和施工改进措施,但承包商对违反这种保证的责任应限于严重疏忽或故意不当行为的情况。16.3Thefollowingshallgovernthedurationsofthewarrantiesdescribedabove.ThebasewarrantyperiodwillcommencewhenMechanicalCompletionhasbeenachievedandwillcontinueforthelesserof(i)twelve(12)monthsfromtheapplicableGuaranteedMechanicalCompletionDate;or18monthsaftertheapplicableFinalCompletionDate(“BaseWarrantyPeriod”).WarrantyforanyrepairsorreplacementsshallcommenceonthedatetherepairorreplacementiscompletedandcontinueuntilthelateroftheexpirationoftheBaseWarrantyPeriodorsix(6)monthsfromthedateofcompletionoftherepairorreplacementandshallnotexceedamaximumofthirty(30)monthsfromtheMechanicalCompletionDate(the“RepairWarrantyPeriod”)(theBaseWarrantyPeriodplustheRepairWarrantyPeriodarecollectivelyreferredtoasthe“WarrantyPeriod”).Contractorshall,asmitigationofthedamagessufferedbytheOwner,atContractor’sowncostandexpense(includingthecostoflaborandequipment)promptlyrepairorreplacewithmaterialsofnewandgoodqualityanyWorkormaterialswhichfailtocomplywiththewarrantyduringtheWarrantyPeriod.16.3上述保证的期限应遵循以下规定。基本保证期将从实现机械竣工时开始,并将持续到(i)从适用的保证机械完成日期开始的十二(12)个月;或适用的最终完成日期之后的18个月("基本保证期"),以较低者为准。任何修理或更换的保证应从修理或更换完成之日开始,并持续到基本保证期届满或从修理或更换完成之日开始的六(6)个月(以较晚者为准),并且不应超过从机械完成日期开始的最多三十(30)个月("修理保证期")(基本保证期加上修理保证期统称为"保证期")。承包商应在保修期内及时修理或用新的、质量好的材料更换任何不符合保修要求的工程或材料,以减轻业主的损失,费用由承包商自行承担(包括劳动力和设备的费用)。17.DefectiveWork.17.瑕疵工程的处理TheWorkshallbesubjecttoobservationandapprovalbytheOwnerandrepresentativesofgovernmentalagencieswithjurisdictionovertheProject.Withoutlimitingtheeffectofthepriorsentence,allportionsorcomponentsoftheWorkdesignedbyregisteredarchitectsorengineersshallalsobesubjecttotheirobservationandapproval.TheContractorshallpromptlycorrect,atnocosttotheOwner,allWorkreasonablyrejectedbytheOwnerandallWorkrejectedbysuchagencyrepresentatives.ShouldtheContractorfailtocorrectrejectedWork,theOwnermaycorrectsuchWorkandtheContractorshallpaytheOwner’sactualcostsofcorrection.本工程应接受业主和对本工程有管辖权的政府机构代表的检测和批准。在不限制前述规定效力的情况下,由注册建筑师或工程师设计的工程的所有部分或组件也应接受他们的检测和批准。承包商应及时纠正被业主合理拒绝的所有工程和被这些机构代表拒绝的所有工程,而不需要业主承担任何费用。如果承包商未能纠正被拒绝的工程,业主可以纠正这些工程,承包商应支付业主的实际纠正费用。18.Cleanup.18.清理场地TheContractoratalltimesshallkeeptheProjectpremisesreasonablyfreefromwaste,debrisandotherexcessmaterialscausedbytheWork,andshallleavethepremisesin“broomclean”conditionattheendofeachdayofWork.UponbothsubstantialandfinalcompletionoftheWork,theContractorshallremoveallwaste,debris,tools,equipmentandexcessmaterialsfromtheProjectsite,shallproperlydisposeofallsuchitems,andshallleavethesiteinaneatandorderlycondition.ShouldtheContractorfailtoperformitsobligationsunderthisSection,theOwnermaydosoattheContractor’sexpense.承包商在任何时候都应保持项目场地合理地无废物、碎片和其他由工程引起的多余材料,并应在每天工程结束时使场地处于"扫帚清洁"状态。在工程基本完成和最终完成时,承包方应从项目现场清除所有废物、碎片、工具、设备和多余的材料,应妥善处理所有这些物品,并应使现场处于整洁有序的状态。如果承包方未能履行本节规定的义务,业主可以这样做,费用由承包方承担。19.SiteAccess.19.场地通行权TheContractorshallallowtheOwneranditsrepresentativesaccessatallreasonabletimestotheProjectsiteandtotheWorkwhereverbeingperformed.InvisitingtheProjectsiteandtheWork,theOwneranditsrepresentativesshallnotunreasonablyinterferewithordelaytheperformanceoftheWork,whetherperformedbytheContractororSubcontractors.承包商应允许业主及其代表在所有合理的时间进入项目现场和正在实施的工程。在查看项目现场和工程时,业主及其代表不应不合理地干扰或拖延工程的进行,无论是由承包商还是分包商进行。20.PermitsandInspections.20.许可证和检验IfrequestedbyOwner,theContractorshallsecureandinitiallypayforthebuildingpermit,plancheckfees,andallotherpermitsandfees,testsandinspectionsbygovernmentalagenciesrequiredandnecessaryfortheperformanceandcompletionoftheWorkbytheContractorandSubcontractors.TheOwnershallreimbursetheContractorforthecostofthebuildingpermit(butthereshallbenoContractorfeeormarkupthereon).TheContractor’sothercostsincurredunderthisSection20shallbereimbursedbytheOwneraspartoftheCostoftheWork,excepttotheextenttestsorinspectionshereunderdisclosedefectiveornonconformingWorkcausedbythefaultornegligencereferencedinSection6.6.如果业主要求,承包商应确保并先行支付建筑许可证、计划检查费,以及承包商和分包商执行和完成工程所需的政府机构的所有其他许可证和费用、检测和检查。业主应向承包商偿付建筑许可证的费用(但不应该有承包商的费用或加价)。承包商根据第20条所产生的其他费用应作为构成价款的一部分由业主偿还,除非根据本条规定的检测或检查发现有缺陷或不符合要求的工程是属于第6.6条中规定的过失或疏忽造成的。20.1TheOwnershallcontractandpayforalltestsandinspectionsoftheWorkbythirdpartiesrequiredandnecessaryfortheperformanceandcompletionoftheWorkbytheContractorandSubcontractors;providedthattheContractorratherthantheOwnershallpayforsuchtestsandinspectionstotheextenttheydisclosedefectiveornonconformingWork.TheContractor’scostsincurredunderthisSection20.1shallbereimbursedaspartoftheCostoftheWork,excepttotheextentthedefectiveornonconformingWorkiscausedbythefaultofnegligencereferencedinSection6.6.TheContractorshallgivetheOwnerreasonablenoticeofthetimeforthetestsandinspectionsreferencedinthisSection业主应与第三方签约并支付承包商和分包商实施和完成工程所需的所有检测和检查费用;但如果这些检测和检查发现有缺陷或不符合要求的工程,则费用由承包商而不是业主支付。承包商根据本第20.1条发生的费用应作为工程费用的一部分予以补偿,但由于第6.6条规定的过失造成的缺陷或不合格的工程除外。承包商应向业主发出合理的通知,说明本第20.1条中规定的检测和检查的时间。20.2ObservationsorapprovalsbytheOwner,architectorothers(includingthirdparties)shallnotrelieveContractorofitssoleresponsibilityforconstructionmeans,methods,techniques,sequences,safetyissues,andprocedures,andforsupervising,coordinatingandperformingalloftheWork.20.2业主、建筑师或其他人(包括第三方)的观察或批准不应解除承包商对施工手段、方法、技术、顺序、安全问题和程序以及对监督、协调和实施所有工程的全部责任。21.As-BuiltDrawings.21.竣工图TheContractorshallmaintainduringtheprogressoftheWorkas-builtdrawingsindicatingthecurrentstatusoftheWorkasactuallyperformed.UponMechanicalCompletionoftheWork,theContractorshallprepareafinalversionofsuchas-builtdra
