PAGE1北京XXXX投资顾问有限公司–PAGE1北京XXXX投资顾问有限公司–XXXXIIM顾问咨询有限公司·战略合作协议StrategicCo-operationAgreement战略合作框架协议ThisStrategicCo-operationalAgreement(the“Agreement”)ismadeandeffectivethe[January2012]本战略合作框架协议（以下简称“协议”）于[XXXXXBETWEEN: XXXXXXXXXXXXXXXXXXXXXXXX(the“PartyA”),acorporationorganizedexistingunderthelawsofthePEOPLE’SREPUBLICOFCHINA,withitsheadofficelocatedat:[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]AND: XXXXXXXXXXXXXXXXXXXXXXXX(the“PartyB”),acorporationorganizedandexistingunderthelawsoftheREPUBLICOFXXXX,withitsheadofficelocatedat:[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]签订协议的一方 [XXXXXXXXXXXXXXXXXXXXX]（以下简称“甲方”），一家依据中华人民共和国法组建并续存的公司，其营业地址位于：XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX另一方： XXXXXXXXXXXXXXXXXXXXX（以下简称“乙方”），一家依据XXXX共和法律组建并续存的公司，其营业地址位于：[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]Inconsiderationofthetermsandcovenantsofthisagreement,andothervaluableconsideration,thepartiesagreeasfollows:鉴于本协议所含之相互约定和承诺，订约双方协议如下：RECUTALSBothpartiesdesiretojointogetherforthepursuitofcommonbusinessgoals.Bothpartieshaveconsideredvariousformsofjointbusinessenterprisesfortheirbusiness.Bothpartiesdesiretoenterintoaco-operationagreementasthemostadvantageousbusinessfortheirmutualpurpose.一．事实陈述合作双方欲联合起来追求共同所需的商业目标。合作双方已经就其经营业务考虑了各种形式的合作方式。合作双方欲就其互利目标达成一项合伙协议作为其最佳商业形式。RESPONSIBILITIES&RELIABILITIESPartyAAccordingtotheinformationofXXXXbusinessaccessstandards,investmentenvironmentandtaxpolicywhichprovidedbyPartyB,PartyAshallrecommendthehigh-qualitycompaniesfromChinaconductbusinessthroughPartyBinXXXX.ProvidethefulldocumentationsofChinesecompaniestoconductbusinessinXXXX.EnsuretheauthenticityandlegalityofallthedocumentationprovidedbytheChinesecompanies.AsauthorizedbyPartyB,PartyAisresponsibletothesigningandinterpretationofdocumentsformutualbusiness.AssistPartyBtoconductthebusinesspromotionsandpublicitiesinChina.PartyBPartyBshallprovideallthefinancialsupportontheirbusinessinChina;itincludesbusinessinitiation,managementandpromotion.AsPartyAshallrefertheChineseCompaniestoPartyB.PartyBshallprovidethesecompaniesconsultantservicesregardinglegal,audition,taxation,financial,riskmanagement,accountingandotherrelatedareas.Inordertoestablishtheintensivenessbusinessco-operation.PartyBshallprovideallthebusinessrelateddocuments,information,legalactsandgovernmentalinformationinXXXXforthereferencePartyA.PartyBshallprovideasystematictrainingcourseonXXXXbusinessesSOP(StandardOperationProcedure),XXXXlaw&TaxregulationsandIIMBillingsystemforPartyAemployees.二．责任与义务甲方XXX方公司开展业务。XXXX确保中国公司文件的真实性、合法性。负责乙方在中国业务各种文件的签署、解释工作。乙方乙方将提供其相关项目的所有开展、管理及推广业务的资金。XXXX的顾问服务工作。分析、乙方公司的官方宣传材料等。XXXX/IIM课程。COMMUNICATIONSTRUCTUREForabetterfuturebusinessdevelopment,PartyAandPartyBshallestablisharegularmeetingscheduleforthebusinessassessment,businessflowandinformationexchange.三．业务沟通交流机制为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。CONVENANTAGAINSTREVEALINGTRADESECRETSNopartyshall,duringthecontinuanceoftheco-operationrelationshiporfor5yearsafteritsterminationbyanymeans,divulgetoanypersonnotamemberofbothfirmsanytradesecretorspecialinformationemployedinorconductivetotheco-operationbusinessandwhichmaycometothebothparty’sknowledgeinthecourseoftheco-operationrelationship,withouttheconsentinwritingoftheotheroroftheotherparty’sheirs,administrators,orassigns.四．保守商业秘密的承诺5其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。DURATIONOFAGREEMENTThetermofthisagreementshallbefor1year,commencingon[DATE],andterminatingon[DATE],unlesssoonerterminatedbymutualconsentofthepartiesorbyoperationoftheprovisionsofthisagreement.五．协议期限本协议期限为[1]年，从[2011xx[2012xxGOVERNINGLAWTheenforcementandinterpretationofthisagreementshallbegovernedbythelawsofTHEPEOPLEREPUBLICOFCHINA.六．法律适用本协议的实施和解释适用于中华人民共和国法律。RESOLUTIONOFDISPUTESAnydisputearisingoutiforinconnectionwiththisAgreement,shallbegovernedandconstruedbylawsofthePEOPLE’SREPUBLICOFCHINAinCHINAINTERNATIONALECONOMICANDTRADEARBITRATIONCOMMISSION,andshallbereferredtoandfinallyresolvedbyChinaBeijingDistrictP.R.C.七．争议的解决方案及管辖国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。PREVAILOFLANGUAGEVERSIONAnycontradictionbetweenChineseandEnglishversion,Chineseversionshallprevail.八．中文及英文版本间的效力所有因中、英文版本引起的矛盾及争议，以中文版本为准。OTHERPROVISIONBothpartieswillbebasedonactualneedsofthebusinessco-operationtosignthespecificbusinesscontractsandexecuteaccordingly.Iftherear
