AlltaxesanddutiesorexportfeesimposedorleviedincountryoforiginshallbefortheaccountofSeller.9.1所有装货港国家征收的税和关税均由卖方承担。9.2AlltaxesanddutiesorimportfeesimposedorleviedoutsidecountryoforiginshallbefortheaccountoftheBuyer.9.2装货港国家以外所有税收和关税均由买方承担。CLAUSE10:LICENSES许可10.1Sellerwillobtainthenecessaryexportlicenseforthecommoditycoveredbythiscontract.10.1卖方将获得本合同规定的货物所需的出口许可证。10.2Buyerwillobtainthenecessaryimportlicenseforthecommoditycoveredbythiscontract.10.2买方将获得本合同规定的货物所需的进口许可证。CLAUSE11：liabilityforbreachofcontract违约责任11.1Afterthecontractissigned,bothpartiesshouldbestrictlyadheredtoit.Ifthesellercan’tdeliverthecommoditytimelydelivery,thesellershallunconditionallypay3%ofthetotalamountofthebuyercontractliquidateddamages;11.1合同签约后,买卖双方应严格遵守。若卖方未能按合同规定及时交货，卖方须无条件支付买方合同总金额3%的违约金；11.2Ifthegoodsaccordingtothecontractquality,quantitytimelydeliveryofthepaymentperiod,thelossescausedbythepurchaserfailstomaketimelypaymentstothesellerbythebuyer.thebuyershallunconditionallypay3%ofthetotalamountofthesellercontractliquidateddamages;11.2若货物按合同品质、数量及时交货，在付款期内由于买方未能及时付款给卖方所造成的损失均由买方承担。买方须无条件支付买方合同总金额3%的违约金；11.3Thecontentofthecontractwithoutmutualconsent,eitherpartywillbeallowedtoanyofthetermsofthiscontractinanyformbedisclosedtothirdparties.Ifonepartyfailed,theotherpartyhastherighttopursueitsbreachofcontract.Thebreachingpartymustunconditionallycompensatetootherpartyfortheappropriatedamages.11.3本合同内容未经双方同意，任何一方不得擅自将本合同的任何条款以任何形式泄露给第三方。若一方违约，另一方有权追究其违约责任，违约方必须无条件向对方提供相应的损害赔偿。CLAUSE12:FORCEMAJEURE不可抗力EithertheSellerortheBuyershallberelievedofandexcusedfromitsobligationtoperformhere-underduringanyperiodthattheiroritsperformanceispreventedofdelayedbyActofGod,War,blockade,revolution,riot,insurrection.Civilcommotion,strike,lockout,fire,flood,storm,tempestorotherinclementweatherconditions,unforeseenblockadeoftheaccesschannelatLoadingPort,maintenancepracticeoftheportfacilitiesbythedulyconstitutedPortAuthority,governmentrestriction,regulationororder.IntheeventthatsuchaForceMajeureconditionoccursorisanticipated,thepartydirectlyaffectedshalladvisetheotherpartybyfacsimile,telexoremailassoonaspossible,andshallthensubmitacertificateissuedbyGovernmentAuthorityorChamberofCommerceasevidenceoftheForceMajeureconditionwithin10days,ifpossible,aftersuchForceMajeurecondition.IftheForceMajeurelastsoverthreemonths,theBuyershallhavetherighttocancelthetonnageinvolved.TheSeller’sinabilitytoobtainlicenseshallnotbeconsideredasForceMajeure.买卖双方将于以下情形豁免不能履行合约的责任:由天意(大自然)所造成的因素、战争、政治封锁、革命、暴动、起义、民变、罢工、火灾、水灾、⻛风暴或其它恶劣气候所造成在装运不可预料的阻碍因素。若此等不可抗⼒的情形是可预料的，直接受影响的⼀方因尽早通过传真或邮件知会另⼀方，以及在10天前(在可能的状况下)由官方或商会发出证书佐证。若此等不可抗力的情形延续超过三个月，买方有权取消订单。卖方不能取得相关批文将不能视为不可抗力因素。CLAUSE13:ARBITRATIONANDLAWOFTHECONTRACT仲裁和合同法Thebuyerandselleragreetosettlethedisputeamicablythroughconsultation.Ifthedisputecannotbesettledthroughconsultation,thedisputeshallbesubmittedtotheShanghaiInternationalArbitrationCenterforarbitration.双方同意友好协商解决争议，如果协商不能解决，应提交上海国际仲裁中心仲裁。CLAUSE14:CHOICEOFLAW适用法律的选择Theconstruction,validityandperformanceofthecontractshallbegovernedbythecontractlawsofChina本合同的解释、效力及执行，均适用中华人民共和国合同法。CLAUSE15:NON-CIRCUMVENTION不可欺诈15.1ThepartiesshallnotinanywaywhatsoevercircumventorattempttocircumventeachotheroranyPartyinvolvedinanyofthetransactions.ThePartiesaredesiringorenteringintoortothebestoftheirabilityassureeachotherthattheoriginaltransactioncodesestablishedwillnotbealteredorchanged.15.1无论在任何情况下，任何⼀方皆不可欺诈或尝试欺诈对方,以及在此交易下所有的参与者。双方均须尽最大的努力来维持原有的交易编号而避免有所更改。15.2ThepartiesrecognizethecontracttobeanexclusiveandvaluablecontractoftherespectivePartyandtheyshallnotenterintodirectnegotiationswithsuchcontractsrevealedbytheotherparty.15.2所有参与交易者均承认此合同对双方的独立性及价值性。有关方面不能擅自越位而直接磋商合同。15.3Intheeventofcircumventionbyanypartywhetherdirectlyorindirectly,thecircumventedpartyshallbeentitledtolegalmonetarypenaltyasdamages,equaltothemaximumamountitshouldmakefromsuchtransactionandanyandallexpensesincludingbutnotlimitedtolegalfeesthatcouldbeinvolvedintherecoveryofsuchdamages.ThecircumventingPartyrenouncestoanyrightthathemayhavetoclaimareductionofthisamount.15.3若发生欺诈行为，无论是直接或间接的，欺诈的⼀方将面临合法的货币处罚作为赔偿，金额相等于被欺诈一方在此交易所能得到的最高利润及其所有开销，及并不仅限于涉及此伤害下复原的法定费用。欺诈的一方绝无任何可减少罚金的权利。CLAUSE16:ACCOUNTINFORMATION银行账户信息Seller’sBankInformation卖方银行资料:BankName:BankAddress:BankSWIFTCode:AccountName:AccountNumber:TelNo.:FaxNo.:Buyer’sBankInformation买方银行资料BankName:BankAddress:BankSWIFTCode:AccountName:AccountNumber:TelNo.:FaxNo.:CLAUSE17VALIDITY生效17.1UponsignatureofthisContract,allpreviousnegotiationsandalsoallpreviouscorrespondencearetobeconsiderednullandvoid.17.1合同一旦签订，在此之前所有洽谈，来往函电均为失效。17.2TheContractcan
