-19-InsuranceAssistanceAgreement保险补助协议核心提示：THISINSURANCEASSISTANCEAGREEMENT,datedasof_________,_________(YEAR)(Agreement),byandbetweenAAACorporation,a_________(STATE)corporation,toberenamedCCCCorporation,andBBBLLC,a_________(STATE)limitedliabilitycompanyandwhTHISINSURANCEASSISTANCEAGREEMENT,datedasof_________,_________(YEAR)(Agreement),byandbetweenAAACorporation,a_________(STATE)corporation,toberenamedCCCCorporation,andBBBLLC,a_________(STATE)limitedliabilitycompanyandwhollyownedsubsidiaryofAAA,toberenamedBBBCorporation(SteelCo).WITNESSETH:WHEREAS,thisAgreementismadepursuanttoandasaconditionoftheAgreementandPlanofReorganization,datedasof_________,_________,_________(M/D/Y)(SeparationAgreement),byandbetweenAAAandSteelCo,pursuanttowhichtherespectivebusinessesoftheEEEGroupofAAAandtheDDDGroupofAAAarebeingseparatedintotwoindependentcompaniesbymergingAAAMergerCorporation,a_________(STATE)corporationandawhollyownedsubsidiaryofAAA(MergerSub),withandintoAAA,subjecttothetermsandconditionsthereof,andpursuanttoSection251oftheDGCL(theSeparationMerger),withAAAcontinuingasthesurvivingcorporation,sothatimmediatelyfollowingtheSeparationEffectiveTime,SteelCoshallownandoperatethebusinessoftheDDDGroupandshallbewhollyownedbytheholdersofthethenoutstandingsharesofAAA-DDDGroupCommonStock,andthebusinessoftheEEEGroupshallbeownedandoperatedbyAAA,whichshallbeaseparateandindependententityfromSteelCoandshallbewhollyownedbytheholdersofthethenoutstandingsharesofAAA-EEEGroupCommonStock(theSeparation);WHEREAS,priortothedatehereof,AAAimplementedaholdingcompanystructurebymergingthethenexistingAAACorporation,a_________(STATE)corporation(OldAAA),withandintoSteelCo,withSteelCocontinuingasthesurvivingentityandawhollyownedsubsidiaryofAAA(theHoldCoMerger),sothatimmediatelyfollowingtheeffectivetimeoftheHoldCoMerger,AAAbecameaholdingcompanythatownsalloftheoutstandingequityofCCCCompany(EEE)(whichownsandoperatesthebusinessoftheEEEGroup)andofSteelCo(whichownsandoperatesthebusinessoftheFFFGroup);WHEREAS,priortothetimeoftheHoldCoMerger,theEEEGroupandtheDDDGroupmaintainedindependentpropertyandbusinessinterruptioninsurancepolicies.Othertypesofinsurance,suchasgeneralliability,employer’sliability,aircraftliability,automobileliability,workers’compensationandexecutiverisk,werepurchasedandheldbyOldAAA,forthebenefitofOldAAAandallofitsSubsidiaries;WHEREAS,followingtheHoldCoMerger,separatepoliciesofinsuranceforcertaingeneralliability,employer’sliability,automobileliability,workers’compensation,boilerandmachinery,andaircraftseataccidentwereissuedtocover(i)AAA,EEEanditsSubsidiaries,ontheonehand,and(ii)SteelCoanditSubsidiaries,ontheotherhand.TheremainingpoliciesofinsuranceheldbyOldAAAweremaintainedforthebenefitofAAAanditsSubsidiaries;andWHEREAS,thepartiesdesiretoenterintothisAgreementtosetforththeparties’understandingwithrespecttotheirrespectiveresponsibilitiesandrightswithrespecttovariousinsurancepoliciesandclaimsassociatedtherewith,bothpriortoandaftertheSeparation.NOW,THEREFORE,infurtheranceoftheforegoingandinconsiderationofthemutualpromisesandundertakingscontainedhereinandinanyotherdocumentexecutedinconnectionwiththisAgreement,thepartiesagreeasfollows:ARTICLEIDEFINITIONSSection1.1General.Unlessotherwisedefinedherein,capitalizedtermsusedhereinshallhavetheirrespectivemeaningsasdefinedintheSeparationAgreement.Section1.2OtherDefinitionalProvisions.(a)Thewordshereof,herein,hereunderandwordsofsimilarimport,whenusedinthisAgreement,shallrefertothisAgreementasawholeandnottoanyparticularprovisionofthisAgreement.(b)Thetermsdefinedinthesingularshallhaveacomparablemeaningwhenusedintheplural,andviceversa.(c)Thetermsdollarsand$shallmeanUnitedStatesdollars.ARTICLEIIPRE-SEPARATIONINSURANCESection2.1InsuranceforPre-HoldCoMergerPeriods.PriortotheeffectivetimeoftheHoldCoMerger,AAApurchasedcertainpoliciesofinsurancetocoverAAAanditsSubsidiaries,whichincluded,withoutlimitation,workerscompensationandgeneralliabilityfrontinginsurance.(TheworkerscompensationandgeneralliabilityfrontinginsurancearecollectivelyreferredtohereinastheFrontingInsurance).FromandaftertheeffectivetimeoftheHoldCoMerger,therights,liabilityandresponsibilityforinsuranceclaims,retroactivereimbursements,uninsuredretentions,anddeductiblesundertheFrontingInsuranceshallbeasfollows.(a)AAAshallhaveallrightsinandtoallclaims,andshallbesolelyliableforthepaymentofanyretroactivereimbursements,uninsuredretentionsanddeductiblesrelatingtotheFrontingInsurancearisingoutoforrelatingtoeventsorconditionsoccurringpriortotheeffectivetimeoftheHoldCoMergerandassociatedexclusivelywiththebusinessoftheEEEGroup.(b)SteelCoshallhaveallrightsinandtoallclaims,andshallbesolelyliableforthepaymentofanyretroactivereimbursements,uninsuredretentionsanddeductibles,relatingtotheFrontingInsurancearisingoutoforrelatingtoeventsorconditionsoccurringpriortotheeffectivetimeoftheHoldCoMergerandassociatedexclusivelywiththebusinessoftheDDDGroup.(c)AAAshallbeentitledto65%,andSteelCoshallbeentitledto35%,ofallrightsinandtoallclaims,andshallbeliableforthepaymentofanyretroactivereimbursements,uninsuredretentionsanddeductiblesonthissamepercentagebasis,relatingtotheFrontingInsurancearisingoutoforrelatingtoeventsorconditionsoccurringpriortotheeffectivetimeoftheHoldCoMergerandnotrelatedexclusivelytoeitherGroup,includinghowever,withoutlimitation,pre-HoldCoMergerclaimsassociatedwithOldAAA’scorporateassets,directors,officersandemployees.(d)PolicylimitsundereachoftheFrontingInsuranceassociatedwithclaimsarisingoutoforrelatingtoeventsorconditionsoccurringpriortotheeffectivetimeoftheHoldCoMergershallbeappliedonafirst-come,first-servedbasis.NeitherpartyshallbeliabletotheotherintheeventpolicylimitsunderanyoftheFrontingInsurancehasbeenexhausted.AAAandSteelCoshallnottakeanyactionthatwouldprejudicetheaccessoftheothertocoverageundertheFrontingInsurance.Section2.2InsuranceforPre-SeparationPeriods.PriortotheSeparationEffectiveTime,AAApurchasedcertainpoliciesofinsurancetocoverAAAanditsSubsidiaries,whichincludedAircraftLiability,BlanketLostInstrumentsBond,ExecutiveRisk-Blended(DirectorsandOfficers,Fiduciary,Crime,EPL),ExcessDirectorsandOfficers,ExcessGeneralLiability,TransferAgentsMailPolicy,andSpecialInsurance(JointInsuranceArrangements).FromandaftertheSeparationEffectiveTime,therights,liabilityandresponsibilityforinsuranceclaims,uninsuredretentionsanddeductiblesundertheJointInsuranceArrangementsshallbeasfollows.(a)AAAshallhaveallrightsinandtoallclaims,andshallbesolelyliableforthepaymentofanyuninsuredretentionsanddeductibles,relatingtotheJointInsuranceArrangementsarisingoutoforrelatingtoeventsorconditionsoccurringpriortotheSeparationEffectiveTimeandassociatedexclusivelywiththebusinessoftheEEEGroup.(b)SteelCoshallhaveallrightsinandtoallclaims,andshallbesolelyliableforthepaymentofanyuninsuredretentionsanddeductibles,relatingtotheJointInsuranceArrangementsarisingoutoforrelatingtoeventsorconditionsoccurringpriortotheSeparationEffectiveTimeandassociatedexclusivelywiththebusinessoftheDDDGroup.(c)AAAshallbeentitledto65%,andSteelCoshallbeentitledto35%,ofallrightsinandtoallclaims,andshallbeliableforthepaymentofanyuninsuredretentionsanddeductiblesonthissamepercentagebasis,relatingtotheJointInsuranceArrangementsarisingoutoforrelatingtoeventsorconditionsoccurringpriortotheSeparationEffectiveTimeandnotrelatedexclusivelytoeitherGroup,includinghowever,withoutlimitation,pre-SeparationclaimsassociatedwithOldAAA’sorAAA’scorporateassets,directors,officersandemployees.(d)PolicylimitsundereachoftheJointInsuranceArrangementsassociatedwithclaimsarisingoutoforrelatingtoeventsorconditionsoccurringpriortotheSeparationEffectiveTimeshallbeappliedonafirst-come,first-servedbasis.NeitherpartyshallbeliabletotheotherintheeventpolicylimitsunderanyoftheJointInsuranceArrangementshasbeenexhausted.AAAandSteelCoshallnottakeanyactionthatwouldprejudicetheaccessoftheothertocoverageundertheJointInsuranceArrangements.ARTICLEIIIPOST-SEPARATIONINSURANCESection3.1PurchaseofInsurancePolicies.EffectiveasoftheSeparationEffectiveTime,AAAandSteelCoshalleachpurchaseseparatepoliciesofinsurancetocovertheriskscoveredbytheJointInsuranceArrangements.Section3.2ExtendedReportingInsurance.(a)AttheoptionofAAAorSteelCo,anysuchpartymaypurchaseextendedreportinginsuranceforanyoralloftheJointInsuranceArrangementstocoverpre-Separationclaims.Intheeventthatbothpartieselecttopurchasethesameextendedreportinginsurance,thecostofsuchinsuranceassociatedtothepre-SeparationperiodswillbesplitbetweenAAAandSteelCoona65%-35%basis,respectively.(b)Policylimitsundereachoftheextendedreportinginsuranceassociatedwithpre-Separationperiodsshallbeappliedonafirst-come,first-servedbasis.Neitherpartyshallbeliabletotheotherintheeventpolicylimitsunderanyextendedreportinginsurancehasbeenexhausted.Withrespecttothepurchaseofextendedreportinginsurance,AAAandSteelCoshallnottakeanyactionthatwouldprejudicetheaccessoftheothertosuchcoverage.ARTICLEIVTERMANDAMENDMENTSection4.1Term.ThetermofthisAgreementshallcommenceonthedatesetforthaboveandshallterminateuponthemutualagreementofthepartieshereto.Section4.2Amendment.ThisAgreementmaybeamended,modifiedorsupplementedatanytimeandshallbeevidencedbyawrittenagreementsignedbyallofthepartieshereto.ARTICLEVGENERALPROVISIONSSection5.1DisputeResolution.AnydisputebetweenthepartiesshallbesubjecttotheDisputeResolutionproceduresetforthinSection15.2oftheSeparationAgreement.Section5.2Indemnification.AnyclaimbyapartyforindemnificationfromtheotherpartyshallbesubjecttotheIndemnificationprovisionssetforthinArticleXIIIoftheSeparationAgreement.Section5.3Expenses.Unlessotherwiseprovidedherein,allout-of-pocketcostsandexpenseswithrespecttothetransactionscontemplatedinthisAgreementshallbebornebythepartyincurringsuchcostsandexpenses.Section5.4Records.Eachpartyshallhaveaccesstoallrecords,documentsandotherinformationinthepossessionoftheotherpartyrelatingtoactivitiespriortotheSeparationandsuchrecordsshallbesubjecttotheconfidentialityprovisionsofSection11.4oftheSeparationAgreement.Upontherequestofthepartyseekingsuchaccess,theotherpartyshallmakeanysuchrecords,documentsandotherinformationavailableormakecopiesfortherequestingpartywithoutcharge.Section5.5GoverningLaw.ThisAgreementshallbegovernedby,andconstruedinaccordancewith,thelawsof_________(STATE),withoutreferencetochoiceoflawprinciples,includingmattersofconstruction,validityandperformance.Section5.6Notices.Notices,requests,permissions,waivers,referralsandallothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenifsignedbytherespectivepersonsgivingthem(inthecaseofanycorporationorlimitedliabilitycompany,thesignatureshallbebyanofficerthereof)anddeliveredbyhandorbytelecopyoronthedateofreceiptindicatedonthereturnreceiptifmailed(registeredorcertified,returnreceiptrequested,properlyaddressedandpostageprepaid).IftoSteelCo,to:ADDRESS:_________Attention:_________Facsimile:_________IftoAAA,to:ADDRESS:_________Attention:_________Facsimile:_________SuchnamesandaddressesmaybechangedbynoticegiveninaccordancewiththisSection5.6.Copiesofallnotices,requests,permissions,waivers,referralsandallothercommunicationshereundergivenpriortotheSeparationEffectiveTimeshallbegivento:ADDRESS:_________Attention:_________Facsimile:_________Section5.7Third-PartyBeneficiaries.ExceptasprovidedinSection5.2hereofwithrespecttoindemnificationofFFFIndemnifiedPartiesandAAAIndemnifiedPartieshereunder,nothinginthisAgreementshallconferanyrightsuponanyPersonorentityotherthanthepartiesheretoandtheirrespectiveheirs,successorsandpermittedassigns.Section5.8EntireAgreement.ThisAgreementcontainstheentireunderstandingofthepartiesheretowithrespecttothesubjectmattercontainedherein,andsupersedesandcancelsallprioragreements,negotiations,correspondence,undertakingsandcommunicationsoftheparties,oralorwritten,respectingsuchsubjectmatter.Section5.9Headings.Thearticle,sectionandparagraphheadingscontainedinthisAgreementareforreferencepurposesonlyandshallnotaffectinanywaythemeaningorinterpretationofthisAgreement.AllreferenceshereintoArticlesorSectionsshallbedeemedtobereferencestoArticlesorSectionshereofunlessotherwiseindicated.Section5.10Counterparts.ThisAgreementmaybeexecutedinoneormorecounterpartsandeachcounterpartshallbedeemedtobeanoriginal,butallofwhichshallconstituteoneandthesameoriginal.Section5.11PartiesinInterest;Assignment;Successors.NeitherthisAgreementnoranyoftherights,interestsorobligationshereundershallbeassignedbyanyofthepartiesheretowithoutthepriorwrittenconsentoftheotherparty.Subjecttotheprecedingsentence,thisAgreementshallinuretothebenefitofandbebindinguponSteelCoandAA
