-8-EmployeeWelfareBenefitTrust雇员福利受益信托协议核心提示：ARTICLEIDefinitionsARTICLEIIPurposeARTICLEIIIContributionsARTICLEIVTrusteePowers,RightsandDutiesARTICLEVAdministrativeCommitteeARTICLEVIAccountingandRecordkeepingARTICLEVIIBenefitsARTICLEVIIIAmendmentARTICLEIXTerminaARTICLEIDefinitionsARTICLEIIPurposeARTICLEIIIContributionsARTICLEIVTrusteePowers,RightsandDutiesARTICLEVAdministrativeCommitteeARTICLEVIAccountingandRecordkeepingARTICLEVIIBenefitsARTICLEVIIIAmendmentARTICLEIXTerminationARTICLEXMiscellaneousARTICLEXIInstructionsEXHIBITAEXHIBITBAAACOMPANYEMPLOYEEWELFAREBENEFITTRUSTTHISAGREEMENTisenteredintobyandbetweenAAACOMPANY,a_________(STATE)corporation(hereinafterreferredtoastheSponsor),andBBBBANKastrustee(hereinafterreferredtoastheTrustee);WITNESSETH:WHEREAS,theSponsoranditsaffiliateshaveprovidedcertainwelfarebenefitstoeligibleemployeeandretireespursuanttoorbyreferencetocollectivebargainingagreementswhichareorhavebeenineffect;andWHEREAS,theSponsordesirestoestablishavoluntaryemployees’beneficiaryassociationemployeewelfarebenefitstrusttobeknownasAAACOMPANYEMPLOYEEWELFAREBENEFITTRUST(hereinafterreferredtoastheTrust),throughwhichitwillprovidecertainwelfarebenefitsfortheexclusivebenefitofeligibleemployeesandretireesandtheirdependents,pursuanttoorbyreferencetocertaindesignatedcollectivebargainingagreementswhichareorhavebeenineffectbetweentheSponsoranditsaffiliatesandcollectivebargainingunits;andWHEREAS,theTrustisintendedtobeexemptfromFederalincometaxunderSection501(c)(9)oftheInternalRevenueCodeof1986(assuchsectionmaybeamendedorrenumberedfromtimetotime)andtocomplywiththeprovisionsoftheEmployeeRetirementIncomeSecurityActof1974andanyotherapplicablelaw;andWHEREAS,theAdministrativeCommitteewillserveasAdministratorforthePlanwithrespecttotheadministrationoftheTrust.NOW,THEREFORE,theSponsorherebyestablishestheTrustasoftheEffectiveDate,andtheTrusteeagreestoserveasTrusteeoftheTrust,tohold,administeranddistributetheassetsoftheTrust,intrust,fortheusesandpurposesandinaccordancewiththetermsandconditionsofthisAgreement,andasitmayhereafterbeamended.ARTICLEIDefinitionsThefollowingdefinitionsapplyforpurposesofthisTrust:Section1.1.ActmeanstheEmployeeRetirementIncomeSecurityActof1974,asamendedfromtimetotime,andtheregulationsthereunder.Section1.2.AdministrativeCommitteemeans(i)thepersonsorentitiesdesignatedbytheBoardwhofromtimetotimeserveastheAdministrativeCommittee,or(ii)theChiefFinancialOfficeroftheSponsorintheeventthatnopersonsorentitiesarethenservingastheAdministrativeCommitteeunderthisAgreement.Section1.3.Administratormeans,withinthetermsoftheActandsolelyforpurposesofthisTrust,theAdministrativeCommittee.Section1.4.AgentforServiceofProcessmeans,withrespecttothisTrust,theTrustee.Section1.5.AgreementmeansthisTrustinstrument.Section1.6.ApplicableLawmeanstheprovisionsofanylaw,oranyadministrativeguideline,ruling,exemption,ordeterminationofajudicial,semijudicial,regulatory,selfregulatoryorstatutoryauthority,ineachcase,applicabletotheTrustee,theSponsor,orthePlanaftertakingintoaccountanypreemptiveeffectoftheAct.Section1.7.Beneficiarymeansanypersonorpersons(including,butnotlimitedto,anindividual,trust,estate,executor,administratororfiduciary,whethercorporateorotherwise)designatedassuchinaccordancewiththeprovisionsofthePlanortheTrusttoreceiveanydistributionfromtheTrust.Section1.8.BoardmeanstheBoardofDirectorsoftheSponsororthepersonorpersonstowhomsuchBoardofDirectorsmaydelegateanyofitsrights,dutiesorpowershereunder.Section1.9.CodemeanstheInternalRevenueCodeof1986,asamendedfromtimetotime,andtheregulationsthereunder.Section1.10.CollectiveBargainingAgreementmeansacontractbetweentheEmployerandalabororganizationgoverningwages,hoursandothertermsandconditionsofemploymentasprovidedintheNationalLaborRelationsAct,asamended,whichisorhasbeenineffect.Section1.11.CorporateActionmeansanysubscriptionright,bonusissue,stockrepurchaseplan,redemption,exchange,tenderoffer,orsimilarmatterswithrespecttoanypropertythatrequiresdiscretionaryactionbytheTrustFund,butdoesnotincludeproxyvoting.Section1.12.DependentmeansanindividualwhoqualifiesasadependentunderthetermsofthePlan.Section1.13.EffectiveDatemeans_________,_________,_________(M,D,Y).Section1.14.EmployeemeansanypersonwhoisconsideredanemployeeoftheEmployerunderthePlan.Section1.15.Employermeans,individuallyandcollectively,AAACompany,anySuccessorCompany,andanyothercompanyorbusinessentitysufficientlyaffiliatedwiththeSponsorforpurposesofSection501(c)(9)oftheCodeandwhichadoptstheTrustinaccordancewithSection10.6andisindicatedasaparticipatingemployerintheTrustinExhibitAattachedhereto,asmaybeupdatedfromtimetotime.Section1.16.InstructionshallhavethemeaningascribedtoitinSection11.2(a).Section1.17.Liabilitymeansanyliability,loss,cost,damage,penalty,fine,obligationorexpenseofanykindwhatsoever(including,withoutlimitation,reasonableattorneys’,accountants’,consultants’orexperts’feesanddisbursements).Section1.18.ParticipantmeansanyeligibleEmployee,Retireeorotherin
