9、： 买方对本确认书项下装运货物的任何索赔必须于货物到达目的港后30天内提出并提供经卖方同意的检验机构出具的检验报告供卖方审核。在任何情况下卖方对间接损失不承担索赔责任，属于保险公司、船公司、运输机构和/或邮局责任范围内的索赔卖方不予受理。 CLAIM: Any claim by the Buyer concerning the goods shipped hereunder shall be filed within 30 days after the arrival of the goods at the port of destination and supported by a surv

10、ey report issued by a surveyor approved by the Seller for the Sellers examination. In no event shall the Seller be liable for indirect or consequential damagers. Claims in report of matters within the scope of responsibility of the insurance company , shipping company , transportation organization a

11、nd/or post office will not be entertained by the Sellers.12.不 可 抗 力： 如由于自然灾害、战争或其他不可抗力的原因致使卖方对本确认书项下的货物不能装运或迟延装运，卖方对此不负任何责任。但卖方应立即通知买方并于15天内一航空挂号函件寄给买方由中国国际贸易促进委员会出其的证明发生此类事件的证明书。 FORCE MAJEURE: The Seller shall not be held liable for non-delivery or delay in delivery of the entire lot or a portion

12、of the goods hereunder by reason of natural disasters, war or other causes of Force Majored. However, the Seller shall notify the Buyer as soon as possible and furnish the Buyer within 15 days by registered airmail with a certificate issued by the China Council for the Promotion of International Tra

13、de attesting such event(s).13.仲 裁： 凡因执行本合同所发生的或与本合同有关的一切争议应通过友好协商解决，如果协商无法解决，争议应提交中国国际经济贸易仲裁委员会根据其仲裁规则进行仲裁。仲裁地点在上海。仲裁裁决是终局的。对双方都有约束力。 ARBITRATION: All disputes arising out of the performance of, or relating to this contract, shall be settled amicably through negotiations. In case no settlement can b

14、e reached through negotiations, the case shall then be submitted to the China International Economic and Tread Arbitration Commission for arbitration in accordance with its arbitral rules. The arbitration shall take place in Shanghai. The arbitral award is final and binding upon both parties.14.附 注：

15、 买方应立即将本确认书签署后还正本一份给卖方存查，如本确认书到达买方后10天内买方尚未签回，应视为买方已接受本确认书所规定的全部条款。 REMARKS: The Buyer is requested to sign and return one original of this Sales Confirmation, duly signed, to the Seller for file immediately. Should the Buyer fail to do an within 10 days after arrival of this Sales Confirmation at the Buyers end, the Buyer shall be denned as having accepted all the terms and conditions set forth in this Sales Confirmation.15.特 别
