The warranty shall remain valid in 3 months since the date when the goods arrive at the Port of Destination.Quality of the above goods must be guaranteed by the Seller.卖方应保证货物符合合同内各方面的要求如质量，规格和性能，这个担保在货物安全到达目的港口后三个月内不在外在影响下持续有效。(9)Inspection &

11、Claim: 检验与索赔The Sellers should provide the inspection certificates of quality/quantity/weight of the goods issued by the institution of inspect agreed upon both parties. The Buyers have the right to reinspect the goods after landing. If the quality or quantity or weight of the goods is found not in

12、conformity with the stipulations in this Contract after reinspection. The Buyers shall, within 180 days after discharging of the goods at the Port of Destination, have the right to claim against the Sellers. Any and all claims shall be regarded as accepted if the Sellers fail to reply within 10 days

13、 after receipt of the Buyers claim. 卖方应提供由双方商定的检验机构所颁发的货物的质量/数量/重量的检验证书。买家有权利要求在货物到港后再检验。如果在再检验后发现货物的质量或数量或货物重量不符合合同约定。买家有权在货物到港180天内，向对卖方提出申述或索赔。如果卖方在收到买方索赔要求10天内未能给与答复，应视为接受所有索赔要求。(10)Force Majeure:不可抗拒性Any party of the Contract who fails to execute the Contract due to Force Majeure accidents, suc

14、h as flood, fire, storm, snow disasters, earthquake and war shall notify by fax immediately the other party of such occurrence and within 14 days thereafter, shall send by airmail the detailed information of the accident and a certificate issued by the Competent Government Authorities of the place w

15、here the accident occurs. The other party shall not claim any penalty for the losses suffered therefrom, but the party who encounters the accident shall still be liable to execute the Contract within the deferred time of the Contract as agreed upon by both parties. In case any delay arising therefro

16、m lasts for more than 4 weeks, the other party shall have the right to cancel the Contract, and notify the party who encounters the accident in writing.若因不可抗力的意外，如水灾，火灾，风暴，雪灾害，地震和战争等原因未能履行合同，应在事后立即以传真形式通知对方，并在14天内，通过航空邮件方式将政府当地机关所提供的意外证明或证书寄给另一当事人。对方不得要求对方因未履行合同而提供任何赔偿。但受损失方可在双方协商下延期履行这份合同，但延期时间超过4个

17、星期，另一当事人有权取消合同，并以书面形式通知受事故方。(11) Arbitration:仲裁All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached through negotiations, the case should then be submitted for arbitration to the International Econo

18、mic and Trade Arbitration Commission of China in accordance with chinas laws and international practices when applying its Rules of Procedure. The arbitration shall take place in all Hong Kong and the award rendered by the said Commission shall be final and binding upon both parties, The arbitration fee shall be borne by the losing party.若在履行合同中双方产生纠纷，因通过友好谈判解决。在友好谈判无法得到解决，应将纠纷提交中国的国际经济贸易仲裁委员会的仲裁机构，按照中国的法律和国际惯例，申请议事程序进行申诉。仲裁机构可在香港仲裁机构审判双方责任。仲裁费应由败诉一方。(12) This Import Contract is made out in two copies, one copy to be held by each party in witness thereof, The Contract c
