1、APPENDIXECONSULTINGAGREEMENTTHISCONSULTINGAGREEMENT(theAgreement)ismadeandenteredintothisdayof200_(theEffectiveDate)byandbetweenXYZCorporation,a_corporationdulyorganizedunderlawandhavinganusualplaceofbusinessat_(hereinafterreferredtoasthe“Company)and_of(hereinafterreferredtoastheConsultant).WHEREAS,

2、theCompanywishestoengagetheConsultanttoprovidetheservicesdescribedhereinandConsultantagreestoprovidetheservicesforthecompensationandotherwiseinaccordancewiththetermsandconditionscontainedinthisAgreement,NOWTHEREFORE,inconsiderationoftheforegoing,andforothergoodandvaluableconsideration,thereceiptands

3、ufficiencyofwhichareherebyacknowledged,acceptedandagreedto,theCompanyandtheConsultant,intendingtobelegallybound,agreetothetermssetforthbelow.TERM.CommencingasoftheEffectiveDate,andcontinuingforaperiodof_(_)years(the“Term”unless),earlierterminatedpursuanttoArticle4hereof,theConsultantagreesthathe/she

4、willserveasaconsultanttotheCompany.ThisAgreementmayberenewedorextendedforanyperiodasmaybeagreedbytheparties.DUTIESANDSERVICES.Consultantsdutiesandresponsibilitiesshallbe(collectively,the“Duties”or“Services”).ConsultantagreesthatduringtheTermhe/shewilldevoteupto_(_)dayspermonthtohis/herDuties.TheComp

5、anywillperiodicallyprovidetheConsultantwithascheduleoftherequestedhours,responsibilitiesanddeliverablesfortheapplicableperiodoftime.TheDutieswillbescheduledonanas-neededbasis.TheConsultantrepresentsandwarrantstotheCompanythathe/sheisundernocontractualorotherrestrictionsorobligationswhichareinconsist

6、entwiththeexecutionofthisAgreement,orwhichwillinterferewiththeperformanceofhis/herDuties.ConsultantrepresentsandwarrantsthattheexecutionandperformanceofthisAgreementwillnotviolateanypoliciesorproceduresofanyotherpersonorentityforwhichhe/sheperformsServicesconcurrentlywiththoseperformedherein.Inperfo

7、rmingtheServices,Consultantshallcomply,tothebestofhis/herknowledge,withallbusinessconduct,regulatoryandhealthandsafetyguidelinesestablishedbytheCompanyforanygovernmentalauthoritywithrespecttotheCompanysbusiness.CONSULTINGFEE.Subjecttotheprovisionshereof,theCompanyshallpayConsultantaconsultingfeeof($

8、_)DollarsforeachhourofServicesprovidedtotheCompany(theConsultingFee).TheConsultantshallsubmitmonthly,ontheCompanysstandardreportingform,alistingofhis/herhours,theDutiesperformedandasummaryofhis/heractivities.TheConsultingFeeshallbepaidwithinfifteen(15)daysoftheCompanythereportandinvoice.Consultantsh

9、allbeentitledtopromptreimbursementforallpre-approvedexpensesincurredintheperformanceofhis/herDuties,uponsubmissionandapprovalofwrittenstatementsandreceiptsinaccordancewiththethenregularproceduresoftheCompany.TheConsultantagreesthatallServiceswillberenderedbyhim/herasanindependentcontractorandthatthi

10、sAgreementdoesnotcreateanemployer-employeerelationshipbetweentheConsultantandtheCompany.TheConsultantshallhavenorighttoreceiveanyemployeebenefitsincluding,butnotlimitedto,healthandaccidentinsurance,lifeinsurance,sickleaveand/orvacation.Consultantagreestopayalltaxesincluding,self-employmenttaxesduein

11、respectoftheConsultingFeeandtoindemnifytheCompanyintheeventtheCompanyisrequiredtopayanysuchtaxesonbehalfoftheConsultant.EARLYTERMINATIONOFTHETERM.IftheConsultantvoluntarilyceasesperforminghis/herDuties,becomesphysicallyormentallyunabletoperformhis/herDuties,oristerminatedforcause,then,ineachinstance

12、,theConsultingFeeshallceaseandterminateasofsuchdate.Anytermination“ForCause”shallbemadeingoodfaithbytheCompanysBoardofDirectors.ThisAgreementmaybeterminatedwithoutcausebyeitherpartyuponnotlessthanthirty(30)dayspriorwrittennoticebyeitherpartytotheother.UponterminationunderSections4(a)or4(b),neitherpa

13、rtyshallhaveanyfurtherobligationsunderthisAgreement,exceptfortheobligationswhichbytheirtermssurvivethisterminationasnotedinSection16hereof.Uponterminationand,inanycase,upontheCompanyrequest,theConsultantshallreturnimmediatelytotheCompanyallConfidentialInformation,ashereinafterdefined,andcopiesthereo

14、f.RESTRICTEDACTIVITIES.DuringtheTermandforaperiodofone(1)yearthereafter,Consultantwillnot,directlyorindirectly:solicitorrequestanyemployeeoforconsultanttotheCompanytoleavetheemployoforceaseconsultingfortheCompany;solicitorrequestanyemployeeoforconsultanttotheCompanytojointheemployof,orbeginconsultin

15、gfor,anyindividualorentitythatresearches,develops,marketsorsellsproductsthatcompetewiththoseoftheCompany;solicitorrequestanyindividualorentitythatresearches,develops,marketsorsellsproductsthatcompetewiththoseoftheCompany,toemployorretainasaconsultantanyemployeeorconsultantoftheCompany;orinduceoratte

16、mpttoinduceanysupplierorvendoroftheCompanytoterminateorbreachanywrittenororalagreementorunderstandingwiththeCompany.PROPRIETARYRIGHTS.Definitions.ForthepurposesofthisArticle6,thetermssetforthbelowshallhavethefollowingmeanings:ConceptandIdeas.ThoseconceptsandideasdisclosedbytheCompanytoConsultantorwh

17、icharefirstdevelopedbyConsultantduringthecourseoftheperformanceofServiceshereunderandwhichrelatetotheCompanypresent,pastorprospectivebusinessactivities,services,andproducts,allofwhichshallremainthesoleandexclusivepropertyoftheCompany.TheConsultantshallhavenopublicationrightsandallofthesameshallbelon

18、gexclusivelytotheCompany.ConfidentialInformation.ForthepurposesofthisAgreement,ConfidentialInformationshallmeanandcollectivelyinclude:allinformationrelatingtothebusiness,plansand/ortechnologyoftheCompanyincluding,butnotlimitedtotechnicalinformationincludinginventions,methods,plans,processes,specific

19、ations,characteristics,assays,rawdata,scientificpreclinicalorclinicaldata,records,databases,formulations,clinicalprotocols,equipmentdesign,know-how,experience,andtradesecrets;developmental,marketing,sales,customer,supplier,consultingrelationshipinformation,operating,performance,andcostinformation;co

20、mputerprogrammingtechniqueswhetherintangibleorintangibleform,andallrecordbearingmediacontainingordisclosingtheforegoinginformationandtechniquesincluding,writtenbusinessplans,patentsandpatentapplications,grantapplications,notes,andmemoranda,whetherinwritingorpresented,storedormaintainedinorbyelectron

21、ic,magnetic,orothermeans.Notwithstandingtheforegoing,theterm“ConfidentialInformationshall”notincludeanyinformationwhich:(a)canbedemonstratedtohavebeeninthepublicdomainorwaspubliclyknownoravailablepriortothedateofthedisclosuretoConsultant;(b)canbedemonstratedinwritingtohavebeenrightfullyinthepossessi

22、onofConsultantpriortothedisclosureofsuchinformationtoConsultantbytheCompany;becomespartofthepublicdomainorpubliclyknownoravailablebypublicationorotherwise,notduetoanyunauthorizedactoromissiononthepartofConsultant;or(d)issuppliedtoConsultantbyathirdpartywithoutbinderofsecrecy,solongasthatsuchthirdpar

23、tyhasnoobligationtotheCompanyoranyofitsaffiliatedcompaniestomaintainsuchinformationinconfidence.Non-DisclosuretoThirdParties.ExceptasrequiredbyConsultantsDuties,Consultantshallnot,atanytimenoworinthefuture,directlyorindirectly,use,publish,disseminateorotherwisediscloseanyConfidentialInformation,Conc

24、epts,orIdeastoanythirdpartywithoutthepriorwrittenconsentoftheCompanywhichconsentmaybedeniedineachinstanceandallofthesame,togetherwithpublicationrights,shallbelongexclusivelytotheCompany.Documents,etc.Alldocuments,diskettes,tapes,proceduralmanuals,guides,specifications,plans,drawings,designsandsimila

25、rmaterials,listsofpresent,pastorprospectivecustomers,customerproposals,invitationstosubmitproposals,pricelistsanddatarelatingtothepricingoftheCompanyproductsandservices,records,notebooksandallothermaterialscontainingConfidentialInformationorinformationaboutConceptsorIdeas(includingallcopiesandreprod

26、uctionsthereof),thatcomeintoConsultantspossessionorcontrolbyreasonofConsultantsperformanceoftherelationship,whetherpreparedbyConsultantorothers:(a)arethepropertyoftheCompany,(b)willnotbeusedbyConsultantinanywayotherthaninconnectionwiththeperformanceofhis/herDuties,(c)willnotbeprovidedorshowntoanythi

27、rdpartybyConsultant,(d)willnotberemovedfromtheCompanysorConsultantpremises(exceptasConsultantsDutiesrequire),and(e)atthetermination(forwhateverreason),ofConsultantsrelationshipwiththeCompany,willbeleftwith,orforthwithreturnedbyConsultanttotheCompany.Patents,etc.TheConsultantagreesthattheCompanyisand

28、shallremaintheexclusiveowneroftheConfidentialInformationandConceptsandIdeas.Anyinterestinpatents,patentapplications,inventions,technologicalinnovations,tradenames,trademarks,servicemarks,copyrights,copyrightableworks,developments,discoveries,designs,processes,formulas,know-how,dataandanalysis,whethe

29、rregistrableornot(Developments),whichConsultant,asaresultofrenderingServicestotheCompanyunderthisAgreement,mayconceiveordevelop,shall:(i)forthwithbebroughttotheattentionoftheCompanybyConsultantand(ii)belongexclusivelytotheCompany.NolicenseorconveyanceofanysuchrightstotheConsultantisgrantedorimpliedu

30、nderthisAgreement.Assignment.TheConsultantherebyassignsand,totheextentanysuchassignmentcannotbemadeatpresent,herebyagreestoassigntotheCompany,withoutfurthercompensation,allofhis/herright,titleandinterestinandtoallConcepts,Ideas,andDevelopments.TheConsultantwillexecutealldocumentsandperformalllawfula

31、ctswhichtheCompanyconsidersnecessaryoradvisabletosecureitsrightshereunderandtocarryouttheintentofthisAgreement.EQUITABLERELIEF.ConsultantagreesthatanybreachofArticles5and6abovebyhim/herwouldcauseirreparabledamagetotheCompanyandthat,intheeventofsuchbreach,theCompanyshallhave,inadditiontoanyandallreme

32、diesoflaw,therighttoaninjunction,specificperformanceorotherequitablerelieftopreventtheviolationorthreatenedviolationofConsultantsobligationshereunder.WAIVER.AnywaiverbytheCompanyofabreachofanyprovisionofthisAgreementshallnotoperateorbeconstruedasawaiverofanysubsequentbreachofthesameoranyotherprovisi

33、onhereof.AllwaiversbytheCompanyshallbeinwriting.SEVERABILITY;REFORMATIONIn.caseanyoneormoreoftheprovisionsorpartsofaprovisioncontainedinthisAgreementshall,foranyreason,beheldtobeinvalid,illegalorunenforceableinanyrespect,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionorpar

34、tofaprovisionofthisAgreement;andthisAgreementshall,tothefullestextentlawful,bereformedandconstruedasifsuchinvalidorillegalorunenforceableprovision,orpartofaprovision,hadneverbeencontainedherein,andsuchprovisionorpartreformedsothatitwouldbevalid,legalandenforceabletothemaximumextentpossible.Withoutli

35、mitingtheforegoing,ifanyprovision(orpartofprovision)containedinthisAgreementshallforanyreasonbeheldtobeexcessivelybroadastoduration,activityorsubject,itshallbeconstruedbylimitingandreducingit,soastobeenforceabletothefullestextentcompatiblewiththenexistingapplicablelaw.ASSIGNMENT.TheCompanyshallhavet

36、herighttoassignitsrightsandobligationsunderthisAgreementtoapartywhichassumestheCompanyobligationshereunder.Consultantshallnothavetherighttoassignhis/herrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheCompany.ThisAgreementshallbebindinguponandinuretothebenefitoftheConsultantshe

37、irsandlegalrepresentativesintheeventofhis/herdeathordisability.HEADINGS.HeadingsandsubheadingsareforconvenienceonlyandshallnotbedeemedtobeapartofthisAgreement.AMENDMENTS.ThisAgreementmaybeamendedormodified,inwholeorinpart,onlybyaninstrumentinwritingsignedbyallpartieshereto.Anyamendment,consent,decision,waiverorotheractiontobemade,takenorgivenbytheCompanyw
