7、lity of the Consultant.咨询工程师的责任The Consultant shall only be liable to pay compensation to the Client arising out of or in connection with the Agreement if a breach of Article 5.1 is established against him.如果确认咨询工程师违反了第5条(1)段，那么他应仅对由本协议书引起的或与之有关的事 宜负责向业主赔偿。Liability of the Client.业主的责任The Client sha

11、ATION OF LIABILITY 责任的期限Neither the Client nor the Consultant shall be considered liable for any loss or damage resulting from any occun-ence unless a claim is formally made on him before the expiry of the relevant period stated in the Particular Conditions, or such earlier date as may be prescribed

12、 by law.除非第二局部规定的相应时间段终止之前或法律可能规定的更早日期之前，已正式向业主或 咨询工程师提出索赔，否那么无论业主还是咨询工程师均不应对由任何事件所引起的任何损失 或损害负责。LIMIT OF COMPENSATION AND INDEMNITY.赔偿的限额和保障Limit of Compensation. 1 赔偿的限额The maximum amount of compensation payable by either party to the other in respect of liability under Clause 16 is limited to the

13、 amount stated in the Particular Conditions. This limit is without prejudice to any Agreed Compensation specified under Clause 31(ii) or otherwise imposed by the Agreement.Each party agrees to waive all claims against the other insofar as the aggregate of compensation which might otherwise be payabl

14、e exceeds the maximum amount payable.If either party makes a claim for compensation against the other party and this is not established the claimant shall entirely reimburse the other for his costs incurred as a result of the claim.根据第16条有关责任方面的规定，任何一方向另一方支付赔偿的最大数额应限于第二局部 中规定的数额。此限额不影响根据第31条(2)规定的、或

AETERATIONAND TERMINATION OF THE AGREEMENT协议书的开始、完成、变更与终止AGREEMENT EFFECTIVE 协议书生效The Agreement is effective as of the date of receipt by the Consultant of the Clients Letter of Acceptance of the Consultants proposal or

24、of the latest signature necessary to complete the Formal Agreement, if any, whichever is the later.从咨询工程师收到业主对其建议书发出中标函之日或完成正式协议书所需的最后签字之日 (如有时)，协议书生效时间以日期较晚者为准。COMMENCEMENT AND COMPLETION 开始和完成The Services shall be commenced and completed at the times or within the periods stated in the Particular

25、Conditions subject to extensions in accordance with the Agreement.在第二局部所规定的时间或期限内，服务必须开始并完成，但根据协议书延期的例外。VARIATIONS 更改The Agreement can be varied on application by either party by written agreement of the parties.当任何一方提出申请并经各方书面同意时，可对本协议书进行更改。FURTHER PROPOSALS 进一步的建议书If requested by the Client in wri

26、ting, the Consultant shall submit proposals for altering the Services. The preparation and submission of such proposals shall be an Additional Service.如果业主书面要求的话，那么咨询工程师应提交变更服务的建议书。此类建议书的编制和提交 应为一项附加的服务。DELAYS 延误If the Services are impeded or delayed by the Client or his contractors so as to increas

28、ll be increased accordingly. 完成服务的时间应相应地予以延长。CHANGED CIRCUMSTANCES 情况的改变If circumstances arise for which the Consultant is not responsible and which make it irresponsible for him to perform in whole or in part the Services in accordance with the Agreement he shall promptly dispatch a notice to the C

29、lient.In these circumstances if certain Services have to be suspended, the time for their completion shall be extended until the circumstances no longer apply plus a reasonable period not exceeding 42 days for resumption of them.If the speed of performing certain Services has to be reduced, the time

30、 for their completion shall be extended as may be made necessary by the circumstances.如果出现按照本协议书咨询工程师不应负责的情况，以及使咨询工程师不负责或不能履行全 部或局部服务时，他应立即通知业主。在此情况下如果不得己暂停某些服务时，那么该类服务的完成期限应予延长，直至此种情 况消失。还应加上不超过42天的一个合理期限用于恢复服务。如果履行某些服务的速度不得已减慢，那么该类服务的完成期限由于此种情况的发生可能 必须给予延长。ABANDONMENT, SUSPENSION OR TERMINATION 撤销

31、、暂停或终止By Notice of the Client 业主的通知The Client may suspend all or part of the Services or terminate the Agreement by notice of at least fifty-six (56) days to the Consultant who shall immediately make arrangements to stop the Services and minimize expenditure.业主可至少在56天前通知咨询工程师，全部或局部暂停服务或终止本协议书，咨询工程师

32、应立即安排停止服务并将开支减至最小；If the Client considers that the Consultant is without good reason not discharging his obligations he can inform the Consultant by notice stating the grounds for the notice. If a satisfactory reply is not received within twenty-one days the Client can by a further notice terminate

43、the rate defined in the Particular Conditions compounded monthly on the sum overdue and in its currency reckoned from the due date for payment of the invoice. Such Agreed Compensation shall not affect the rights of the Consultant stated in Clause 27.2如果在第二局部规定的时间内咨询工程师没有收到付款时，那么应按照第二局部规定的利率间 其支付商定的补

45、efined in the Particular Conditions and paid net without deductions. Unless otherwise specified in Appendix C, the Client warrants that the Consultant can transfer abroad promptly all Local and Foreign Currency amounts in connection with performance of the Services which are received by him in the C

48、 or differential rates of exchange for the transfer from abroad of Foreign Currency into the Clients country by the Consultant fbr Local currency expenditure and subsequent retransfer abroad of Local Currency up to the same amount such as to inhibit the Consultant in the performance of the Services
