1、 5/5-产品独家销售协议 Sole Distributorship Agreement 独家经销协议 THIS AGREEMENT made and entered into this day of in the year of and betwe en: 协议于2015 年9 月 1 日签订和缔结，协议的双方如下： Party A: 甲方： Party B: 乙方： Whereas Clause 1.WHEREAS, Party A is desirous of exporting the products (stipulated in Art icle 3 hereof) to the

2、territory (stipulated in Article 4 hereof) and is willing to gran t to Party B the exclusive right to sell and distribute the said products in the said ter ritory; 2.WHEREAS, Party B is desirous of purchasing and importing from Party A th e said products for sale in the said territory and is also de

3、sirous of acting in an exclusive capacity as the Party B of the said products i n the said territory; NOW, THEREFORE, in consideration of the premises an d th e mutual covenants to be faithfully performed herein contained, Party A and Party B agree as follows: 说明条款 1. 甲方欲出口指定产品（由本合约第三条中规定）到指定地区（由本合约

4、第四条中规定）去并愿 意授予乙方在所述地区销售和经销所述产品的独家权利； 2. 乙方欲向甲方购买和进口所述产品以便在所述地区出售，并欲以独家权能担任所述产品在所述 地区的经销商；考虑到这些前提及本合约所包含的要忠实执行的相互契约，甲方和乙方兹协议如下： Main Body： 本文： Article 1. Appointment 1.During the effective period of this Agreement, Party A hereby grants t o Party B the exclusive right to sell Products in Territory; 2

5、.Party B accepts and assumes such appointment for the sale and distribu tion of Products in Territory. 3.Party B pays 100,000 RMB to Party A as a deposit. As well as Party B purchased Products total amount not less than 750,000 USD from Party A in year 2015. Party A shall refunds the 100,000 RMB dep

6、osit to Party B before January 15th 2016. 第一条委任 1. 在本合约的有效期间，甲方兹授予乙方在所定“地区”销售所定“产品”的独家权利； 2. 乙方接受和承担在所定地区销售和经销该产品的这种任命。 3. 乙方于合约签订时交付甲方十万人民币保证金,2015年內乙方达成向甲方的订货量达到七十 五万美元后, 甲方于2016年1月15日前退还乙方前述之保证金。 Article 2. Privity 1.The relationship hereby established between Party A and Party B, durin g the eff

7、ective period of this Agreement, shall be solely that of Seller an d Buyer; 2.Party B shall under no circumstances be considered to be the agent o r legal representative of Party A for any purpose whatsoever and shal l have no right or authority to create or assume any obligation or responsibility o

8、f any kind, expressed or implied, in the name of or on behalf of Party A. 第二条、相互关系 1.由此甲方和乙方之间在本合约的有效期内建立的关系，只是卖家和买家之间的关系； 2.乙方决不应该被看成是甲方达到任何目的的代理人或合法代表，而且绝没有任何资格或权利， 不论明显地还是含蓄地，以甲方的名义或代表甲方招致或承担任何一种义务或责任。 Article 3. Products The products covered under this Agreement shall expressly be confined to Di

9、g itizer handwriting Display Monitor sold and exported by Party A with its registered trademark “_”(hereinafter referred to as Products). 第三条产品 十分明显，本合约下所包含的产品只限于甲方所销售和出口的以“_”为注册商标的电磁式手写显示器系列产品（下称产品）。 Article 4. Territory The territory covered under this Agreement shall be confined to the Unite Stat

10、e of America market only. (hereinafter referred to as Territory). 第四条地区 本合约下所包含的地区仅限于美国境内（下称“地区”）。 Article 5. Minimum Purchase Party B guarantees to purchase the Products from Party A in the minimum amount specified below: 1.750,000 USD for the year 2015 period starting from the Effective Date; 2.12

11、50,000 USD for the every single quarter period starting from the Effective Date; 第五条最低购买数 乙方须保证： 1.自合同生效之日起2015年内，向甲方的订货量需达到七十五万美元； 2.自合同生效之日起之后的每一季内，向甲方的订货量需达到一百万美元； Article 6. Individual Contract Each individual contract under this Agreement shall be subject to this Agree ment but such contract sh

12、all be concluded and carried out by Party As sales contract for m which shall set forth the terms, conditions, rights and obligations of the parties hereto ar ising from or relating to such contract except for those stipulated in this Agreement. 第六条各个销售合同 本协议下的各个销售合同须以本协议为根据，但须用甲方的销售合同缔结并执行。此销售合同除包含

13、本合约所规定的条款外，还应对出自这种合约或与它有关的双方的条件、要素、权利和义务作出规定。 Article 7. Report Party B shall undertake to supply Party A with a report of sales as well as the comment on quality, price, services and development, and amelioration of Products. If there is any particular change of relative local import regulations, P

14、arty B shall notify Party A at once 第七条报告 乙方应及时向甲方提供有关相关产品销售方面的信息。认真反馈用户对产品质量、价格、新产品开发、产品改进等方面的意见和建议。乙方所在国的相关进口政策的任何变化，应立即通知甲方。 Article 8. Trade Marks 1.Party B may use the trade mark of Party A during the effective perio d of this Agreement only in connection with th e sale o f Products (sti pulate

15、d in Article 3 hereof); 2.Any and all rights granted herein by Party A to Party B shall termin ate upon termination of this Agreement, and Party B shall henceforth cease to e xercise any right or rights granted under this Agreement; 3.In case Party B has found that Party As trade marks, patents, cop

16、yri ghts or other industrial property rights are infringed upon by any third party, Party B shall promptlyinform Party A of such infringement and assist Party A in taking necessary steps to protect his rights effectively; 4.In case any dispute and/or claim arises in connection with the above right o

17、r rights, Party A shall have the right to cancel this Agreement at his own dis cretion and hold himself free from any liability arising therefore. 第八条商标 1. 在本合约有效期内，乙方可以且仅在销售指定“产品”（由本合约第三条中规定）方面使用甲方的商标； 2. 甲方在本合约里授予乙方的任何一切权利应在本合约终止时终止，而乙方以后须停止行使本 合约下授予的任何权利； 3. 万一乙方发现甲方的商标、专利、版权或其他上业所有权被任何第三方侵犯，乙方须立

18、即把 这种侵犯通知甲方，并协助甲方采取必要步骤有效保护其权利； 4. 万一出现与上述权利有关的任何纠纷和（或）索赔，甲方应有权随意取消本合约并使自已免 负因此产生的义务。 Article 9. Duration 1.This agreement remains valid for a period of September First, 2015 an d terminating on December 31th, 2015; 2.If either party considers its necessary to extend the agreement, the proposing party may take the initiative to conduct negotiation with th e other party
