1、 合同A Contract on Developing and Running Schools from Kindergarten to SeniorHigh School in XX District of XXAddress:_地址为_Address:_1.甲乙双方为丰富 XX 区教育的层次，XXXX 区教育局与 IQE 就 XX 区 XXX 国际学校项目合作达成以下协议。1.Inordertoenrichtheeducationlevels,EducationBureauofXXDistrictofXXandIQEmakeandenterintothefollowingagreement

2、ontheFeiELingInternationalSchoolProjectinXXDistrict.2.乙方具备经营国际学校专业知识及丰富经验，建立和运作成熟及优质的大学前的国际学领导地位。2. Party B is equipped with the professional knowledge and rich experience in runninginternationalschool,andwithinternationalschoolmodeltoestablishandrunthematureandsuperiorpreuniversity, coveringkinderg

3、artentoseniorhighschool.TheCanadianInternationalSchoolsestablishedbothinHongkongandinMacaobytheCompanyboasttheleadershippositionamongtheschoolsinthedistrict.1 3.乙方所办为国际学校采用加拿大艾伯特省教育厅认证的课程结合中国中文课程，培养学生可报考全世界优质大学。本校将致力将加拿大、美国、英国等先进的教育理念引进 XX 并在本校成立国际文化交流站，为 XX 乃至 XX 所有教师、学生做到海外留学，游学及教育交流，交换学生及加拿大、美国教育

4、信息资源交流。同时本校愿为 XX 教师提供国外教育理念、教育方法等培训交流，并为教师与学生提供到加拿大参观交流的机会。本校可每年带加拿大学生到XX 重点中学进行交流，推进 XX 区学校与加拿大艾伯特学校成为姐妹学校，促进 XX 与加拿大教育文化的交流。3.TheInternationalSchooloperatedbyPartyBadoptsthecoursesauthenticatedbyAlbertProvincialMinistryofEducationofCanadaintegratedwithChinesecourses,andthecultivatedstudentsmayappl

5、yforsuperioruniversitiesintheworldwide.TheSchoolwillbededicatedtointroducing theaaddvvaanncceedd educationpphhiilloossoopphhyy ofCCaannaaddaa, theUUSSAA, a n d BBrriittaaiinn ttoo X X , aannddestablishinginternationalculturecommunicationstation,whichofferstheopportunitiesofoverseastudy,studytourande

6、ducationcommunicationtoallteachersandstudentsinXXeveninXX,exchangesstudentsandmakescommunicationofeedduuccaattiioonninformationwithCanadaandtheUSA.Meanwhile,tthheeSchooliswillingttooprovidetheteachersiinnXXwithforeigneedduuccaattiioonnphilosophy,educationapproachandothertrainingandcommunications,and

7、providetheteachersandstudentswiththeopportunitytovisitandcommunicateinCanada.Ineachyear,theSchoolwillbringtheCanadastudentstokeyhighschoolsinXXforcommunication,promotetheschoolinXXDistricttobethesisterschoolsofCanadaAlbertSchool,andboosttheeducationalandculturalcommunicationbetween幼儿园至高中的学校项目。乙方拟建 X

8、XXXX 平方米建筑面积的优质学校，为中国和外国护照持有学生提供非学历教育幼儿园、小学至高中级学历教育。4.PartyAagreestoprovidetheeducationuselandwithanareaofXXXXsquaremeterslocatedattheFeiELing,XXDistricttoPartyBfortheestablishmentofSchoolProjectrangingfromkindergartentoseniorhighschool.PartyBproposestobuildasuperiorschoolwiththefloorareaofXXXXXsqua

9、remeters,offeringnondiplomaeedduuccaatitoionntoChinesestudentsandthestudentswith计划办学规模:幼儿园共 4 个年级，每年级 4 个班，每班 25 人，每年级 100 名学生，共 400人。小学共 6 个年级，每年级 4 个班，每班 25 人，共 600 名学生。初中、高中即 7 至 12 年级共 6 个年级，每年级 4 个班，每班 25 人，共 600 名学生。由幼儿园到高中学生共 1600 人，教2 师 94人，教职员工 87人，以及其他管理人员(含后勤人员)共 185 人。(不含校巴司机及跟车人Planning

Theprimaryschoolhas6grades,eachgradeconsistsof4classes,eachclassaccommodates25students,andthustheprimaryschoolhas600students

11、intotal.Thejuniorandseniorhighschool,namely,6gradesfromGrade7toGrade12,eachgradeconsistsof4classes,eachclassaccommodates25students,andthereare600studentsintotal.Thereare1600studentsintotalfromkindergartentoseniorhighschool,94teachers,87facultyandstaff,and185otheradministrative学校，共约投入资金为 XXX 亿 元。其中基建

12、约 XXXX 万元，包括基建工程、设备工程、装修工程、户外活动场地工程；办学设备共约 XXXX 万元；启动资金约 800 万元。5.PartyBshallberesponsibleforallcapitalinvestmentforbuildingtheforesaidSchool,includingschoolbuildings,decoration,schoolequipment,andmakingpreparationforrunningschool,approximately investing capital of RMB 118 million in total. Of which

13、 the infrastructure isapproximately RMB 70 million, including infrastructure engineering, equipment engineering,decorationengineering,andoutdoorvenuesengineeringtheschoolequipmentisapproximatelyRMB40millionandtheinitialcapitalisapproximatelyRMB8million.6.产权归属:上述学校由 XX 区教育局即甲方提供教育用地，以甲方名义建设，由乙方投资建设学校

14、及办学。该校的产权归属甲方即 XX 区教育局，乙方拥有该校 35 年的使用权。6.Propertyownership:thelandofforesaidSchoolisprovidedforeducationusebyPartyA,namelytheEducationBureauofXXDistrict,andtheSchoolisbuiltinthenameofPartyA,andinvested,builtandrunbyPartyB. ThepropertyoftheSchoolbelongstoPartyA,namely,theEducationBureauofXXDistrict,a

15、ndPartyBownstheuserightoftheSchoolfor35years.7.上述学校分两期建设，第一期为800011000平方米，于2013年5月完成，并于2013年7.TheforesaidSchoolwillbebuiltintwophases.Thefirstphasecovers8,000to11,000squaremeters,whichshallbecompletedpriortoMay2013,andwillstartschoolonSeptember1,2013.Thesecondphasecovers8,000to11,000squaremeters.3 8

16、.乙方会致力发展为一所以独特模式和优质的学校，成为 XX 区内及中国其它城市的领导者。8.PartyBwillbededicatedtodevelopingasuperiorschoolwithuniquemodel,andmakingtheschooltobetheleaderinXXDistrictandothercitiesinChina.作办学达成如下协议:Topromotethedevelopmentofeducationcause,improvetheeducationqualityofpeople,ensureontimeadmissionofagechildrenwithChi

17、neseandforeignnationalityfromsurroundingareaofXX,andprovideasoundstudyingenvironment,onthebasisofequality,voluntarinessandconsensus,BothPartieshheerreettoomakeandenteriinnttootheffoolllloowwiinnggagreementoonncooperativelyrunningschooloonnthefollowingProperty:Cooperation Model第一条.甲方提供办学用地给乙方建设办学，前25

18、年（即20XX年9月至20XX年8月30日）为免收乙方一切费用（包括但不限于租金、管理费及国有资产占用费等） ，第 26年至 35年（即20XX年9月至20XX年8月）有偿使用，每年的国有资产占用费为当年学费的 5%。Article1PartyAshallprovidethelandtoPartyBforbuildingandrunningSchool.Forthefirst25years,(nnaammeellyyfromSeptember20XXtoAugust3300,20XX),PartyBiissfreeffrroommanyexpenses(includingbutnotlimit

19、edtorental,managementoverheado,ccupancyexpenseofstateownedasset,ththandetc.).Fromthe26to35 year,(namelyfromSeptember20XXtoAugust20XX),thelandisforthenongratuitoususe,andtheoccupancyexpenseofstateownedassetforeachyearaccountsfor5%Article2Duringtheperiodofnongratuitousuussee,PartyBshallpaytheforesaido

20、ccupancyththexpenseofstateownedassettoPartyApriorto10to15ofeachmonth.第三条.乙方在兴建学校时须交付 300万元给甲方作为押金，一旦学校完成主体建设通过相关部门验收时，甲方须在 15 个工作日内无息退还给乙方。4 Article3PartyBshallpayRMB3milliontoPartyAasdepositwhenbuildingtheSchool,andPartyAshallreturntheinterestfreedeposittoPartyBwithin15workingdaysaftertheprincipalp

21、artiscompletedandpassestheacceptanceandcheckofcompetentdepartment.第四条.合同期内，乙方自负盈亏，承担办学所产生的水电费及日常费用。承担因教学所产生的责任。Article4DuringtheContractTerm,PartyBshalltakefullresponsibilityforhis(her)ownprofitsandlosses,andbearallutilitiesandcurrentexpensesarisingoutofrunningschool.Andbearallresponsibilityarisingo

22、utofteaching.Article5PartyBshallutilizethePropertyinrunningtheInternationalSchoolfromkindergartento senior high school. The International School consists of the domestic department and theinternationaldepartment,andshallnotbeusedforotherpurpose.TheplanningscaleofschoolrunningCooperation Term第六条 双方约定

23、的合作期限为 35 年(即20XX年9月1日至20XX年 8月30日)，35 年后乙方有相同条款续约的优先权。Article6BothPartiesheretoagreethatthecooperationtermis35years,(namelyfromSeptember1,20XXtoAugust30,20XX,)andPartyBshallhavethepreemptiverighttorenewtheContractwithLand Delivery and Property Acceptance and Check第七条 甲方交付给乙方建设学校用地的产权及相关手续等须符合教育用地要求

24、。Article7ThePropertyrightandrelevantformalitiesofschoollanddeliveredtoPartyBbyPartyArticle8PartyBshallbuildtheSchoolaccordingtothedesignproposalagreedbyPartyA.5 防验收、合格验收等。Article9PartyAshallassistPartyBingoingthroughrelevantformalitieswithrespecttoschoolbuildingandPropertyacceptanceandcheck,suchasap

25、plicationforbuilding,planning,fireprotectionacceptanceandcheck,qualifiedacceptanceandcheck,etc.第十条.为办妥学校办学许可证等牌照事宜，甲方协助办理建设手续及办学建筑物的规划审批，消防合格证，卫生合格证，建筑合格验收，环保验收等办学所需的合格验收交付乙方作为Article10Inordertodealwiththeschoolsoperatinglicenseandotherlicensesconsummately,PartyAshallassistPartyBtodealwithconstructi

26、onproceduresandtheacceptanceandcheckcertificatesforoperatingaschoolsuchastheplansofschoolbuildingsforapproval,firesafetycertificate, hygiene conformance certificate, building acceptance and check and environmentconformancecertificate.ThenPartyAturnsoverthesedocumentstoPartyBasthematerialstoapplyfors

27、choolrunning,andcooperateswithPartyBtodealwiththeschoolrunninglicense.Article11PartyAshallprovideschoollandforcooperationtoPartyBasthefollowingconditions.(1)甲方所提供的办学场地必须在双方认可的合适的发展位置 (在 B.1 项所指，备注:对于该地址建议细化，附带用地图、规划许可等文件)。(1)TheschoollandprovidedbyPartyAshallbeintherightpositionrecognizedbybothparti

28、es(asstipulatedinitemB.1.Remarks:bettertoprovidethedetailsoftheaddress,withthemap,planningpermissionandotherdocuments.)(2)PartyAshallturnovertheschoollandtoPartyBwithinthreemonthscommencingfromsigningthisContract.Article12PartyAshallbeentitledtochargeoccupancyexpenseofstateownedassetasperthe6 次财务情况进

29、行督审。Article13PartyAshallbeentitledtosuperviseandchecktheconditionsoftheuseofthepropertyandtheoperationsofPartyB,includingthesupervisionoftheannualapprovaloffinancialsituations.第十四条.甲方有权审核乙方对该用地的建设进度及物业的装饰、办公及教学设备的布置，对于违反安全规范、消防规范的装饰及布置有权要求进行整改，以确保该物业的安全。Article14PartyAshallbeentitledtaopprovetheprog

30、ressofccoonnssttrruuccttiioonnoofftthheellaannddaannddtthheedecorationsoftheProperty,arrangementsoftheofficeandteachingfacilities.Forthedecorationsandarrangementswhichviolatethesafetystandards,firestandards,PartyAshallhavetherighttoaskforrectificationtoensurethesafetyoftheProperty.Article15PartyAsha

31、llbeentitledtoapprovethequalitycertificationsandmaterialsofthepropertybuiltbyPartyB.Article16PartyBshallbeentitledtoappointarchitectsandotherdevelopersoncampusplanninganddesign,includingthefollowingmainfeatures:(1)在质量和外观上，符合发展项目的高标准(1)Thequalityandappearanceshallbeinlinewiththehighstandardsofthedeve

32、lopmentproject(2)Theconstructionisphasedtoreducethecapitalinearlyphaseandbalancethemarketingpurposes,thegovernmentsbuildingrequirements,constructionefficiencyandotherfactors.(3)TrytobringthelatestInternationaltechnologyintotheeducationggrraadduuaallylyimplementteachingplansandscales.(4)Optimizeusing

33、themultiusagefunctionstoreducecosts.7 AsfortheconstructionplanprovidedtoPartyAbyPartyB,PartyAshallagreeandapproveinprinciple,unlessotherwiseviolatesrelevantlawsandregulations.第十七条.乙方在合同期限内有权使用该物业，使用期间，乙方应妥善保护该物业。Article17PartyBshallhavetherighttousethisPropertywithintheTerm,andproperlyprotecttheProp

34、ertyduringtheTerm.书、资料等的购置。Article18PartyBshallberesponsibleforschoolconstructionandcapitalinvestment,andberesponsibleforthepreparationoftheschool,includingschoolapplications,thesetoftheschoolrulesandregulations,theemployofstaffandthepurchaseofteachingfacilities,books,materialsandsoon.第十九条.乙方自行负责与加拿

35、大教育局申请课程使用及认证。A r t i c l e 1199PPaarrttyyBBsshhaallllb e rreessppoonnssiibblleeffoorra p p l y i n g ttoot h e CCaannaaddiiaannEEdduuccaattiioonnB u r e a u ffoorrtthheecurriculumuseandcertification.办学过程应遵循法律、法规及教育主管部门的规章和规范。Article20PartyBshallapplytothegovernmentdepartmenttodealwiththeprocedureso

36、fschoolrunningandpayschoolcostsaspertherelevantlawsandregulations.Theprocessofschoolrunningshallfollowthelaws,regulationsandthelawsandregulationsofcompetentdepartmentofeducation.Article21PartyBshallbeginschoolconstructionin_monthsincePartyAturnsovertheschoolland.AndPartyBshallopenschoolontimeat_.Art

37、icle22PartyBshallensuretomanagethekindergartenroutineworksandteachingactivitiesindependentlyaspertherelevantlawsandregulations.AllthetaxesandcostsrisingoutofduringtheprocessesofschoolrunningshallbebornebyPartyB,PartyAshallnotbearanyexpenses.PartyB8 shalloperateschoolanddealwithbusinessaccountinginde

38、pendentlyandowntheprofitandlossresponsibilities.违约条款Breach ClauseArticle23Intheprocessofcooperation,beforetheexpirationofcontractterm,ifPartyAwantstorecovertthheeschoolbbuuiillddiinnggssinthemiddleoftthheetermasootthheerreducationalpurposes,PartyAAsshhaallllinformPartyBinwritingthreeyearsinadvanceso

39、thatPartyBwouldbeabletoarrangestudentsandpaythecostsoftheremainingtimeofthecontractandthetotalgrossincomeinthelastyearforPartyB.IfPartyAfailstoinformPartyBinadvance,PartyAshallpayforthelossofthestudentsorthethirdParty.IfPartyBwantstounilateralterminatethecontracthalfway,PartyBshallberesponsibleforal

40、lthecostsandarrangementsofstudentsindependentlyandshallinformPaArtytwoyearsinadvance.PartyAshallpaynoexpensestoPartyBandownsthebuilding.EitherPartyterminatesormustfinishtheschoolrunningduetootherfactors,bothpartiesshalljointlyhelpstudentswithproperarrangementstoavoidanynegativeimpact.第二十四条 乙方迟延支付国有资

41、产占用费的，承担违约责任。Article24PartyBshallberesponsiblefortheliabilityforbreachofthecontract,providedthatArticle25EitherPartyviolatingotheragreementsshallpaypenaltyof$_totheotherparty.Other Agreements9 Article26Asforthecampusfacilities,bothpartiescouldworktogetherinthefuturetostudytheexpansionneeds.WWhheennP

42、artyAAffiinnddssinadequatefacilities,PartyAAwillssuubbmmiittaddeettaaiilleeddfinancialfeasibilitystudy,thenbothpartieswillmakethedeterminationwhethertoincreasethecapitalinvestment.第二十七条.双方签订本合同的合作精神应当有利于 XX 区社会利益和双方商业的统一。在Article27ThespiritofcooperationwhichthetwopartiessigntheContractshallbebenefit

43、totheXXDistrictssocietyandtheunityofbothpartiesbusinesOs.nthisbasis,bothpartiesshallbeonabestefforttoresolveanyproblemsordisputesthatmayarise.第二十八条 直至双方同意此合同中有任何更改，本合同的精神及条款将继续有效。即使双方同意更改任何条款，都不会令其它条款及条件失效或不可执行。Article28ThespiritandtermsofthisContractwillremaininforce,untilbothpartiesagreetomakeanyc

45、lapplytothedisputeshereunder.第三十条.守约方为追究违约方违约责任而支付的所有合理 (包括但不限于仲裁费、律师费等)均由违约方承担。Article30Thereasonablecosts(includingbutnotlimitedtothearbitrationfees,lawyerfees,etc.)paidbyobservantPartytocalltotheaccountofthedefaultPartyshallbebornebythedefaultParty.Article31ThisContractshallcomeintoforceafterthes

46、ignatureandsealofbothparties,withtheArticle32Duringthetermperiod,providedthatPartyAwantstotransfersomeorallofthepropertyownership,PartyAshallbeobligedtoinformthethirdPartyonmattersrelatingtothis10 contractandalldetails.Thiscontractremainstheforcetothesuccessorwhoownstherealestateproperty.起 10 日内书面答复

48、eright.Exception ConditionsArticle34TheContractcannotbecontinuallyperformedoranyotherlossrisingoutduetotheArticle35Thetwopartiesshallbearnoresponsibilitiesforthelossrisingoutofduetoimposition,Article36TherentshallbecalculatedaspertheactualservicetimeprovidedthattheContractisterminatedduetotheabovere

49、asons.第三十七条 本合同所称不可抗力是指不能预见、不能克服、不能避免并对一方当事人造成重大影响的客观事件，包括但不限于自然灾害如洪水、地震、火灾和风暴等以及社会事件如战争、动乱、政府行为等。Article3377Forcemmaajjeeuurreementionedhereunderreferstotthheeoobbjjeeccttiivveeeventswhichcannnoottbepredicted,notbeovercome,notbeavoidedandcausethesignificantimpacttooneParty,includingbutnotlimitedtonaturaldisasterssuchasfloods,earthquakes,firesandstormsawsellassocialevents告知另一方，并应在 5 天内，提供事故详情及合同不能履行或者需要延期履行的书面资料，甲乙双方认可后协商终止合同或暂时延迟合同的履行。11 ProvidedthattheContractcannotbeperformedduetotheforcemajeure,thePartysufferingfromtheforcemajeureshallimmediatelyinformtheotherPartyinwrit
