4、 全系列产品。Party A oints whole series of Wootel products.4.代理区域 Territory仅限于 拉合尔 In Lahore, only.5.最低业务量 Minimum Turnover乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的 Wootel 产品 的订单数 量从协议签订期起前 6 个月不低于台/月， 6 个月之后每月订单数量不低 于台/月，产品销售价格按照甲方指定售价不得低于甲方要求价格，否则甲方有权 单方面取消本协议并对由此给甲方带来的损失要求乙方进行赔偿或者在其代理区域 增加新的代理。 Party B shall undert

8、 place ointed by Party B.If any event of force majeure hen that result the delivery cannot be finished, Party A and Party should negotiate to solve it together.8.商情报告 Market Report为使甲方充分了解现行市场情况，乙方承担至少每周一次或在必要时随时向 甲方提供 市场报告，内容包括与本协议代理商品的进口与销售，有关的地方规章 的变动、当地市场发展趋势以及买方对甲方按照协议供应的产品的品质、包装、价 格等方面的意见。 In

11、 video materials used for advertisement should be offered to Party A to check in advance.10.工业产权 Industrial Property Right在本协议有效期内，为销售有关手机，乙方可以使用甲方拥有的商标，并承 认使用于或 包含于手机中的任何商标专利、版权或其他工业产权为甲方独家拥 有。一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。Party B may use the trade-marks owned by Party A for the sale of the mobil

12、e phones covered.Herein within the validity of this agreement, and shall acknowledgethat allpatens, trade-marks copy right or any other industrial property rights used or embodied in the mobile phones shall remain to be the sole properties of Party A.Once anyinfringement be found, Party B shall prom

13、ptly notify and assist Party A to take steps to protect the latters right.11.协议有效期 Validity of Agreement本协议经有关双方如期签署后生效，有效期为 1 年，从 20 年 2 月 9 日至 20 年 2 月 9 日，除非做出相关通知，本协议期满后将延长 1 个月。This agreement, when duly signed by the both parties concerned shall remain effect for from February 9th, 20 to Decemb

14、er 29th, 20, and it shall be etended for another 1 month upon epiration unless note in writing is ven to the contrary.第 5 页 共 6 页12.协议的终止 Termination在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein,

15、 the other party has the right to terminate this agreement.13.不可抗力 Force Majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克 服的其他事 件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是 受不可抗力事件影响的一方需尽快将发生的事情通知另一方，并在不可抗力事件发 生的 15 天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any p

16、arty of this agreement due to flood, fire, earthquake, draught, war or any other events whh could not be predted controlled, avoided, or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of itsoccurrence in writing as soon as possible and thereafter sends a certifate of the even issued by the relevant authorities to the other party within 15 days after its occurrence.14.仲裁 Arbitration因履行本协议所发生的一切争议应通过友好协商解决。如协议不能解决争 议，应将争议 提交中国国际经济贸易仲裁委员会华南分会，按照申请仲裁时该会 实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。All
