3、la, Philippines, hereinafter referred to as“ P“AMRCTYC”IB” .o r the乙方： CAMBAYAS MINING CORPORATION 公司 (以下简称“乙方 ”)是一个在菲律宾并根据菲律宾法律注册成立的公司。注册地址如下Party A and Party B referred to as“ Parties ” collectively.甲方和乙方合称为“双方”。鉴于：Whereas:Party A is a Chinese owned Philippine company, the head quarter in China wh

4、ich mainly engaged in: industrial investments, service outsourcing, overseas project contracting, international trade and non-ferrous metal smelting. The company has three major advantages, namely: 1) A successful track record on overseas development and investment in ore exploration and operating;

5、2) Well experienced in management and capital operations of large enterprises; 3) Have up to date Cr, Mn and Ni etc. smelting technologies, in a global leading and advantageous position.甲方是一家中国公司控股的菲律宾公司，母公司为中国知名的合金冶炼公司主要经营：投资实业、海外工程总承包、国际贸易和有色金属冶炼。公司有三大优势：1) 有在海外投资开发矿石勘探及营运的成功经验；2)有管理大型企业和资本运作的团队和实

6、践经验；3) 拥有先进的铬，锰及镍等金属的冶炼技术，在全国乃至世界处于绝对领先地位。Party B is a mining and smelting group duly incorporated and validly existing under the laws of the Philippines, with good social network and owns smelting plants in Iligan and Manticao, Philippines, covering various facilities, equipment and permits.乙方是两家依据

7、菲律宾共和国法律成立并存续的矿业集团，在菲律宾拥有良好的社会关系，拥有冶炼厂在Iligan( MCCI )菲律宾，涵盖各种设施和设备及许可证Party A and Party B hold a unique status in the mining and smelting industry of the People s Republic of China and Republic of the Philippines, respectively, the Parties mutually agree to enter into a long-term strategic cooperati

8、on in the development of mining and smelting resources in the Philippines and its related domains on the basis of reciprocity and complementarities.甲乙双方在中国和菲律宾矿业行业中各自具有独特地位，本着优势互补的原则 , 双方同意在菲律宾矿产冶煉资源开发及其关联领域进行长期战略合 作。Both parties believe that the combination of the advantages of respective parties i

9、n the form of financial and industrial capital, as well as the technological advantages, management strength and combination of resources, aimed at the rapid development on industry modernization, for the economic development of both the Republic of the Philippines and Peoples Republic of China. On

10、thebasis of equality and mutual benefits, through friendly negotiation and in accordance with the relevant laws, rules and regulation, the Parties enter into this framework agreement of long-term cooperation and agree as follows:双方认为：为发挥各自优势，使金融资本和产业资本相结合，技术优势、管理优势和资源优势相结合，迅速提高产业的集约化和现代化陈独。为菲律宾和中国的经

11、济发展做出应有的贡献。在平等互利的基础上，双方通过友好协商, 按相关法律、法规及规章的规定, 就长期合作条件及安排签署本匡架协议，达成协议如下：A. Article One: Mode of Cooperation 合作模式.Both parties agree to establish a joint venture company in the Philippines NEW CORP (Philippines) Co. Ltd. (hereunto known as “ the Company ” ); for the purpose of foreign investment, pro

12、duction management双方同意在菲律宾合资设立有限责任公司NEW COR（菲律宾）有限 P公司（以下简称“公司”）。作为对外投资、生产经营 .The joint venture capital, capital contribution, responsibility of both parties with regards to the Joint Venture Company as well as corporate governance, operational mechanism and articles of association are to be made cl

13、ear or clarified.合资公司的注册资本、出资方式、合资双方的责、权利以及合资公司的法人治理结构和运作机制在合资合同和章程中予以明确。B. 合作内容Article Two: Scope of CooperationQuick lime project. 生石灰项目Both parties work together to build up a new quicklime factory, which use rotary kiln and annual production of quick lime will be up to 190,000ton.双方合作建立一个回转窑工厂安装

14、，年产生石灰可达到吨。Party A shall provide all need technique and investment which include factory design, equipments purchase, deliver, installation and operation, management of sales and market甲方负责提供技术及相.关的投资和流动资金，包括工厂设计，设备的运输，安装，生产运营，产品市场与销售，及其相关的投资和流动资金。Party B shall provide the supply of limestone, prepa

15、ration of plant, all necessary certificates and documents, local relationship乙方负.责工厂原料的提供，工厂土地准备，相关准字及当地外围关系等。The profit of this project shall be divided by the potion of investment of both parties. In the first 5 years, Party A will get 70% profit and Party B will get 30%. After 5 years, both parti

16、es will get 50% each. 双方根据投资比例来确定利润分配，在工厂开始生产后年内，甲乙双方按照70%与 30%进行利润分配，5 年后双方按照各 50%进行利润分配Chromite, Nickel and Iron Ore Smelting Projects铬铁矿及镍铁矿冶 炼项目The Joint Venture Company is to construct a pyrometallurgicalChromite, nickel and iron ore smelting projects corresponding to the output capacity of the

17、 mine projects.合资公司要建设相应规模的鉻 火法冶炼项目。The Joint Venture Company is to have a share owned Chromite mine, or to have a long term supply via contract with mine owners.合 资公司应控股拥有鉻矿，也可以与矿主签订专项的优惠供货合同。The planning for the smelter projects and the subsequent construction is to be developed.冶炼项目的建设方案另行拟定。The

18、Joint Venture intends to invest in establishing a new Industrial Zone in the Philippines, aimed at enhancing the industry in the country, provide a favorable fiscal, taxation, and monetary policy environment for both countries, China and Philippines为增强产业的 .集约化程度和在中、菲两国分别争取更优惠的财政、税收、金融政策，合资公司拟在菲律宾投资设

MiscellaneousIn the principles under this framework agreement, both Parties can enter into separate agreements for specific projects, clarify specific program responsibilities, rights, benefits and structure with the help of depen

20、dable program corporate managers, aimed at improving the work process possibly involved.在此框架协议的原则下，双方应就对具体项目另行签订协议，以明确双方在具体项目中的责、权、利，健全法人经理结构，完善运作机制；保密条款Confidentiality ClauseThe terms and conditions stipulated in this memorandum of understanding, including its existence, shall be confidential infor

21、mation and shall not be disclosed to any third party (other than each Party s professional advisers,members of the board of directors or officers, the relevant authorities ofthe People s Republic of China, for the purpose of obtaining approvals and satisfying other requirements necessary for completing the transaction） however the exceptions required by applicable laws, regulations or policies or stock exchange rules条款及条件在此合作匡架协议，包括它的存在，应保密的信息，不得透露给任何第三方（除各缔约方的专业顾问，董事或高级人员，董事会成员，中华人民共和国的有关当局，为获得批准和满足完成交易所需的其他条件的目的），但适用的法律、规章、政策或交易所规则的要求的除外。争议解决Resolution of DisputeAll
