2、atedinordertostandardizecommercialfranchising,tosafeguardthelawfulrightsandinterestsoftheparties,andtopromotethehealthyandorderlydevelopmentofcommercialfranchise.Article 2 ForthepurposesoftheseProcedures,theterm"commercialfranchising”(hereafter,franchising)shallrefertothearrangementwherebyafran

3、chisor,throughtheconclusionofacontract,authorizesafranchiseetousebusinessresourcessuchasthetrademark,tradenameandbusinessmodelofwhichithastherighttoauthorizetheusethereofbyotherparties.Thefranchiseeshallconductbusinessactivitiesinaccordancewiththestipulationsofthecontractunderauniformbusinesssystema

4、ndpaythefranchisefeestothefranchisor.Article 3 TheseProceduresshallapplytotheengagementinfranchisingactivitieswithinthePeople'sRepublicofChina.Article 4 Afranchisormay,inaccordancewiththestipulationsofthecontract,directlygrantfranchiserightstoafranchisee.Thefranchiseemayinvestinandestablishfranc

5、hiseoutletsandengageinbusinessactivities,butmaynotgrantsub-franchises.Ifafranchiseehasbeengrantedexclusivefranchiserightswithinaparticulararea,itmayfurthergrantsub-franchisetoanotherapplicantandmayestablishitsownfranchiseoutletswithinthatarea.用心整理可以编辑的word文档Article 5 Theoperationoffranchisebusinesss

6、hallabidebythelawsandregulationsofthePeople'sRepublicofChinaandtheprinciplesofvoluntariness,fairness,honestyandtrustworthiness,andshallnotharmthelawfulrightsandinterestsofconsumers.Afranchisorshallnotuseafranchiseunderfalsepretencesto川egallyengageindirectsellingactivities.Afranchisorthatengagesi

7、ncommercialactivitiesintheformoffranchisingmaynotcreatemarketmonopolyorobstructfaircompetition.Article 6 TheMinistryofCommerceshallimplementregulationoffranchisingactivitiesthroughoutChina.Departmentsinchargeofcommerceatalllevelsshallimplementregulationoffranchisingactivitieswithintheirareaofjurisdi

8、ction.PARTTWOFRANCHISINGPARTIESArticle 7 Afranchisorshallhavethefollowingqualifications:1. itshallbeanenterpriseorothereconomicorganizationestablishedaccordingtolaw;2. itshallhavethebusinessresourcessuchastrademark,tradenameandbusinessmodelofwhichithastherighttoauthorizetheusethereofbyanotherparty;3

9、. itshallhavethecapabilitytoprovidelong-termbusinessguidanceandtrainingservicestothefranchisees;4. itshallhaveatleasttwodirectly-runstoreswithinChinathathavebeenoperatedforatleastoneyear,ordirectlyrunstoressetupbyitssubsidiariesorcompaniesinwhichithasacontrollingshare;5. wherethefranchisorisrequired

10、toprovidegoodsforfranchising,itshallhaveagoodssupplysystemthatisstableandthatcanguaranteethequality,andshallbeabletoproviderelevantservices;and6. itshallhavegoodreputationandnorecordoffraudulentactivitiesintheformoffranchising.用心整理可以编辑的word文档Article 8 Afranchiseeshallhavethefollowingqualifications:1

11、. itshallbeanenterpriseorothereconomicorganizationestablishedaccordingtolaw;and2. itshallhavethefunds,fixedpremisesandpersonnel,etc.thatcommensuratewithfranchising.Article 9 Afranchisorshallenjoythefollowingrights:1. tosupervisethebusinessactivitiesofthefranchiseeinaccordancewiththestipulationsofthe

12、contractinordertoensureuniformityofthefranchisingsystemandtheconsistencyofthequalityoftheproductsandservicesprovided;2. torevokethefranchisingqualificationsinaccordancewiththestipulationsofthecontractofafranchiseethatviolatesthefranchisecontract,infringesthelawfulrightsandinterestsofthefranchisor,or

13、damagesthefranchisingsystem;3. tocollectfranchisefeesanddepositsinaccordancewiththestipulationsofthecontract;and4. otherrightsstipulatedinthecontract.Article 10 Afranchisorshallperformthefollowingobligations:1. todiscloseinformationaccordingtotherelevantprovisionshereofinatimelymanner;2. tograntthef

14、ranchiserightsfortheuseofthefranchisee,andtoprovidebusinesssymbolsandoperationmanualthatrepresentthefranchisingsystem;3. toprovidetothefranchiseesales,businessortechnicalguidance,trainingandotherservicesnecessaryfortheoperationofthefranchise;4. tosupplygoodstothefranchiseeinaccordancewiththestipulat

15、ionsofthecontract.Exceptinthecaseofexclusivecommoditiesorgoodsthatmustbeprovided用心整理可以编辑的word文档bythefranchisororasupplierdesignatedbythefranchisortoensurethequalityoffranchising,thefranchisorshallnotcompelthefranchiseetoacceptgoodssuppliedbyitself,butitmaystipulatethatthegoodsmustreachthequalitystan

16、dard,orsuggestseveralsuppliersforthefranchiseetoselect;5. thefranchisorshallberesponsibleforguaranteeingthequalityofgoodssuppliedbythesuppliersitdesignates;6. salespromotionandadvertisingstipulatedinthecontract;and7. otherobligationsstipulatedinthecontract.Article 11 Afranchiseeshallenjoythefollowin

17、grights:1. businessresourcessuchastrademark,tradenameandbusinessmodeltheuseofwhichareauthorizedbythefranchisor;2. trainingandguidanceprovidedbythefranchisor;3. timelysupplyofgoodsprovidedorarrangedbythefranchisoratthepricestipulatedinthecontract;4. salespromotionsupportuniformlyprovidedbythefranchis

18、or;and5. otherrightsstipulatedinthecontract.Article 12 Afranchiseeshallperformthefollowingobligations:1. toengageinbusinessactivitiesinaccordancewiththestipulationsofthecontract;2. topaythefranchisefeesandthedeposit;3. tosafeguardtheuniformityofthefranchisingsystem,andmaynotgrantsub-franchiseswithou

19、tthepermissionofthefranchisor;4. toprovidetothefranchisorinatimelymannertrueinformationstipulatedinthecontractsuchasbusinessconditionsandfinancialstatus;5. toacceptguidanceandsupervisionofthefranchisor;6. tomaintaintheconfidentialityofthetradesecretsofthefranchisor;and用心整理可以编辑的word文档7. otherobligati

20、onsstipulatedinthecontract.PARTTHREEFRANCHISECONTRACTSArticle 13 Theparticularsoffranchisecontractsshallbeagreedbythepartiesandshallingeneralincludethefollowing:1. thenamesanddomicilesoftheparties;2. theparticulars,termandplaceofthegrantofuseoffranchiserights,andwhetherornotitisexclusive;3. thetype,

21、amountandmethodofpaymentoffranchisefees,andthemethodsofcollectionandrefundofdeposit;4. confidentialityclauses;5. controlofandresponsibilityforthequalityoffranchisedgoodsandservices;6. trainingandguidance;7. useoftradename;8. useofintellectualpropertyrightssuchastrademark;9. complaintsofconsumers;10.

22、 promotionandadvertising;11. modificationandterminationofcontract;12. liabilityforbreachofcontract;13. clausesonresolutionofdisputes;and14. otherclausesagreedbybothparties.Article 14 Franchisefeesshallrefertothefeespaidbythefranchiseeforobtainingthefranchiserights,whichshallincludethefollowingtypes:

23、1. initialfee:alumpsumpaymentbythefranchiseetothefranchisorforfranchiserights;用心整理可以编辑的word文档2. usagefee:afeepaidperiodicallybythefranchiseetothefranchisorinthecourseofuseoffranchiserightsaccordingtoacertainstandardorratio;and3. otherstipulatedfees:otherfeespaidbythefranchiseetothefranchisorinaccord

24、ancewiththestipulationsofthecontractforrelevantgoodsorservicesprovidedbythefranchisor.Depositshallrefertocertainfeescollectedbythefranchisorfromthefranchiseetoensurethatthefranchiseeperformsthefranchisecontract.Thedepositshallberefundedtothefranchiseeuponexpirationofthecontract.Bothpartiestoafranchi

25、secontractshallnegotiateanddeterminefranchisefeesanddepositinaccordancewiththeprinciplesoffairnessandreasonableness.Article 15 Thetermoffranchisecontractsshallingeneralbenolessthanthreeyears.Uponexpirationofafranchisecontract,thefranchisorandthefranchiseemaydetermineuponconsultationtheconditionsforr

26、enewalofthefranchisecontractbasedontheprinciplesoffairnessandreasonableness.Article 16 Afterafranchisecontracthasterminated,theoriginalfranchiseemaynotcontinuetousetheregisteredtrademark,tradenameorothermarksofthefranchisorwithouttheconsentofthefranchisor;applytoregistertheregisteredtrademarkofthefr

29、ommoditiesorservices.PARTFOURINFORMATIONDISCLOSUREArticle 17 Thefranchisorandfranchiseeshalldisclosetherelevantinformationinatimelymannerpriortotheconclusionofthefranchisecontractandinthecourseoffranchising.Article 18 Thefranchisorshallprovidetotheapplicanttrueandaccuratebasicinformationrelatedtofra

30、nchisinginwritingandthetextofthefranchisecontract20dayspriortotheformalconclusionofthecontract.Article 19 Thebasicinformationtobedisclosedbythefranchisorshallinclude:1. thename,domicile,registeredcapital,scopeofbusinessandthetermoffranchiseofthefranchisor,andbasicdetailssuchasthecontentsoffinancialr

31、eportsauditedbyanaccountingfirmanddetailsoftaxpayments;2. thenumber,location,businessstatusandbudgetforinvestmentinthefranchiseoutletsofthefranchisee,andtheratiooffranchiseesthathavedissolvedthefranchisecontracttothetotalnumberoffranchisees;3. registration,useoflicenceandlitigationconcerningthetrade

33、dtothefranchisee,aswellasthesupplementaryconditionsandrestrictions,etc.;7. proofofabilitytoprovidetrainingandguidancetothefranchisee,andtheactualdetailsoftrainingorguidanceprovided;8. basicdetailsofthelegalrepresentativeandotherprincipalresponsiblepersons,andwhethertheyhavebeensubjecttocriminalpenal

34、tyorhavebornepersonalliabilityforbankruptcyofenterprise,etc.;and9. otherinformationanddetailsthatthefranchiseeisrequiredtodisclosebythefranchisor.Iftheinformationdisclosedisincompleteorfalse,therebycausingeconomiclosstothefranchisee,thefranchisorshallbeartheliabilityforcompensation.Article 20 Thefra

35、nchiseeshalltruthfullyprovideinformationonitsbusinesscapabilitiesinaccordancewiththerequirementsofthefranchisor,includingproofofprincipalqualification,creditworthiness,propertyrights,etc.Inthecourseoffranchising,itshallprovideinatimelymannerinformationstipulatedinthecontractsuchasthetruedetailsofthe

36、businessstatusinaccordancewiththerequirementsofthefranchisor.用心整理可以编辑的word文档Article 21 Inthecourseoffranchisingandafterafranchisecontracthasterminated,thefranchiseeanditsemployeesmaynot,withouttheconsentofthefranchisor,disclose,useorpermitotherstousethetradesecretsofthefranchisorthathavecometotheirk

37、nowledge.Article 22 Personsandapplicantsthathavenotyetverifiedafranchisecontractwiththefranchisorbuthaveknowledgeofthefranchisor'stradesecretsthroughinformationdisclosureofthefranchisorshallbeobligedtomaintainconfidentiality.Withouttheconsentofthefranchisor,theymaynotreveal,discloseortransferthe

38、tradesecretsofthefranchisortoanotherparty.PARTFIVEADVERTISINGANDPROMOTIONArticle 23 Theadvertisingandpromotioninformationprovidedbyfranchisorsduringpromotion,salespromotionorsaleoffranchiserightsshallbeaccurate,truthfulandlawful,andtheremaynotbefabricationoromissionofimportantfacts,orstatementsthatm

39、aypossiblybemisleading.Article 24 Recordsandfiguresofbusinessincomeandprofitsofthefranchisororotherrelevantinformationreferredtodirectlyorindirectlyintheadvertisingandpromotionmaterialsofthefranchisorsandfranchiseesshallbetrue,andtheareaandtimeinvolvedshallbespecified.Article 25 Franchisorsandfranch

40、iseesmaynotimitatethetrademark,advertisingscenesandterms,orotherdistinguishingmarksofanotherpartybyanymethodthatmaybemisleading,fraudulentorcreateconfusion.Article 26 Infranchisingpromotionactivities,afranchisormaynotexaggeratetheprofitsfromfranchisingordeliberatelyconcealcircumstancesthatmayobjecti

41、velyaffecttheprofitsofothers.用心整理可以编辑的word文档PARTSIXSUPERVISIONANDADMINISTRATIONArticle 27 Departmentsinchargeofcommerceatalllevelsshallstrengthenadministrationandcoordinationoffranchisingactivitieswithintheiradministrativearea,andshallguidetheworkoflocalindustryassociations(orchambersofcommerce)。Dep

42、artmentsinchargeofcommerceatalllevelsshallestablishcreditfilesforfranchisorsandfranchisees,andshallannouncethenamesofenterprisesinviolationofregulationsinatimelymanner.Article 28 Franchiseindustryassociations(orchambersofcommerce)shallformulateindustrystandardsinaccordancewiththeseProceduresandexerc

43、iseself-regulationtoproviderelevantservicestofranchisingpartiesandpromotethedevelopmentoftheindustry.Article 29 Franchisorsshall,inJanuaryeachyear,submitthefranchisecontractsconcludedinthepreviousyeartotheirlocaldepartmentinchargeofcommerceandthedepartmentinchargeofcommerceattheplacewherethefranchis

44、eeislocatedforrecordfiling.Localdepartmentsinchargeofcommerceshallreportthedetailsofrecordfilingtothedepartmentinchargeofcommerceatonelevelabove.Article 30 Wherefranchisingactivitiesinvolvespatentlicensing,apatentlicensingcontractshallbeconcludedinaccordancewiththeprovisionsofthePRC,TrademarkLawandi

45、tsimplementingrules,andrecordfilingmattersshallbehandledinaccordancewiththeAdministrationoftheRecordFilingofPatentLicensingContractsProcedures.Article 31 Priortoengagementinfranchiseactivities,thefranchisorshallhandlerecordfilingofthetrademarklicensingcontractinaccordancewiththeprovisionsofthePRC,Tr

47、prisesengagingincommercialactivitiesintheformoffranchisingshallapplytotheoriginalexaminationandapprovalauthorityforadditionof"engagementincommercialactivitiesintheformoffranchising”tothescopeofbusiness,andshallsubmitthefollowingmaterials:1. applicationformandresolutionoftheboardofdirectors;2. e

48、nterprisebusinesslicenceandapprovalcertificateforforeign-investedenterprises(photocopy);3. amendmentagreementforthecontractandarticlesofassociation(inthecaseofforeign-investedenterprises,onlyamendmentstoarticlesofassociationshallbesubmitted);4. documentarymaterialsinsupportofcompliancewithArticle7he

49、reof;5. basicinformationanddetailsthatreflecttheprovisionsofArticle19hereof;6. asampleofthefranchisecontract;and7. franchiseoperationmanual.Theexaminationandapprovalauthorityshallissueawrittendecisiononwhetherornottoapprovetheapplicationwithin30daysofthedateofreceiptofalltheaforementionedapplication

51、ign-investedenterpriseengagesincommercialactivitiesintheformoffranchisinguponapproval,itshallsubmitthefranchisecontractconcludedinthepreviousyeartotheoriginalexaminationandapprovalauthorityandthedepartmentinchargeofcommerceattheplacewherethefranchiseeislocatedforrecordfilinginJanuaryeachyear.Article

52、 35 Whenaforeigninvestorestablishesaforeign-investedenterprisethatspecificallyengagesincommercialactivitiesintheformoffranchising,itmustcomplywiththeprovisionsofrelevantlaws,regulationsandrulesonforeigninvestmentinadditiontotheseProcedures.Article 36 Foreign-investedenterprisesalreadyengagedincommer

53、cialactivitiesintheformoffranchisingbeforetheimplementationoftheseProceduresshallfilearecordofthedetailsoftheoperationofbusinesswiththeoriginalexaminationandapprovalauthority.ThosecontinuingtoengageincommercialactivitiesintheformoffranchisingshallcompletetherelevantformalitiesinaccordancewiththeprocedurestipulatedinthisPart.Article 37 EngagementincommercialactivitiesintheformoffranchisingbyHongKong,MacaoandTaiwaninvestme
