1、.合作框架协议Cooperation Framework Agreement甲方：西安旌旗电子有限公司Party A: XiFlagan Electronic Co., Ltd.乙方： GLOBAL TORONICS FOR ELECTRONICS (EGYPT)Party B: GLOBAL TORONICS FOR ELECTRONICS (EGYPT)甲乙双方本着互惠互利、资源共享、技术互补和共同发展的原则，经双方友好协商,就甲方向乙方提供电力线载波模块、抄表系统及相关电力线载波技术方案，达成合作意向，为明确双方的权利、义务特制订本协议。Bothparties,for principle

Ways of cooperation1 、甲方按照乙方需求设计提供符合要求的全套载波电表设计、生产、调试技术方案，乙方按照方案生产整表。集中器、载波模块、 MCU 芯片、软件由甲方负责提供。1. Party A, in accordance wit

Intellectual property rights甲方所提供的所有技术及资料均归甲方所有，合作期间允许乙方无偿使用，未经甲方许可乙方不得转让第三方使用。合作终止后乙方需归还乙方所有的技术、资料及产品。All the techniques and information provided by Party A shall be owned by Pa

8、rty A, whichmay be used for free by Party B during the cooperation; but Party B may not transfer it tothird parties without permission of Party A. To ensure the smooth progress of cooperation for both parties, speed up the process ofthebilateralcooperationandprotectPartyA s intellectualpropertyrights,therebyenhance the integrity of both parties;2 、甲方向乙方收取20000美元保证金，在甲乙双方进行批量交易时，冲抵乙方货款。2. Party A shall collect US$ 20,000 as deposit

10、 from Party B, which may be used as payment for goods of Party B in the bulk transactions of both parties.五、双方的权利义务5. Rights and obligations of both parties1 、甲方负责技术支持和前期产品调试指导，合作前期必要时甲方派专人去现场进行技术指导。1. PartyA is responsiblefortechni cal supportandproduct pres -debuggingguidance,and Party A shall sen

11、d specially-assigned person to the site for technical guidance whennecessary in the prophase of cooperation;2 、甲方负责提供技术方案及技术资料。2. Party A is responsible for providing technical solutions and technical information;3 、甲方提供所有的技术资料，乙方要严格保密，未经甲方许可乙方不得转让第三方使用。3. Party A is responsible for providing all th

12、e technical information, which shall be strictly confidential by Party B, and not be transferred to third parties without permission of Party A;4 、合作后期，甲方负责提供载波模块、集中器、系统软件；乙方负责自行设计生产载波电表整表及系统的调试和服务。4. During the late cooperation period, Party A shall be responsible for providing the carrierwave modu

13、le, concentrator and system software; and Party B shall be responsible for thedesign and production of the whole carrier wave ammeter and the debugging and serviceof the system.可编辑.六、技术及其他约定6. Technical and other conventions1 、技术标准为甲方提供本企业载波系统的企业标准，符合中国DLT/645-1997规约。1. The technical standards provi

14、ded by Party A are enterprise standards for its carrier wavesystem, which arein line with China s DLT/645-1997Statute;2 、甲方向乙方提供单三相电度表PCB 板的外形寸图。2. 16、约。8. Validity period of this contract is from_to_after which it shall be renewed.可编辑.九、甲、乙双方在执行本合同时发生争议，可通过双方友好协商解决。协议未尽事宜,双方协议签订补充协议 ,与本协议同样具有法律效应。本协议一式两份，双方各执一份。本协议经双方签章生效。9. When disputesoccur during theimplementationofthe Contractbetween thetwoparties theymaybe resolved throughthe friendlyconsultationof thetwo parties.Forissues not stipulated in this Contract, both parties shall negotiate to signa supplementaryagreementwhichhas the same legal force withthisContract.
