1、AssetsTransferAgreementthisassetstransferagreement(thisagreement)ismadebetweenandbythefollowingpartiesinbeijingon,(m,d,y).partya:aaaco.,ltd.address:partyb:bbbco.,ltd.address:whereaspartyaagreestoassigntopartybtheassetsconcernedtopartybandpartybagreestoacceptthesaidassets;therefore,thepartiesreachthe

2、followingagreementthroughfriendlyconsultations:article 1partyaagreestoassigntheassetslistedinattachmentiofthisagreement,andpartybagreestoaccepttheforegoingassets.article 2thepartiesagreethatpartyawillcompletealltheproceduresnecessaryforthetransferoftheassetslistedinattachmentiheretofrompartyatoparty

3、bwithinuponexecutionofthisagreement(excludingthedayofexecutionforthisagreement),whichincludebutarenotlimitedtothehand-overofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable).partybwillpaypartyaanassignmentfeeoffortheassetsassignedbypartya.article 4thepartiesag

4、reethatthetitleoftheassetslistedinattachmentiheretowillbetransferredtopartybontheuponexecutionofthisagreement.partyashallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinattachmentiheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedbeforeorafterthe

5、transferofsuchtitle),forwhichpartybshallbearnoliabilitiesandobligations.incasepartybdoesnotreceivetheforegoingassetswithinuponexecutionofthisagreement,partyashallcompensatein.article 5representationandguarantee5.1 partyrepresentsandguaranteesasfollows:(a) partyaisacompanyincorporatedandvalidlyexisti

6、ngpursuanttothechineselaws;(b) byexecutingandperformingthisagreement,partyadoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement;and(c) partyaisentitledtotheownershipoftheassetslistedinat

7、tachmentiheretoandhasnotplacedmortgageoranythirdpartysinterestsagainstsuchownership,nordoesitimposeanyobstacletopartybfortheobtainmentofthetitleofsuchassets.5.2 partybrepresentsandguaranteesasfollows:(a) partyaisacompanyincorporatedandvalidlyexistingpursuanttothechineselaws;and(b) byexecutingandperf

8、ormingthisagreement,partybdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement.article 6liabilityforbreachofagreement6.1 ifonepartytothisagreement(thebreachingparty)failstoimplementitsob

9、ligationsunderthisagreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithinuponreceiptofawrittennoticebytheotherparty(thenon-breachingparty)forsuchcorrectionwithinthestipulatedtime,thenon-breachingpartyhastherighttote

10、rminatethisagreementandclaimcompensationfromthebreachingpartyforthelossessustainedtherefrom.6.2 ifpartyaviolatestheprovisionsofarticles2and5ofthisagreement,partybhastherighttoseekreturnofallthepaymentandapenaltyequaltoofthetotalpricefrompartya.settlementofdisputeanydisputearisingoutoforinconnectionw

11、iththisagreementshallbesettledbythepartiesthroughconsultations.ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetochinainternationaleconomicandtradearbitrationcommissionforarbitrationinbeijingaccordingtoitsvalidrulesofarbitration.thearbitrationawardisfinalandshallbebindingovert

12、heparties.article 8forcemajeureaforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovercomeatthetimewhenthisagreementisexecuted.anypartytothisagreementshallnotbeartheliabilitiesforbreachofthisagreementifitispreventedfromimplementingalloranypartofther

13、esponsibilitiesassociatedwiththeprovisionsofthisagreement.thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithinafteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan.article 9transferofagreementnopartyshalltransferitsrightsandobligations

14、underthisagreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting.separabilityofagreementifanyarticleorsectionofthisagreementbecomesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections.article 11amendmentandsupplementofagreementthepartiesmayamendorsupple
