2、tractismadeandenteredintothroughfriendlynegotiationbyandbetweenChina(hereinafterreferredtoas“Clientas)oneparty,and(hereinafterreferredtoasaConsultant“theasotherparty,concerningthetechnicalconsultancyserviceof,underthefollowingtermsandconditions:Article1ContentsofTechnicalConsultancyService1.1 Wherea

3、sClientdesirestoobtainthetechnicalconsultancyserviceoffromConsultantandConsultanthasagreedtoperformsuchservices.1.2 TheScopeofTechnicalServicesisdefinedinAppendix1.1.3 TheTimeSchedulefortheServicesisshowninAppendix2.1.4 TheManningScheduleisdescribedinAppendix3.1.5 ConsultantshallcompletetheServicesw

4、ithinmonthsfromtheEffectiveDateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,withinmonths.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningofthep

5、roject.Article 2 BothParties'ResponsibilityandLiability2.1 ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativ

6、ewhoshallbeavailableatreasonabletime.2.2 ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.2.3 Consultantshallfurnishasufficientnumbe

7、rofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant'sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant'spersonnelarisi

8、ngoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.2.4 ConsultantshallprovideClientallthetechnicaltechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices.2.5 ConsultantshallassistClientSper

9、sonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClient，Spersonnelofficespaceandnecessaryfacilitiesaswellastransportation.2.6 ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordam

10、agetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant'spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.2.7 AnyandallliabilityofConsultantwithrespecttothisContractshallb

11、elimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.Article 3 PriceandPayment3.1 Thetotalcontractpriceis(sayonly)in(currency).Thebreakdownpricesoftheabovementionedtotalcontractpriceareasfollows:ContractPric

12、eforItem1:(sayonly)in(currency);ContractPriceforItem2:(sayonly)in(currency);ContractPriceforItem3:(sayonly)in(currency);ContractPriceforItem4:(sayonly)in(currency).3.2 ThetotalcontractpricewillincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfl

13、uctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeople'sRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClient'sofficebyallkindsofforms.IntheeventofForceMaj

14、eureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServicesthepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.Thisdoc

15、umentshallthenformintegralpartoftheContract.3.3 AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthroughinChinatofortheaccountofConsultant.InconsiderationfortheservicesprovidedbyConsultanthereunder,Clie

16、ntshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:3.3.1 percent(%)ofthetotalcontractprice,i.e.(Say:only),shallbepaidbyClienttoConsultantwithin()daysaftertheclienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder.A. TechnicalservicereportonItem4:monthsaftereffectivenessoftheContract.4.2 ConsultantwillinformClientbyFaxwhentheTechnicalservicereportsareairmailedtoClientindicat

27、ingthedateandnumberofairwaybill.ClientwillinformConsultantwhentheTechnicalservicereportshavebeenreceived.4.3 ShouldanydocumentbemissingordamagedduringthetransportConsultantshallbenotifiedaccordinglyandwithintwo(2)weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.Article 5 Confi

28、dentiality5.1 Alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindin

29、gonConsultantnotwithstandingtheterminationoftheContractforanyreason.5.2 WithinthevalidityperiodofContract,Bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.5.3 Eitherpartysha

30、llbeobligedtokeepconfidentialanysecretinformationoftheotherpartywhicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseoftheperformanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.Article

31、 6 TaxesandDuties6.1 AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofPRCshallbebornebyClient.6.2 AlltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,accordingtoChinesetaxlaws

32、andtheagreementbetweenthegovernmentofPRCandthegovernmentofConsultant'scountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentun

33、derContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.6.3 AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbeborn

34、ebyConsultant.Article 7 Warranty7.1 ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.7.2 Intheeventofafailure

35、ofConsultanttoprovidetoClientsatisfactoryserviceswithinthescopeofworkdescribedinAppendixatanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodofdaystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfa

36、iltocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinAppendix.7.3 ConsultantguaranteestoClientthatheshall,afterreceiptofnoticefromClient,promptlycorrectatnocostanyerrors

37、intheservicesarisingoutofthenegligentperformancethereof.Article 8 OwnershipofTechnicalServiceReports8.1 FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.Suchmaterialsshallb

38、esortedandindexedbyConsultantpriortotransmissiontoClient.8.2 Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenappr

39、ovalofClient.Article 9 Assignment9.1 NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.Article 10 Termination10.1 If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedelivery

40、schedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:A.percent(%)ofthetotalcontractpriceperweekforthefirstfourweeks;10.2 rcent(%)ofthetotalcontractpriceperweekfromthefifthweektotheeighthweek;C.percent(%)ofthetotalcontractp

41、riceperweekfromtheninthweekofdelay.Odddayslessthanone(1)weekshallbecountedasone(1)weekforcalculatingtheliquidateddamage.10.3 Thetotalliquidateddamageforlatedeliveryshallnotexceedpercent(%)ofthetotalcontractprice.PaymentoftheliquidateddamageforlatedeliveryshallnotreleaseConsultantfromitsobligationtod

42、elivertechnicalservicereports.10.4 Clientmay,withoutprejudicetoanyotherremedyforConsultant'sfollowingbreachofContract,terminateContractinwholeorinpartbyawrittennoticeofdefaultsendtoConsultant,ifConsultantA. Failstodeliveranyoralloftechnicalservicereportswithin()daysafterthescheduleddeliverydatea

43、sspecifiedinArticle1;orB. FailstomakethetechnicalservicereportsmeettheminimumlevelofAcceptanceStandardsasspecifiedinAppendix1.ConsultantshallrefundtoClientallthepaymentseffectedbyClienttoConsultantplusaninterestattherateofpercent(%)perannumincaseofsuchatermination.10.5 Eitherpartymay,withoutprejudic

44、etoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty.A. failstoperformitsconfidentialityobligationunderContract;orB. failstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodof()daysuponreceiptoft

45、hewrittennoticeoraperiodagreeduponbetweentheparties;orC. becomesbankruptorinsolvent;orD.AffectedbyanyeventofForceMajeureformorethandays.Article 11 ForceMajeure11.1 ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthqu

46、ake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.11.2 Theaffectedpartyshallnotbeliableforanydelayo

47、rfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.11.3 BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovalofthee

48、ffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.Article 12 Arbitration12.1 AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenCommissionforarbitrationinaccordancewiththeCo
