2、NARYDRUGCOL,LTD.(Distributor),WESTSTREETOFXIGUAN,CITYOFDINGZHOUHEBEIPROVINCE,P.R.CHINA073000.THISAGREEMENTreplacesthedocumentsignedtheseventhdayofOctober,2013(AppendixA).经销商合同本合同由供货商康福特蹄护理有限公司联合德瑞兰帝蹄护理学院及舒尔步国际咨询有限公司(供货商)与经销商陈氏兽药有限公司(经销商)于2015年8月7日拟定。供货商公司地址为美国威斯康星巴布拉曼尼岗道E12678号,邮编53913;经销商公司地址为中国河北省

3、定州市西关街道,邮编073000。本合同代替2013年10月7日签署的文件(附录A)享有法律效力。ARTICLEI第一章APPOINTMENTOFDISTRIBUTORSHIP委任经销权1.ExclusiveDistributionRight.TheCompanyherebyappointsandgrantsDistributortheexclusiveandnon-assignablerighttosellandpromotetheequipment,hoofhealthsupplies,trainingandconsultingservicesoftheCompany.Theaboveit

Accu-Bond?iii.Accu-Sole?iv.Accu-Trim?HoofAnalyzerv.Accu-StepTMFloorGroovervi.7-TrimRule?vii.Roto-ClipTrimmingDiscsandAccessoriesviii.Othertoolsandsuppliesavailablethroughcompany1.独家经销权。本公司(供货商)特此委任并授权经销商独家经销权及不可转让权销售并推广蹄护理用品、培训及咨询服务。上述产品在本合同中将用“商品”代替。本

6、公司商品的独家权不限于以下产品:a.蹄修剪设备(修蹄设备)i.康福特修星设备一H系列ii .康福特修星设备一M系列iii .康福特修星设备一E系列iv .束腿带v.供货商公司其它相关设备b.蹄卫生兽医工具和用品i.修蹄鞋?ii .粘蹄鞋胶?iii .脚底工具?iv .蹄部分析器?v .地面挖槽机(未注册商标)vi .7-修蹄规定?vii .旋转修剪工具及辅助设备viii.供货商公司其他工具和用品2. Communication.Electroniccommunicationthroughemailandtextisappropriateforgeneralbusinessdiscussions

7、andcontracts.Communicationviavoice/videoconferencingwillbescheduledbetweentheCompanyandDistributortodiscussmarketconditions,customerneeds,distributoragreementadherenceandanyotheritemsthateitherpartyposesfordiscussion.2.通讯。合同双方可通过电子邮件和信息等电子通讯工具进行一般性业务洽谈与交流。供货商与经销商还可通过电视/电话会议会讨论市场条件、客户需求、经销商协议的遵守及就其他任

8、何一方提出的问题进行讨论。3. Territory.TheexclusiverightshallbelimitedwhohaveplacesofbusinessdistributiontocustomersinandwillinitiallyusetheCompany'sproductsinCHINA.3.经销范围。独家经销权应限于具有销售渠道,并且首次在中国使用供货商产品的商家。4. Confidentiality.CompanyandDistributoreachagreethatitshallnotdisclosetoanythirdpartytheotherparty'

9、sConfidentialInformation,andthatitshallmakenouseofanysuchConfidentialInformationotherthaninconnectionwithperformanceofitsobligationsarisingundertheAttachment.ConfidentialInformation"shallmeanallofthefollowing,whetherinwritten,graphic,machinereadable,machine-reproducible,oralorotherformorformat:

10、information,detailsofoperation,methods,software,know-how,successesandfailures,practices,technicalplans,blueprints,schematics,specifications,customerlists,pricelists,supplierlists,marketingplansandsystems,financialinformation,thedetailsoftheTermsandAttachment,andallothercompilationsofinformationwhich

11、relatetothebusinessofapartytomaintainitssecrecythatarereasonableunderthecircumstances.ConfidentialInformationshallnotincludeinformationormaterialthat:(i)wasinthepublicdomainpriortothedateoftheAttachmentorthatsubsequentlycomesintothepublicdomainthroughnofaultoftheotherparty,(ii)apartycanshowthroughta

12、ngibleevidencewasknowntoitatthetimeofadisclosureandnotacquireddirectlyorindirectlyasaconsequenceofitsrelationshipwiththeother,(iii)waslawfullyreceivedbyapartyfromathirdpartfreeofanyobligationofconfidentiality,or(iv)isrequiredtobedisclosedinajudicialoradministrativeproceedingorbyagovernmentalorregula

13、toryauthority,domesticorforeign.Eachpartyagreestopromptlygivetheothernoticeofanyrequestforadisclosuredescribedintheprecedingclause(v).EachpartyshallrequireitsrespectiveemployeesandagentstokeepconfidentialsuchConfidentialInformationandshallindemnifytheotherpartyintheeventofabreachofthisprovisionbyits

14、respectiveemployeesoragents.4.机密。供货商与经销商双方任何一方均不得向第三方公开双方的机密信息。除与附件条款规定的义务行为有关的机密信息外,双方不得使用任何此类机密信息。机密信息包括以下书面文字的、图表的、机读的、计算机再生的、口语的或其他形式的信息:设备信息、操作细节、方法、软件、专门技能、成功与失败,实践、技术计划,蓝图、图表,说明书,客户名单,报价单,卖方名单、营销计划及系统,财政信息、合同条款及附件细节,及其他所有与合同一方业务有关的机密信息,此种情况下保守机密信息是合理的。机密信息不含以下信息及材料:(i)已经先于合同签署之日公开,或在合同签署之后公开但

15、并非双方过错,(ii)在公开信息时,合同一方具有大众化有形证据,并与另一方无直接或间接关系(iii)合同一方从没有保密义务的第三方合法接收的材料,或(iv)在司法或行政讼诉中要求公开,及国内外政府或监管机构要求公开。合同一方须立即通知另一方披露上述条款中所述机密信息的要求,(v)合同双方应要求本方员工与代理商对机密信息进行严格保密,如果任一方员工或代理商违反这一规定,则须进行赔偿。5. CompetitiveEquipment.Distributoragreesnottorepresent,sellorpromoteanygoodsorserviceswhicharedeemedbytheCo

17、ersforequipmentandgoodstoexceedUS$400,000,00C.YearThree:AnnualordersforequipmentandgoodstoexceedUS$500,000,006.销售指标。A.第一年:设备及商品的年订单额超过$300,000,00;B.第二年:设备及商品的年订单额超过$400,000,00;C.第三年:设备及商品的年订单额超过$500,000,000ATICLEII第二章MARKETINGANDSUPPORT营销及支持1. Sales.a. Distributorsshalluseitsbesteffortstopromotethes

18、aleanddistributionoftheEquipmentandtoprovideadequatesupport,whicheffortsshallincludethefollowing:i. Establishingandmaintainingappropriate,attractiveandaccessiblepremisesandfacilities,primarilycleanandfunctionalequipmentforthedisplay,traininganddemonstrationofgoods.ii. MaintaincurrentknowledgeofCompa

19、nyequipmentspecifications,components,operationalproceduresandoptionalsubassemblies.DistributorwillsendrepresentativewithinterpretertoCompanyfacilityfortechnicaltrainingonEquipmentassembly,operationandmaintenance.ThistrainingwilltakeplacefortwoweeksinBaraboo,WisconsinduringtheperiodofJanuarythroughMa

20、rch2016.CompanywillfullydisclosetoDistributorallchangesofdesign,includingsubassembliesandcomponents.CompanywillprovidesupporttoDistributorregardingdesignchanges,includingequipmentstructureandcomponents.iii. Maintaincurrentknowledgeofgoods,includingbutnotlimitedtohoofhealthsupplies,serviceandproperfu

21、nctionaltrimming.Annually,Distributorwillmakeavailableviavideoconferencearepresentativefortechnicaltrainingonhoofhealthsuppliesandgoods.iv. UndertakepromotionalcampaignsandcanvasprospectiveuserstostimulatethesalesofEquipment.v. CommunicatewithCompanyviaquarterlyvideoconferencewiththepurposeofdiscuss

22、ingcurrentandfuturesaleslevels.b. Companyshallprovidethefollowing1. Allleads,inquiries,requestscomingtotheCompanyrelatedtotheChinamarketwillberevertedbacktotheDistributor.销售a.经销商应竭尽所能推广并销售该设备并提供充分的支持,包括以下方面:i .建立并维护恰当的、吸引人的、便于访问的场所及设施,主要为商品的陈列、人员的训练及设备的示范提供干净的功能性设备。ii .供货商设备的说明书、部件、操作程序及可选组件。经销商须派代表

23、与翻译随行到供货商所在地进行设备组装的技术培训,操作和维护。此次培训将在威斯康星州的布拉布进行,并持续两周,2016年1月开始3月结束。在此期间,供货商将会向经销商全面公开设备的全部设计变体,包括总成系统及组件。供货商将根据设计的变化向经销商提供支持,包括设备的结构与组件。iii .识记与商品相关的所有内容,包括但不限于蹄护理用品,服务和功能性修剪设备。经销商每年须派代表通过视频会议进行蹄护理用品与商品的技术培训。iv .推行促销活动,发展潜在客户来促进设备的销量。v .双方每季度进行一次视频会议,交流讨论现有销售水平及预期的销售水平。b.供货商应提供以下内容1. 与中国市场相关的所有对供货商

24、设备的建议、咨询、要求将会反馈到经销商处。2. Advertising.Companyshall,uponrequest,assisttheDistributoronalladvertising,salespromotion,andpublicrelationscampaignstobeconducted,includingprovidingDistributorwithdocumentationofpreviouspromotionalcampaignsconductedinconnectionwiththeEquipment,andshallprovidenecessarytechnica

25、linformationandassistance.a. CompanywillpublishontheCompanyofficialwebsitetheDistributorastheexclusivedistributorinthepreviouslyagreedtoterritorylistedinArticle1,number1.b. DistributorwillpromoteandpublishallgoodsontheDistributorwebsiteinthedesiredcustomer;spreferredlanguage.c. Companywillassistwith

26、and/orprovidematerialcontentandvideos.2亡£。供货商应按要求协助经销商进行广告推广、促销及公关活动,包括向经销商提供与该设备相关的之前促销活动的文件,并提供必要的技术信息及帮助。a.供货商须在官网上公布本合同中第一条款第一项提及的经销商独家经销权。b.经销商须进行产品推广,并在官网上以客户首选语言发布所有商品信息。c.供货商须协助和/或提供设备相关材料和视频。3. Support.CompanyshallprovidetechnicalsupporttoDistributorcustomerswithintheterritoryoutlinedi

27、nthisagreement.CompanywillprovidenecessaryinformationandconsultationtoDistributorforanyandallconcernsrelatingtooperationanduseofgoods.3.支提供货商须严格执行本合同所列条款,在合同规定范围内向经销商客户提供技术支持。供货商还须就任何及所有与商品使用与操作有关问题向经销商提供必要的信息及咨询。ARTICLEIII第三章DELIVERY交付1. Orders.DistributorshallorderEquipmentbywrittennoticetoCompany

28、.Eachordershallspecifythenumberofunitstobeshipped,thetypeofunitstobeshipped(asidentifiedbyCompanymodelnumberdesignationsindicatedinthePriceList)includingalloptionalfeatures,thedesiredmethodofshipmentandtheanticipatedreleasedate.Anorderconfirmationmustbesignedbybothparties.CompanyagreestoshipunitstoD

29、istributorascloseaspossibletothedeliveryschedulesetforthineachorderasacceptedbyCompany,unlessCompanyotherwiseindicatesinwriting.1 .订单。经销商须以向供货商提交书面通知的方式订购设备。每一订单应标明装运的数量单位,运输单位类型(因为供货商要注明价格列表中的型号名称),包括所有选定特征,理想的装船方式及预计出厂日期。订单确认表必须由合同双方共同签字供货商须向经销商运送商品尽可能接近每笔订单的交货时间表,除非公司另有书面指示。2. Orders.Distributors

30、hallorderEquipmentbywrittennoticetoCompany.Eachordershallspecifythenumberofunitstobeshipped,thetypeofunitstobeshipped(asidentifiedbyCompanymodelnumberdesignationsindicatedinthePriceList)includingalloptionalfeatures,thedesiredmethodofshipmentandtheanticipatedreleasedate.Anorderconfirmationmustbesigne

31、dbybothparties.CompanyagreestoshipunitstoDistributorascloseaspossibletothedeliveryschedulesetforthineachorderasacceptedbyCompany,unlessCompanyotherwiseindicatesinwriting.2.报价。所有商品要以美元报价,有效期为90天。所报价格为离岸价,由美国威斯康星州巴拉布公司办事处拟定。报价不含运费、税金及合同规定出售商品的关税。3. Terms.Termsare20%downpaymenttoguaranteeorder.Balanced

32、ue,80%,isrequiredattimeofreleaseunlessotherwiseagreedinwriting.3.期睫为确保订单,须收取20%的定金。剩余的80%余款须在发货前到账,除非另有书面协议。4. Shipment.AllshipmentsofEquipmentshallbemadeFOBCompany'splantandliabilityforlossordamageintransit,orthereafter,shallpasstoDistributoruponCompany'sdeliveryofEquipmenttoacommoncarrierf

33、orshipment.CompanyrecommendsusingINCOTerms:CIFDestination(Cost,Insurance,Freight),howeverothertermsmayagreeduponanddisclosedintheorderconfirmation.4.装支所有装运的出厂设备须供货商报出离岸价及承担在运送过程中设备丢失或损坏责任,或此后由供货商通过普通运载方式向经销商交付商品。供货商推荐使用国际贸易交易条款:目的地到岸价(成本、保险、运费),但是,其他条款须在订单确认中协商一致并公开。5. TitletoEquipment.TitleofEquipm

34、entshallpasstoDistributorimmediatelywhenCompanyreceivespayment.TheCompanyreservesasecurityinterestineachunitofEquipmentreceivedbytheDistributorifDistributorshallhavesoldorleasedaunit(s)toanotherpartypriortoDistributorpayingCompanythepurchasepriceforsuchUnit.6. 设备所有权。设备所有权应在供货商收到货款后即刻转移至经销商。如果经销商在向供货

35、商购买设备之前向第三方出售或出租设备,供货商保留交付经销商的该套设备的安全利益。7. EquipmentAcceptance.ThecriterionforacceptanceofCompanyEquipmentbyDistributorshallbethesuccessfuloperationoftheEquipmentusingCompany'sstandardtestproceduresanddiagnostictestprogramsapplicabletotheEquipmentinvolved.8. 设备验收。经销商验收供货商设备的标准应是操作符合供货商公司的标准测试程序和

36、诊断测试程序,并且这一操作适用于所有进口设备。ARTICLEIV第四章PROPRIETARYRIGHTS所有权1.UseofCompanyNameandIntellectualProperty.Companyexpresslyprohibitsanydirectorindirectuse,referenceto,orotheremploymentofitsname,trademarks,ortradenameexclusivelylicensedtoCompany,exceptasspecifiedinthisAgreementorasexpresslyauthorizedbyCompanyi

37、nwriting.1 .供货商名称的使用及知识产权。供货商明确禁止任何直接或间接使用、引用或以其他形式占有独家授权给供货商的公司名称、商标或商号,除非本合同中有特别说明,或供货商以书面形式授权。a. Companyexpresslyprohibitsanydirectorindirectuse,referenceto,orotheremploymentofthehoofhealthtrainingmaterialsandintellectualpropertyofDiarylandHoofCareInstitute,InandSureStepConsultingInternational,LL

38、C.,exceptasauthorizedbyCompanyinwriting.b. Distributoragreesnottorepresent,sell,promoteorconductanytrainingserviceswhicharedeemedbytheCompanytobecompetitiveunlessagreedtobytheCompanybywrittennotice.c. AlladvertisingandotherpromotionalmaterialforEquipmentandGoodscoveredinthisagreementwillbesubmittedt

39、oCompanyinadvanceofuseandwillonlybeusedifCompanyconsentsthereto,whichconsentshallnotbeunreasonablywithheld.Companymustapprovetheuseofallcurrentlyheldtrademarkslistedbelowincludingtrademarkscreated,ownedandmaintainedinthefuture.a.供货商明确禁止任何直接或间接使用、引用或以其他形式占有德瑞兰帝蹄护理学院及舒尔步国际咨询有限公司的蹄护理培训材料及知识产权,除非公司以书面形式

40、授权。b.经销商不得代理、销售、推广或管理供货商认为与本设备竞争激烈的同类产品,除非供货商以书面通知形式同意。c.本合同所含设备及商品的所有广告及其他推广材料在使用之前须提交给供货商,经供货商同意方可使用,提交内容不应被不合理地保留。供货商必须同意保留现有的下列所有商标,包括将来创建、所有并保留的商标。i. Accu-Bloc?ii. Accu-Bond?iii. PatentIndemnity.Companyagrees,atitsownexpense,toindemnify,defendandholdharmlessDistributoranditscustomersfromandagainsteveryexpense,damage,costandloss(includingattorneys'feesincurred)andtosatisfyalljudgmentsanddecreesresultingf

42、romaclaim,suitorproceedinginsofarasitisbaseduponanallegationthattheEquipmentoranypartthereoffurnishedbyCompanyoranyprocesswhichispracticedinthecustomaryuseoftheEquipmentisorhasbeeninfringinguponanypatent,copyrightorproprietaryright,ifCompanyisnotifiedpromptlyofsuchclaiminwritingandgivenauthority,and

43、fullandproperinformationandassistance(atCompany'sexpense)forthedefenseofsame.IncasetheEquipment,oranypartthereof,insuchunitisheldtoconstituteaninfringementandtheuseofsaidEquipmentorpartisenjoined,Companyshall,initssoleEquipmentorpartorreplaceormodifythesamewithnonperformanceorcapacityoraffectits

44、compatibilitywiththehardware.2.专利赔偿。供货商须自费赔偿、保护和维护无恶意的经销商及客户免受费用、损害、成本等各种损失(包括律师费用)的侵害,并符合由索赔及诉讼引起的所有判决及律例的要求。但此索赔及诉讼必须在以下范围:由供货商生产的该设备及其他任何部件,或该设备的惯用程序侵犯任何专利、版权或所有权。如果以书面形式或授权其他机构通知公司及时处理索赔或诉讼,供货商须自费获取全面合理的信息及帮助进行辩护。假如该设备或其任何部件构成侵权,上述设备或部件的使用被明令禁止,供货商须修改或用其他设备或部件取代原有侵权设备或部件,使其性能与之前设备相同,并且不影响其容量及与其他

45、硬件的兼容性。3. DrawingsandData.TheCompanynormallysuppliesallnecessarydatafortheproperinstallation,test,operationandmaintenanceofitsEquipment.Portionsofthisdataareproprietaryinnatureandwillbesomarked.TheDistributoragreestoabidebythetermsofsuchmarkings.TheCompanyretainsforitselfallproprietaryrightsinandtoa

46、lldesigns,engineeringdetails,andotherdatapertainingtoanyEquipmentspecifiedinthecontractandtoalldiscoveriesinventions,patentrights,etc.,arisingoutofworkdoneinconnectionwiththecontractandtoanyandallEquipmentdevelopedasaresultthereof,includingthesolerighttomanufactureanyandallsuchproducts.TheDistributo

47、rshallnotcontacttheCompany'ssuppliers,oranyotherperson,forthepurposeofmanufacture.3.图纸与数据。为保证产品正常安装、测试、操作及维护,供货商通常会提供该设备的所有必要数据。部分数据为供货商私有,并会标明。经销商须遵守供货商标明的私有数据。供货商保留其所有设计、工程细节及合同中明确规定的与该设备相关的其他数据,所有发现发明专利等相关数据及工作引起的与本合同有关的任何及所有设备数据,任何及所有设备的研发数据,包括制造任何及所有产品的专有权利。经销商不得与供货商或其他任何相关人士联系自行制造该设备。4. Ti

48、tletoProductsandDocumentationPackage.DistributoracknowledgesthattheEquipmentanddocumentationlistedinSchedule1arethepropertyofCompany,andthattheproductsarebeingmadeavailabletoDistributorinconfidenceandsolelyonthebasisofitsconfidentialrelationshiptoCompany,Distributoragreesnottoprint,copy,provideoroth

49、erwisemaleavailable,inwholeorinpart,anyportionofanoriginalormodifiedEquipmentDocumentationPackageorrelatedmaterials.4.产品标题及文档包。经销商承认在目录1中所列产品及文件均为供货商财产,以及出售给经销商的产品加工过程亦属机密;基于经销商与供货商的机密关系,经销商不得印制、复制或以其他方式获取全部或部分或任一部分的原始或修改后的设备文档包或相关材料。ARTICLEV第五章WARRANTY保修1 .EquipmentWarranty.CompanywarrantsthatDistr

50、ibutorshallacquireEquipmentpurchasedhereunderfreeandclearofallliensandencumbrancesexceptforCompany'spurchasemoneysecurityinterestdefinedinArticlesI,4above.CompanyfurtherwarrantsallEquipmenttobefreefromdefectsinmaterialorworkmanshipundernormaluseandserviceforaperiodofe.g.,oneyearfromthedateofdeli

51、very.AllrepaircoveredbythiswarrantymustbedoneatCompany'sfactory,orothersuchwarrantyrepairfacilitiesofCompanyasdesignatedbyCompanyunlessCompanyspecificallydirectsthatthisservicebeperformedatanotherlocation.Anydefectcorrectedwithinthewarrantyperiodandfoundtobewithinthisscopeofthewarrantywillberepa

52、iredbyCompanyandallchargesorlaborandmaterial,willbebornebyCompany.IfitisdeterminedthateithernofaultexistsinCompany,orthedamagetoberepairedwascausedbynegligenceofDistributor,itsagents,employeesorcustomers,Distributoragreestopayallchargesassociatedwitheachsuchrepair.THISCONSTITUTESTHESOLEWARRANTYMADEB

53、YCOMPANYEITHEREXPRESSEDORIMPLIED.设备保修。除了在以上第一章第四条规定的我司购货款的担保权益,供货商保证经销商在本协议下购买的设备享有自由和明确的留置权和产权负担。供货商进一步保证所有的设备在正常使用和服务下的一段时间内(例如自交货起一年内)在材料和工艺方面没有缺陷。根据此保修规定,所有的维修质保必须在供货商工厂内或者供货商指定的其他类似保外维修设施进行,除非供货商特别指示此项维修服务可以在其他地点进行。在保修期内修正缺陷,及在保修范围内发现的问题由供货商进行维修,所有的人力,材料费用均由供货商承担。如果经决定问题不属于供货商,或者损害由经销商,其代理,员工或顾
