1、工程工程管理效劳协议中英文工程工程管理效劳协议AGREEMENT OF CONSTRUCTION MANAGEMENTSERVICE当事方信息略第一条 甲方同意接受由乙方提供的工程工程管理效劳, 乙方将担任使用面积 约为平方米,楼高约为层及地下约为_ 层的钢筋混凝土建筑以下 简称“该工程的精装修工程及配套机电工程的管理及监理。关于效劳范围 参照甲乙双方在日签署的意向书。Article 1. Party A agrees to receive con structi on man ageme nt services provided by Party B as the Con structio

2、n Man ager and Supervisor (CM) of the captioned Project with utilization area of approximately _square meters which is a rein forced con crete buildi ng with approximately_floors above-gro und and with approximatelyfloors undergro und,here in after referred to as the “ Project, as per to scope of se

3、rvices stated in the Letter of Intent betwee n Party A and Party B dated ._第二条双方同意在本协议项下作为工程工程管理的效劳范围应当涵盖如下相关工作:Article 2. Under this Agreement the parties agree that the scopes of services rendered for the Construction Management(CM) hereunder covers the releva nt works, as follows:2.1 工程前期效劳Pre-ex

4、ecution Services2.1.1 承包商资格预审 Prequalificatio n of con tractors搜集资格预审的所需的资料。Obtai n prequalificati on in formatio n frompote ntial ten derers.配合甲方对各投标单位进行实地考察,并提交综合的资格预审报告Assist Party A in the site visit to each potential tenderer and submit the prequalification report.2.1.2 招投标 Tendering2.1.2.1 拟定招

5、标文件 , 并编制招投标文件及标底。Preparation of tender documents and pre-tender estimate. 根据图纸及工程情况拟定本工程所有相关专业的招标文件。甲方就可能对该招 标事宜造成更多困难性及复杂性或者在施工过程中承包商是否能按时完成甲方 要求的关 键工程等工作类别进行评估, 以确定是否对其进行拆分或合并。 乙方 应充分支持上述甲方的决定,并拟定甲方对拆分或合并的工程的招标文件,协 助甲方选定合理的 分包单位,以确保该项工程的顺利实施。Prepare tender documents for all the work packages on t

6、he basis of the drawings and project requirements. Party A will assess the key work categories which may cause more difficulty and complexity to the procurement process or for which uncertainty remains on the contractor s timely completion of work, in order to decide whether to separate or combine w

7、ork categories. In this regard, Party B shall fully support the aforementioned Party As decision and prepare the tenderdocuments for the work packages separated or combined. Party B shall assist Party A in the selection of subcontractors to ensure smooth execution of the Project.2.1.2.2 招标方案 Tenderi

8、ng plan以适当的方式建议并评估其各部门的招标方案。To suggest and assess the tendering plan of each section/department in an appropriate manner.2.1.2.3 招标答疑 Answering tender queries根据招投标情况,组织各投标单位及相关单位对招标文件和图纸答疑。Arrange for the tendering Q&A.2.1.2.4 评标 Tender assessment协助甲方与有关单位进行合同谈判,根据甲方批准的内容编制合同文件;Assist Party A in the

9、 negotiations with related parties, prepare contract documents based on the confirmation given by Party A.根据需要提供同类建筑设备材料价格的市场行情,供甲方参考;Provide (as required) market price information on similar equipment and materials for Party A s consideration;组织参加评标会议, 针对投标单位的报价, 进行技术标及商务标的评定及建议; 并给出一份整体的评标报告书面给甲方,

10、供甲方参考。Arrange and participate in tender assessment meetings. Based on the proposals, carry out assessment and give recommendation on technical proposals and commercial proposals; provide a complete written tender assessment report to Party A for its consideration.2.1.2.5 招投标程序 Tendering procedures需严

11、格按照招投标程序进行操作,并对各阶段的评比情况及最后的总结书面汇 报给甲方。Ten deri ng shall be carried out in strict accorda nee with the ten deri ng procedures. The assessme nt results shall be summarized in a writte n report submitted to Party A.2.1.3 其它效劳 Other services2.131提供其他工程所必需的造价咨询效劳,包括但不限于:Provide other cost con sult ing se

12、rvices n ecessary for the Project, in clude but no t limited to:h协助甲方进行施工合同的管理工作;Assist Party A in con tractadmi nistrati on; 为甲方提供工程本钱控制的建议,运用技术、合同等手段有效控制本钱;Provide advice to Party A on how to con trol cost by using tech ni cal and con tractual provisi ons; 对已决定的工程变更及设计变更进行估算并及时调整总投资控制目标;Carry out

13、evaluatio n on variati ons that has bee n con firmed and accord in gly adjust the in vestme nt con trol target; 审核所有与本工程相关的付款申请,按相应要求和格式向甲方提供工程的付款审核证明及建议;Review all payme nt applicati ons related to the Project and provide toParty A in accorda nee with releva nt requireme nts and format the payme nt

14、 certification or recommendation;k 对考虑中的工程变更进行造价估算, 对工程变更及设计变更及时提交变更 分析报告,供甲方决策;Carry out evaluation on variations that is under consideration and provide variation analysis report for Party A s decision; 协助甲方进行竣工结算的编制工作;Assist Party A in prepari ng the acco unt settleme nt on completi on; 对施工单位提出的竣

15、工结算进行全面审核计算,最终确认总工程量造价。 并向甲方提交每一分项工程结算审计报告及全部工程结算总价、合同管理及执 行情况的专题总结报告。Review the stateme nt at completi on proposed by the con tractor toeventually determine the total cost. Provide to Party A the audit reports for every subdivisi onal work, the closed con tract price, and reports on con tract admi

16、nistrati on and executio n.协助甲方整理本工程工程合同文件及有关资料,收集有关工程费用方面的签证资料,核价单据并及时归档;Assist Party A in fili ngcon tract docume nts and related docume nt for theProject, collect payment certification documents, cost verificationsheets and archive them in a timely manner;h协助甲方进行竣工验收工作;Assist Party A in the compl

17、etionaccepta nee;h帮助甲方编制竣工决算表;Assist Party A in prepari ng the fi nalacco unt.2.132 工程协调效劳 Project coordination services为工程顺利进展所必需的与政府部门、MixC及物业等相关方面的协调Coordination necessary for the Project progress with statutory authorities, MixC and the property management company.工程前期各专业进场前的所有协调工作(与工程相关协调:如MixC

18、市场部、MixC 总包及监理、MixC工程部及其物业、MixC分包和其他的商铺;与政府之间的协 调:如消防局等)。All coordination work before each trade contractor entering the site(related coordination: such as with MixC Marketing Department, MixC general contractor and supervision company, MixC Engineering Department and Property Management, MixC subco

19、ntractors and other stores;coordination with government authorities, such as Fire Bureau).2.1.3.3 设计协调效劳 Design coordination service各专业施工图之间的设计协调及装饰施工图纸与其它各专业间的设计协调工 作,及设计公司之间的协调工作。Design coordination works between different trades and interior decoration construction, and coordination works between

20、 Party A and design company.2.1.3.4 提供关于工程目标的咨询建议To render advises in setting the Project targets;2.1.3.5 提供关于工程工程管理体系的咨询建议To render advises in project management systems;2.1.3.6 许可证申请效劳 Obtaining approvals and permits 负责协调有关各方面人员以确保顺利获取本工程所需要的许可证如消防内装修建审意见等,以确保工程顺利开工。To coordinate with all relevant

21、 parties in application for permits (e.g. comments on fire protection for interior decoration) necessary for the Project, to ensure timely commencement of work.2.1.3.7 风险评估效劳 Risk assessment services根据其对本工程获取的各方面的信息,针对工程的前期工作进行风险评估,并 给出咨询和建议,以书面形式汇报给甲方。Based on the information on the Project that is

22、 available, provide toParty A a written risk assessment report and advices on the pre-construction stage of the Project.2.2 工程实施阶段 Execution Stage2.2.1 、人员配备 Staffing提供各专业及工程经理等管理人员的名单,并附其各自的简历。Provide the list of staff and their CVs.乙方需配备如下管理人员: Party B shall provide the following staff:工程经理 Projec

23、t Manager暖通工程师 HVAC engineer机电工程师 M&E engineer内装工程师 Interior decoration engineer 资料工程师 Document control engineer 设计协调专员 Design coordinator 工料测量师 Quantity surveyor一旦乙方提供的管理人员经甲方面试认可后,乙方不得以任何理由更换管理人 员;除非经甲方书面同意。假设甲方发现乙方未经甲方同意而进行更换管理人员 的,每发现一次,罚款 10000 元,且乙方将承当由此造成的一切后果。Oncethe staff proposed by Party

24、B is accepted by Party A after interview, Party B shall not replace such staff for whatever reason, unless with Party A s written consent. If Party A finds that Party B replace staff without Party As consent, Party B shall be penalized with RMB10,000 for each occurrence and Party B shall bear all co

25、nsequences caused by such replacement.2.2.2 、工程管理体系 Project management system方便、快速、准确确定并制定该工程的管理体系,例如,职责、文件管理体系、 人员架构文件、操作质量监控体系、通信系统、工作审批制度及其他与此相关 的工作。To conveniently, fast, and correctly determine and plan management systems for the Project, for example, duties and responsibilities, document contr

26、ol system, personnel chart documents, operational quality control system, communications system, work examination form approval system, and other related works.2.2.3 、进度方案 Programme2.2.3.1 准备详细的工程进度方案表及时间节点作为甲方与承包方之间委托合 同的附加文件,其包括对承包方所做工作的检查及其在每一个时间节点完成情 况的质量测评。To prepare details plans and milestone

27、s for construction operations as supporting documents of the Contract between Party A and the Contractors, including issuing the work checking and qualifying certificate of every milestone of the Contractors.2.2.3.2 对工程进度方案的监督与管理。 Monitoring and control of programme乙方需对制定的进度方案及工期关键点负责;监督并管理现场的施工进度,对

28、 现场实际进度与进度方案进行比拟分析,找出偏差,并及时修正偏差,以确保 整体工程进度不受影响。Party B shall be responsible for the programme prepared by it and the milestones therein; Party B shall monitor and control the progress on the site, compare actual progress with the programme, identify and correct the deviation to ensure the overall pr

29、ogramme is not affected.2.2.3.3 乙方应在充分理解甲方可能发生频繁变更的情况下,合理的组织或督 促相关施工单位加快施工进度,以确保工程能够顺利完工。Party B shall, by fully understanding that Party A may frequently instruct changes, reasonably cause the contractors to expedite progress to ensure smooth completion of the Project.2.2.3.4 需对承包商在施工过程中提交的月、旬、周等分段

30、进度方案进行分析、 审核。Party B shall analyze and review the monthly, ten-day and weekly programme submitted by the contractor.2.2.4 、质量管理 Quality management2.2.4.1 按照国家相关标准对现场工程质量进行监督管理,确保整体工程质量 合格。Supervise the quality on site in accordance with relevant national codes to ensure the quality of the Project is

31、 up to standard.2.2.4.2 针对工程中出现的难点或施工工序等问题,乙方需根据自己的专业知 识给出建议或协调,并监督各单位的对认可方案的实施。Party B shall, based on its expertise, advice or coordinate on the difficult issues and sequence of work in the Project and supervise the implementation of agreed actions by various project participants.2.2.4.3 乙方对其管理监督的

32、工程负有责任。其责任不能免除由于质量事故导 致的相关部门的调查。假设因乙方监督管理不到位或乱指挥导致的问题,乙方应 负相应的责任。Party B is responsible for the works managed/supervised by it. Such responsibility cannot relieve Party B from receiving investigation by relevant authorities resulting from quality failures. Party B shall be liable for the problems du

33、e to its underperformance or its giving of instruction in an unprofessional manner in managing the Project.2.2.4.4 在工程质保期范围内,乙方应对工程缺陷的局部给予合理的、专业的 建议或方案,以减少甚至防止此工程缺陷对商场正常营业的影响。During the quality warranty period, Party B shall render reasonable, professional advice or proposal on defective work to red

34、uce or even avoid the impact by defective work on the operation of the store.2.2.5 、平安文明施工 Safety and orderly conduct2.2.5.1 制定贯穿整个工程由安保工程师及安保团队严格监管执行的安保方案Formulate health & safety plan for strict implementation by the Safety Engineer and safety team throughout the Project.2.2.5.2 按照平安文明施工的要求,监督管理相关

35、单位。Supervise/manage the work of project participants in accordance with the requirements on orderly conduct.2.2.5.3 制定平安管理方法,监督相关单位按照管理方法进行现场实施,确保 工程及工作人员的人身平安。Formulate precautionary safety measures and ensure that project participants follow them to safeguard personal safety of staff.2.2.6 、文件管理 D

36、ocument control2.2.6.1 准备工程运作配套文件如:每周或每月的进展报告、会议备忘录、 现金流估测报告、进度偏差分析报告、设计变更汇总分析报告等,并交给甲 方做参考。Prepare project management deliverables (such as weekly or monthly progress report, meeting minutes, cash flow estimate report, programme deviation analysis report, design variation analysis report, etc.) and

37、 submit them to Party A for reference.2.2.6.2 负责本工程所有文件的接受、发送等文件的管理,工程结束后,将工 程相关资料移交给甲方。To be responsible for the filing ofall incoming and outgoing documentsduring the project period and hand over related project information to Party A after the Project is closed.2.2.6.3 对每次会议做好会议记录并总结重要事项,于会议结束后 3

38、 天内提交 给甲方。Minute every project meeting and submit the meeting minutes to Party A within 3 days after the meeting.2.2.7 、其它具体效劳工程,包括但不限于以下内容:Other services include but not limited to:2.2.7.1 检查和监控工程的质量、造价和施工平安性。To inspect and control qualities, prices, and safety of the construction.2.2.7.2 在承包方购置用材及

39、配件之前检查和批准每项工程的图纸、用材、配 件;此外,其采购物件还需符合设计者的标准。To inspect and approve every item of construction drawings, materials, and accessories before the Contractors purchasing materials; in addition, the items purchased shall conform to the designers requirements.2.2.7.3 检查和批准承包方的操作指南、平安体系方案和工作政策。To inspect and

40、 approve operational guidelines, safety system plans, and working policies of the Contractors.2.2.7.4 参加工作学习、检查和测试不同工作局部的完成情况。To participate in work study, inspection, and testing in various work sections.2.2.7.5 协调与设计师决策和解决关于设计图纸可能在实际运行中出现的差异 问题。To coordinate with the designers in decision-making a

41、nd solve problems of drawings differ from the actual conditions on site.2.2.7.6 为防止延误对并非必须与设计师之间的咨询及时做出决策To make decision in case that consultation with the designers is not required in order to prevent delay.2.2.7.7 在实际施工前准备该设计关键局部的模型。To prepare mock-up of the critical parts of the design prior to

42、physical construction.2.2.7.8 共同参与检查工程的质量、数量及工作范围以确保工程情况与款项支 出相符。To jointly inspect qualities, quantities and scopes of work for disbursement of installments, etc.2.2.7.9 根据设计方案和工程安排、考量、检查及测试相关用材及系统配件, 并在甲方使用该等材料及配件前准备相应模型。To consider, examine and test the materials and accessories of systems pursua

43、nt to the planned patterns and items and prepare mock-up prior to use by Part A.2.2.7.10 须每月就工程变更及付款情况编制并提交甲方一份单独的费用分析报 表及清单,详细说明此前甲方决定实施的工程变更以及此当前报告期实际发生 的费用明细。To prepare and submit to Party A a separate cost analysis every month, detailing the variations confirmed by Party A and the breakdown of c

44、osts incurred in the month for which the analysis is done.2.2.7.11 举办周度、月度会议以推进、跟进及检查相关工作的进展;包括解决 可能出现的任何延迟问题,以防因此而给该工程带来的相关损害。To hold weekly and monthly meetings to accelerate, follow up and check the work progress, including to solve any delay problem which mayarise, in order to prevent any damage

45、 to the Project.2.2.7.12 在施工过程中提供相关技术咨询如需To render technical consultations during the construction (if required).2.2.7.13 如果发生相关问题,在甲方的要求下,参加该等协调会议。To attend coordination meetings if problem occurred and at the request of Party A.2.2.7.14 准备额外的图纸和细节内容, 包括施工期间对相关问题的应对解决方 案。To prepare additional drawi

46、ngs and details, including to solve the problems during construction.2.2.7.15 召开协调会议以跟进相关工作进展; 对有关该工程出现的紧急问题进 行沟通协调并进行解决;不管设计师、主要承包方 , 分包方、材料、配件供给商 或其他相关第三方。To hold coordination meeting in order to follow up the works, to give coordination, and to solve the immediate problems in relation to the cons

47、truction, irrespective of designers, main contractor, sub-contractors, material and accessory provider, or other relevant parties.2.2.7.16 根据工程的预算、工期、质量等要求考量及检查承包方在每一个阶段 中工作完成情况。To consider and inspect the works done by the Contractors at every stage in accordance with the budgets, periods of time a

48、nd qualities of the patterns and items.2.2.7.17 管理、监控并安排相关人员为人身健康的污染事宜负责、并确保环境 影响符合相关环境标准;包括协调进行自此等事件发生之日至取得补偿期间的 保险通知及索赔事宜。To manage, control and arrange personnel responsible for safety from pollutions against health, and for environmental impacts in line with the standards, including coordination

49、 on insurance notification and insurance claim as from event occurrence up to being compensated.2.2.7.18 提供相关法律建议、要求及规定,包括与建筑工程相关的各种技术要 求。To render recommendations on laws, requirements and regulations, inclusive of a variety of techniques in relation to the construction.2.2.7.19 在施工过程中,先于事件发生之前对可能产

50、生的问题给出建议并解释, 包括找出应对解决对策并解决这类问题。To suggest and explain possible problems prior to event occurring during construction, including finding out solution and solve such problems.2.2.7.20 安排与租户沟通协调的工作团队,如有必要该团队可进入该租户的租 赁经营地点以对其租赁地点内的工程进行相关改良、建设及安装工作。To prepare working team to coordinate with rental vendor

51、s if it is necessary to enter the rental vendors business operation site for work improvement, construction, and installation of the rental vendorsbusiness operation site.2.2.7.21 初步检查审核每个租户的系统设计图纸以使其遵循甲方的标准;同时 为租户装修施工提供指导和监督。To initially examine the system drawings of every rental vendor to ensure

52、that they satisfy the standards of Party A; to provide guideline for and supervision on any vendor s contractor s fitting -out work.2.2.7.22 对承包方的工厂及日常工作进行实地勘查检验,以确保其资质符合该 工程规划标准,并对考察的情况写成报告提交给甲方,供甲方参考。To inspect the Contra ctors factories and check their work to ensure contractors qualifications sa

53、tisfy the planning standard of the Project, and to prepare an inspection report and submit to Party A for its reference.2.2.7.23 检查租户装修工作进展情况, 以确保其符合甲方及设计者的相关规那么 规定。To check rental vendors which operate the decorations to ensure compliance with the rules and regulations of Party A and the designers.

54、2.2.7.24 为相关设计模式之准备而向室内设计师及其他每一类别的设计师提供 相关建议;To render advises to Interior Designer and other designers of every category in preparation of related designing work patterns.2.2.7.25 参加所有必要的会议,并协调甲方、室内设计师和其他每一类别的设 计师,以与每一工作小组共同总结相应工作要求。To attend all necessary meetings and coordinate with Party A, Inte

55、riorDesigner, and other designers of every category to summarize requirement from every working team.2.2.7.26 共同参与为甲方、合作伙伴、政府部门及其他必要的与工程工程竣工 相关的第三方而进行的工程细节详述及报告。To participate in detailed work explanation and presentation to PartyA, partners, government agencies, and other parties as necessary for t

56、he completion of construction.2.2.7.27 对设计工作方面关于工程及工期的可行性进行研究,提供关于工程设 计的建议以帮助该工程节约施工本钱及时间,包括介绍适用于该工程的工具、 机械、施工方法、材料;同时,研究相关施工技术并将此推荐给甲方。To study the design works in the aspect of feasibility in construction and period of time, to render advises in designing to assist the Project in saving constructi

57、on costs and times, including to introduce tools and machinery, construction methods, and materials as appropriate for the construction work, and to study the construction techniques and recommend to Party A.2.2.7.28 评估按照该施工方案进行的施工对工程及相邻块土地周边环境造成的 影响,并在该工程对环境破坏损害发生之前给设计者及甲方发出相应警告。To assess the const

58、ruction impacts on environments and adjacent plots of land as a result of the construction under the patterns and items and to give warnings to the designers and Party A prior to the damage occurrence against the Project.2.2.7.29 检查、审查和协调设计工作以使设计方案及协议更完整,为了防止该 设计方案在实际操作过程中在如工程质量、职责界定、增加或减少协议项下的 工作等方面的不确定性。To examine, inspect and coordinate on the design works to enable the patterns and the Agreement to be more complete in order
