1、GENERAL TERMS OF VEHICLE ELECTRICAL APPLIANCE PURCAHSE 汽车电器采购一般性条款 1. Basic agreeme nt 基本协议 1.1 Iskra Avtoelektrika d.d. (here in after IAE) dema nds from its suppliers to follow all the procedures laid dow n in the Suppliers Manual and these Gen eral Terms of Delivery (GENERAL TERMS). The valid iss

2、ue of GENERAL TERMS is the one that is attached to the Suppliers Manual of IAE. 依斯克拉汽车电器有限公司(以下简称 IAE)要求其供应商遵守供应商手册及运输条 款总则上面所列的所有流程及程序。一般性条款的有效版本是附在依斯克拉汽车电器 有限公司供应商手册后面的那个版本。 1.2 By sig ning the Purchas ing Agreeme nt, making out a quotati on on dema nd or confirming a price list, the supplier: a)

3、con firms his agreeme nt with all provisi ons and requireme nts of the Suppliers Manu al (available at http:/www.iskra-) and these GENERAL TERMS, b) un dertakes to orga nize his/her producti on process in complia nee with all provisi ons and requireme nts referred to in the Suppliers Manual of IAE a

4、nd to impleme nt all the procedures laid dow n in it, c) agrees that the delivery note of delivery issued to IAE for an in dividual delivery guara ntees that the supplied sta ndard products fully comply with the provisi ons of the agreed n ati onal and intern ati onal sta ndards and that the supplie

Ge neral 总则 The customers expect IAE to fulfil all their expectati ons regard ing products and services quality. Therefore, IAE requires reliable and compete nt

7、suppliers, committed to the com mon goals and quality. They are fully resp on sible for the fulfilme nt of all con tractual obligati ons. 8、供应商： a) their supplied products and services to comply with the required demands of IAE, b) 100% on-time deliveries, c) 0 ppm of nonconforming products, d) to implement modern and efficient quality management systems. In development, production and all other processes, these have to include the prin

9、ciple of “ no nonconformities ” . Products and servi

10、ces specifications 产品及服务规范 3.1 Specifications are all data necessary for thorough description of the material, parts and services with regard to their quality characteristics, i.e., dimensions, mechanical, electrical, chemical and other features as well as the terms of installation and operation. Sp

11、ecifications of IAE are given by technical,commercial and environmental documentation. Technical documentation of IAE includes drawings, part list, test specifications, process and control technologies, national , international and standards of IAE, manufacturer final control data, PPAP documentatio

13、他手写的定义了其所供 产品和服务特点的文件。 3.2 For parts and products that have been developed by the supplier himself, the supplier shall submit to IAE his technical documentation that is in line with the specifications. This documentation shall include also all the necessary tests, the installation tests, reliability

14、 tests and life tests inclusive. 供应商自行开发的零件和产品， 供应商必须向依斯克拉汽车电器有限公司提供符合其 说明书的技术文件。此文件也应包括所有必要的测试，安装测试，可靠性试验和寿命 试验的包容性。 3.3 Both, the supplier and IAE can use documents and knowledge acquired through mutual business relations only for the purpose of contractually agreed business partnership, and they

15、are treated as confidential. This confidentiality shall be respected also after termination of the business relationship. In the same way, the suppliers are obliged to bind their employees, sub-suppliers and others business partners. The entire technical documentation and data that IAE gives at supp

16、lier s disposal are business secrets and property of IAE. Top confidentiality is required in their use and maintenance. All the documents shall be returned if IAE requires so. Production according to these documents is allowed exclusively for the needs of IAE. The same applies to the supplier s sub-

17、supplier. Transmission of these documents to the others is allowed only by written consent of IAE. The supplier confirms this commitment with Declaration on Confidentiality. 供应商和依斯克拉汽车电器有限公司双方可以使用通过合同限定的彼此的合作及业务 关系所获得的文件和知识并且是保密的。保密协议在终止业务关系后也必须遵从。以 同样的方式，供应商有责任约束其雇员，分包供应商和其他商业伙伴。依斯克拉汽车 电器有限公司根据供应商的

Special tools and gauges 特殊模具及量具 IAE is a legitimate owner of special tools and gauges ordered at the supplier b

19、y order or supply agreement. They are given to the supplier on loan and are irrevocable property of IAE. The supplier must under no circumstances use these tools and gauges to manufacture products for other customers, exceptionally in cases of written approval of IAE. Also, IAE can, for a shorter pe

20、riod of time, give the supplier on loan its special or standard production tools and gauges in order to achieve faster order fulfilment. IAE does not allow any additional interventions on the tools that are its property. Such interventions can be carried out only after a written consent of IAE. Tool

21、s and gauges can undergo only maintenance procedures that are necessary for their perfect condition and longer service life. The supplier shall keep the record of all procedures carried out on the tools. The maintenance costs are charged to the supplier. The supplier has to appropriately protect fro

22、m all kinds of damage or loss tools and devices that are the property of IAE. The supplier shall regularly, at his own expense, carry our metrological inspections of gauges that arethe property of IAE. The same specifications apply for tools and gauges. At the latest within 14 days after the conclus

23、ion of contractual arrangements, the supplier is obliged to return all the borrowed tools and gauges to IAE. They shall be returned in the same state as when accepted, except for the normal wear. The supplier shall inform IAE about tools that are not in use any more and ask for further instructions.

26、具并询问进一步的指示。只有在接到依斯克拉汽车电器有限公司的 书面同意后才能取消这些模具和量具。 5. Quality assurance 质量保证 5.1 Before the beginning of regular supplies every product has to undergo the PPAP procedure (Production Part Approval Process) and initial samples must be approved. The supplier has to manufacture the initial samples that are

27、, as a rule, free of charge, under the conditions and by means of series production. Besides the initial samples, the supplier shall deliver IAE the entire required documentation that belongs to the samples. The above mentioned procedure is necessary a) in case of a new supplier, b) when there are c

28、hanges of construction, technology, material or location of production, c) after changing the sub-supplier or source of material supply, d) after longer interruptions of production. After inspection of samples and documentation, IAE decides about: a) approval, b) temporary approval or c) rejection.

29、It shall inform the supplier about its decision in writing. By approval of the initial samples and documentation, IAE approves the start of the supplier s regular production of the sampled products. Consequently, regular deliveries can start. However, the supplier s liability and warranty for the qu

30、ality of regular deliveries is still of the same importance. Quality of these products and services shall be the same or even better than the one of the approved samples. IAE and supplier have to keep PPAP documentation and PPAP samples using them for Inspection before shipment (supplier) and Incomi

31、ng inspection (IAE). 5.1 在供应商生产产品前，必须先通过生产件批准程序，并且首批的样品必须通过。供 应商首批的样品，依据往后的连续生产，通常都受免费的。 此外，首批的样品，供应 商需要发给依斯克拉汽车电器有限公司所有配套样品需要的文档。 如出现以下情况， 上面所述的流程也是必须的： a） 假设是一个新的供应商， b） 当建筑，技术，材料或是 生产地址有变动时，c）如果换了子供应商或是材料供应的来源， b）已停产很长一段时 14 间。在检查过了样品以及配套文件后，依斯克拉汽车电器有限公司将做出决定： a）通 过，b）暂时通过，c）拒绝。依斯克拉汽车电器有限公司将这个决定书

32、面通知给供应商。 在首批样品和文档通过后， 依斯克拉汽车电器有限公司将同意供应商开始常规生 产。 因此常规的送货也可以就此开始。但是供应商有义务并且须保证常规的交货，这 同样也很重要。而且产品的质量以及服务也必须保证， 甚至可以比已通过的样品做的 更好。依斯克拉汽车电器有限公司和供应商都需要保存好 PPAP文档，发货前的产品检 测需要使用（供应商）以及后期的检测（依斯克拉汽车电器有限公司）也需要。 5.2 The supplier undertakes to assure the quality of products and services in line with the require

33、ments. IAE shall accept the supplied products based on the trustworthy relationship with the supplier. To this end, the supplier shall inspect the products before the consignment. Suppliers authorized person has to give a written approval for each delivery and he shall deliver IAE the Manufacturer F

34、inal Control data. This has to include measurement results of all quality characteristics agreed already in the PPAP procedure; in case of claims also all those features that are nonconforming. 5.2 供应商需要保证产品的质量以及服务符合要求。在与供应商建立了相互可信懒的关 系得基础上，依斯克拉汽车电器有限公司将接受供应商的产品。最后，在发货前供应 商需要先检测产品合格。 供应商授权认可的负责人需要为每

35、一次交货提供一份书面的 通过报告并且将厂商最终控制数据发送给依斯克拉汽车电器有限公司。这些控制数据 必须包括已通过的所有的质量特性的测量结果；以防这些特性还没有一致确认。 5.3. IAE shall reject every nonconforming product. Consequently, all direct and indirect costs (of transport and handling, selecting, extra work, stoppage of production, loss of sales, etc.) shall be charged to the

36、 supplier. In case of nonconformities on the supplied products and services, IAE shall hold back the payment. In case of hidden nonconformities on the supplied products that are found out, not sooner than by the customer of IAE, IAE shall just as well charge the supplier for all direct and indirect

37、costs (repair, exchange of products at home and at the customer s, call-off ).All costs are settled by the valid Price List of Claim Costs (it s included into Supplier Quality Manual). 5.3. 依斯克拉汽车电器有限公司将拒收所有不合格产品。 因此，导致的所有直接和间 接的成本费用（包括运输，处理，挑选，额外的工作，生产中断，销售损失等等）将 由供应商来承担。假设供货产品及服务上有不合格问题， 依斯克拉汽车电器有

38、限公司 将拒绝付款。 假设供货产品上的潜藏的的不合格问题被发现了，不早于依斯克拉汽车 电器有限公司的客户，依斯克拉汽车电器有限公司同样也会向供应商收取所有直接或 间接的费用（包括维修，国内的以及客户那儿的货物交货，订单取消等等）。 所有费 用都依照有效索赔费用价格表（包含在供应商质量手册中）。 5.4. IAE shall in case of any nonconformities （of the accompanying documentation, packing, labelling, quantity or quality of a product） file a claim. Th

39、e supplier has to respond to any kind of a claim （telephone, fax, e-mail, Claims minutes） not later than in 24 hours and during this time he has to: a） select or replace the nonconforming products, b） inform the sender in writing about all possible actions for assuring undisturbed production in IAE,

40、 c） inform the sender about the cause for nonconformities and actions that have been carried out to prevent recurrence of nonconformities. All further activities shall be carried out through the purchaser of goods in IAE. In case of requirements for corrective measures, the supplier of IAE has to se

41、nd a written plan of permanent elimination of nonconformities （8D report） not later than in a month. 5.4. 依斯克拉汽车电器有限公司将以防任何的不合格问题（包括附带文件，包装，标签， 数量和产品质量）。供应商必须在少于 24 小时内对于任何的投诉（包括电话，传真， 电邮，投诉记录）予以回应，并且在这段时间内，供应商必须执行以下步骤： a）选出 或者替换不合格的产品， b） 书面通知发货人所有可行的操作来确保依斯克拉汽车电器 有限公司未受干扰的生产，c）告知发货人不合格的原因以及已经执行的措施

42、来防止不 合格再次发生。依斯克拉汽车电器有限公司的物料采购员将执行之后的一些操作。为 了调整措施的需要， 依斯克拉汽车电器有限公司的供应商必须在一个月内提供一份书 面的计划，说明如何永久的去除不合格的问题（ 8D 报告）。 5.5 After the product approval, IAE requires that the supplier does not make any changes. This refers to the technical requirements, documentation, supplier s own supply sources, technolog

43、y, process, and location of production. The foregoing can only be changed after prior written consent of IAE. 5.5 产品通过了之后，依斯克拉汽车电器有限公司要求供应商不要做任何更改，因为这 个涉及到技术需求，文档，供应商自己的供应来源，技术，流程以及产地。只有在依 斯克拉汽车电器有限公司有书面同意后，之前所述的才可以做更改。 5.6 IAE performs audits and delivery evaluation system to evaluate the efficienc

44、y of the supplier s quality management system. In case of detected nonconformities, the supplier has to prepare, present and carry out the corrective actions. IAE evaluates the suppliers and their supplies once a year. Good evaluation gives priority to suppliers regarding the new requirements of IAE

45、. 5.6 依斯克拉汽车电器有限公司通过执行审计和交货评价系统来评估供应商质量管理体 系的效率。对于检测出的不合格品，供应商必须准备，提出并且执行相应得调整措施。 依斯克拉汽车电器有限公司会一年一次评估供应商已及他们的供应商。依据依斯克拉 汽车电器有限公司新的需求标准，好的评估将会使供应商被优先考虑。 5.7 Assuring quality of the final product demands also quality of all those products that are bought at the supplier s sub-supplier and built in the

46、 products for IAE. Therefore, IAE requires from the supplier to set the same requirements to his subsuppliers as IAE does to him. 5.7 最终成品的质量保证同样需要所有从供应商的子供应商那买来的产品和为依斯克拉 汽车电器有限公司生产的产品能够保质保量。 所以，依斯克拉汽车电器有限公司要求 供应商以同样的需求要求他们的供应商， 就像依斯克拉汽车电器有限公司要求供应商 的一样。 5.8 The Supplier guarantees the quality and fu

47、nctionality of the contractual products in the same range and time as the IAE customer guarantees for his products. 5.8 在相同的范围和时间内，供应商需要保证合同上的产品的质量以及功能，就像依斯 克拉汽车电器有限公司的客户对他们产品的保证一样。 5.9 For the purpose of preferential trade, the supplier is obliged to issue a certificate about the origin of goods th

Logistics 物流 6.1 The supplier shall provide for the packaging material, packaging and identification as well as a

49、 suitable transport method to prevent from the damaging of parts. In this, he shall take into consideration IAE s requirements given in the Supplier Quality Manual. All packaging units shall comply with the requirements, retain their shape all to the place of use, allow machine handling, include the

50、 goods of the same supplier, products with the same part number, same date of production, same lot, and shall not endanger the workers safety. Each packaging unit shall carry a label. Its contents have to comply with the IAE requirements and have to meet the requirements regarding traceability. The

51、following information shall be stated there: name of the manufacturer, name of a product, number of order, product number, amount in the unit, lot marking, date of production, outgoing inspection stamp, bar code. Unless otherwise agreed, the transport labels are in compliance with the ODETTE standar

52、d. The supplier is liable for the additional costs or loss of material as a consequence of deficiencies in identification, packaging or transport. 6.1 供应商需要提供包装材料，货物的包装，鉴定以及合适的运输方式来防止部件的损 坏。 在这方面，供应商需要考虑到依斯克拉汽车电器有限公司在供应商质量手册中提 出的要求。所有的包装单位须符合要求，直到使用地都能保持原有形状，允许机器处 理， 这些货品包括有相同供应商，相同编号，相同的生产日期，相同装运批次

53、的以及 不能危及工人安全的。每个包装单元需要有一个标签。标签上的内容需要符合依斯克 拉汽车电器有限公司的要求并且能满足可追溯要求。以下的信息需要在包装上标记： 供应商名字，产品名称，订单编号，产品编号，单位数量，货物装运标志，生产日期， 发货检测印章，条形码。除非有另外的批准，运输标签必须符合标准。在鉴定，包装 或运输方面的不足， 供应商需要对额外费用或物料遗失负责。 6.2 If not otherwise agreed, the basis for the creation of call-offs and trends of needs is a weekly calculation o

54、f material needs at IAE. By call-offs, the goods are forecast for a longer period of time. The actual flow of goods is regulated by weekly call-offs for X weeks. The call-offs apply to weekly quantity. If not otherwise agreed, the delivery of the ordered quantities fco delivered to the warehouse/ pr

55、oduction line of IAE, considering the transport risk from the supplier to the IAE, is carried out. Within the method of call-offs and the agreed schedules of orders placing, the delivery times and methods are binding and allow neither delays nor too early deliveries. IAE has the right to reject at t

56、he supplier s expense the deliveries before the scheduled time or charge the supplier for the costs of storage. 如果不是另有约定，合同发布订单或是需求趋势标准的基础就是依斯克拉汽车电器有 限公司每周一次的物料需求计算。若是合同发布订单，货物将会预计一段更长的时间。 实际的货物流动是由每星期的未来几周的合同发布订单来控管的。合同发布订单应用 于一周数量。如果不是另有约定，考虑到从供应商到依斯克拉汽车电器有限公司的运 输风险，订单数量的货物及责任供货函会交付给仓库或是依斯克拉汽车电器有限

57、公司 的生产线上。以合同发布订单的方式并且在下放订单的议定进度表内，交货时间和方 式是捆绑固定的，既不允许有延期交货也不能太过提前。依斯克拉汽车电器有限公司 有权拒绝早于计划时间前的送货并且费用计算在供应商上， 或者向供应商收取存货保 管费用。 6.3 In case of delays in supply (Force Majeure excluded), IAE has the right to a) require from the supplier the complete supply or the supply in part and charge the supplier, if

58、 not otherwise agreed, for 0.5% of the value of the ordered quantity for each day of delay, b) assure supply from another manufacturer at the supplier s expense. 如果有供应延期(排除不可抗力)， 依斯克拉汽车电器有限公司有权执行以下操作： a) 向供应商要求全部的供货或者部分供货 , 并且如果不是另有约定，每延迟 1 天，将向 供应商收取订单总额的 0.5%的费用，b)从另一个制造商那以此供应商的价格来保证供 6.4 The supp

59、lier shall assure security stock in his storehouse following the agreement or at least 30% of the monthly needs (the average of the last three months). If this is not the case, IAE has the right to charge to the supplier the costs of the missing stocks. In case of Force Majeure, new terms of deliver

60、y shall be specifically agreed upon. The basis for such an agreement is the supplier s notice in writing to IAE about the impossibility of deliveries within the agreed time. IAE shall not accept these terms after the expiration of the first delivery time. Also, the delay in the supplies of the sub-s
