1、咨询服务合同Consultation Service Contract甲方:南宁东亚糖业集团有限公司(Party A: Nanning East Asia Sugar Group Co., Ltd.) 乙方:南宁至哲企业管理顾问有限公司(Party B: Nanning Zhizhe Qiye Guanli Guwen Co., Ltd.)根据中华人民共和国合同法的规定,甲、乙双方本着互惠互利,真诚合作的原则,决定就共同完成甲方管理咨询项目签订本合同。In accordance with The Contract Law of the Peoples Republic of China, an
2、d on the principle of equality and mutual benefit and through a sincere cooperation, the two Parties agree to co-work in Party As management consultation project as follows:1、合同标的Bid for the Contract1.1 服务项目Service Items乙方及其合作伙伴深圳市东方大成管理咨询有限公司共同为甲方提供管理改善咨询和培训服务。Party B and its business partner Shenz
3、hen Oriental Wisdom Consultation Co., Ltd. commit to provide Party A with management improvement consultation and training service. 1.2服务内容Contents of Service乙方指导甲方进行管理系统完善,建立现代企业人力资源管理体系,从事管理规范化、员工职业化、管理人员能力素质提升等方面的咨询或培训。服务内容包括:Party B will assist Party A in this management improvement project base
4、d on building a modern human resource management system, bringing its business administration into a standardized operation, developing a vocational education and, advancing its managers competencies through training. 6、East Asia Sugar Groups organization framework chart, descriptions of departments functions, and flowcharts of key operation processes; Permission form for managers; Training for organization framework and flowchart design3岗位说明书完善及工作标准设计Job description review and job standard design公司各部门岗位说明书检查与完善;公司
7、各岗位工作标准设计;全员工作标准训练。Review of job descriptions, design of job standards for each post, employee training in job standards.4员工职业规范及辅导drafting vocational behaviors criteria, and tutoring一般员工职业行为规范,管理人员职业行为规范及其相应培训辅导课程;全员职业化训练。Drafting employees and managers vocational behaviors criteria, designing voca

12、ng of the project solutions, and satisfaction level survey, etc.11直线经理人力资源管理培训Training line managers for HRM 各级管理人员人力资源管理课程培训(12天)Provide a 12-day training for line managers1.3服务目标:Targets of Service通过管理改善项目的实施,完善甲方的人力资源管理体系,实现管理规范化、员工职业化、管理人员能力素质的提升,有利于战略发展目标的达成。This management improvement consulta
13、tion aims to assist Party A in improving its existing human resource management system, reaching a standardized operation, developing a team of vocationalized employees, advancing competencies of the managers, ultimately achieve its strategic development goals.1.4服务范围:Scope of Service南宁东亚糖业集团有限公司。Fo
14、r and within Nanning East Asia Sugar Group Co. Ltd. only2、履行期限Term of performance双方决定乙方顾问入驻日期为2005年4月 6 日,预计项目完成时间为4个月。咨询项目自乙方顾问入驻甲方开始至项目完成经甲方验收合格止。The two Parties agree to start up this project since 6 May, 2005, and its expected that it will last four months until the project solutions are checked
15、 and accepted by Party A.3、双方责任Responsibilities of Each Party3.1 甲方责任Responsibilities of Party A3.1.1 甲方应高度重视公司管理改善项目的实施,对乙方的工作提供支持,负责协调内部各部门及各工厂的关系,调动相关的资源,提供相关数据资料及方案文字处理等工作。被双方认可的工作或方案,在甲方组织中的贯彻、推动,由甲方负责。Party A should take special emphasis on this management improvement project, and offer Party
16、B all necessary assistance in coordinating cross-section relations, deploying related resources and, providing relevant data information and word processing service. Project solutions that have been approved by the two parties shall be promoted and implemented by Party A. 3.1.2 甲方负责与该项目有关的第三方进行协调,以保
17、证项目的顺利进行。Party A shall be responsible for coordinating with the third party relating to this project so as to ensure it in right progress.3.1.3 甲方应按合同要求支付咨询费用。Party A should pay Party B consultation charge in accordance with the provisions of the contract.3.1.4 甲方向乙方顾问提供在甲方工作时必要的办公条件(如办公室、市话),并为乙方顾问
18、提供简便的午餐。Party A should assist Party Bs consultants in providing fundamental facilities such as office and telephone and staff meal (lunch) as well.3.1.5 甲方应确保项目运作期间组织人员的稳定。Party A should assure a stable coordination team during the project in progress.3.1.6 乙方提交的阶段性方案甲方应在5个工作日内予以回复,最终方案应在10个工作日内回复;如
19、甲方在5个工作日后未予阶段性方案明确答复,乙方将视为甲方默许,可以开展下一阶段的工作;如甲方在10个工作日内未予最终方案明确回复,乙方将视为甲方接受。Party A should respond in time to Party B on its solutions submitted, say, offering their opinions about the phase solutions within five working days, and about the final solutions within ten working days. Should Party A be u
20、nable to give a feedback on the phase solutions within five working days, Party B will take it acquiesced by Party A and will continue the work of next phase. Should Party A be unable to give a feedback on the final solutions within tem working days, Party B will take it accepted by Party.3.2 乙方责任Re
21、sponsibilities of Party B3.2.1 乙方应按合同第1.2条规定的内容为甲方提供咨询服务。Providing consultation service in accordance with the provisions of Article 1.2.3.2.2 乙方负责咨询计划的制定、方法的传授、工具的提供及方案设计。Responsible for establishing a consultation plan, tutoring Party A advanced management means and tools, and designing the projec
22、t solutions. 3.2.3 乙方应按照合同规定的时间、进度保质保量完成工作。Fulfilling the specific tasks and on schedule and in good quality and quantity. 3.2.4 乙方应确保项目组的稳定性,保证进场顾问的专业水平。Insuring a stable consulting team as well the professional level of its consultants.3.2.5 乙方应尽力协助甲方与项目有关的第三方进行协调。Assisting Party A in coordinating
23、 with the third party relevant to this project.3.2.6 负责对甲方相关管理人员的培训,使甲方人员具备管理体系运作能力。Responsible for training the managers of Party A so that they can be capable of running this new management system.3.2.7 乙方完成工作后,应向甲方提供不少于一套的文字材料和电子文档。乙方提供的服务成果应尽可能做到通俗易懂。Providing Party A with at least a set of cons
24、ultation documents both in written and electronic form when the whole project is done. Trying to make the solutions simple, understandable and feasible. 4、文件的传达Delivering of documents4.1 在本合同执行期内(含跟踪服务期),甲方与乙方之间所有的正式通知及文件均采用书面形式传达给对方。Within the validity of the contract (the service period included),
25、 all the formal notices and files to and from the two parties shall be delivered in written paper.5、工作的开展The operation of consulting project 5.1 项目正式启动后,甲方和乙方共同组建一个咨询项目委员会,由双方的高层管理人士负责。When the project is start up, Party A and Party B shall jointly establish a Consultation Committee consisting of th
26、e top managers of the two parties. 5.2 为确保咨询服务的质量和进度,乙方委托深圳市东方大成管理咨询有限公司作为合作伙伴,共同组成咨询项目小组开展对甲方的咨询服务工作。小组成员构成如下:乙方项目经理1人(彭荣模先生),管理顾问1-2人(陈耀忠先生、黄道银先生)。乙方在经过甲方同意,确保项目经理不变的情况下可增加、调配顾问组成员。To guarantee the quality and progress of the consultation project, Party B consigns Shenzhen Oriental Wisdom Manageme
27、nt Consultation Co., Ltd. as its business partner. They will jointly set up a consulting team to serve for Party B. The team members consist of one project manager (Peng Rong Mo, Mr.) and two or three consultants (Chen Yao Zhong, Mr.; Huang Dao Yin, Mr.). With the agreeing of Party A, Party B can in
28、crease or adjust consultants.5.3 甲方有权对乙方配备的服务咨询人员提出建议,并可要求乙方更换咨询人员。Party A has the right to give suggestions to Party B consultants, and to ask Party B to replace its consultants.5.4 甲方应按照乙方的提议成立项目配合小组,负责联系及协调工作,配合项目执行。Party A will set up a coordination team as per Party Bs suggestion to work in con
29、tact and cooperation between the two parties and within Party As departments and factories, and be responsible for bringing the project solutions into effect. 5.5 甲方管理层应该提供的相关信息,安排管理人员及员工与咨询顾问相互合作、共同遵照咨询服务项目管理程序。乙方将全程培训甲方相关员工,做到知识转移。The managers of Party A should provide Party B with relevant data i
30、nformation and ask its management staffs and employees to cooperate with Party B consultants so that they can jointly abide by the specified consultation management processes. Party B shall offer the relevant employees of Party A a series of training courses. 6、乙方的承诺Commitment of Party B6.1 乙方保证为甲方培
31、训出能熟练实施运作该项目所设计的实施方案的管理干部。Assuring to help Party A training the designated managers to be capable of using the project solutions. 6.2 乙方保证对甲方的经营管理资料进行保密。Keeping Party As business data information a secret. 7、后续服务Succeeding service咨询服务基础工作完成后半年内,乙方的管理顾问根据甲方项目推行的需要定期到甲方解决相关问题,进行免费跟踪服务,平时以电话、电邮形式交流。Wit
32、hin six months since the fundamental consultation work has been fulfilled, Party B consultants will periodically visit Party A and resolve problems relating to the implementation of the project. This service will depend upon the factual necessity and be free of charge. The consultants will also comm
33、unicate with the designated people of Party A by telephone or email. 8、其它责任Other responsibilities8.1 甲方任何人员不得以任何方式向与本合同无关的第三方泄露乙方为甲方服务的收费情况。为此,甲方须于内部控制收费知情范围。Any person from Party A is not allowed to release the information on consultation charge to any irrelevant third Party in any way. Thereby Par
34、ty A should control the information from inside. 8.2 乙方任何人员不得以任何方式向任何第三方泄露甲方的商业机密。甲方的经营情况不允许在乙方项目组以外传播。Any person from Party B is not allowed to leak Party As business secrets to any third Party in any way. Party As business information and documents are not permitted to spread outside the consultin
35、g team of Party B. 8.3 甲方对乙方完成服务工作后交付的服务成果(含建议书、方案及其相关文字资料等)有所有权,并对后继改进的成果有所有权。Party A holds ownership over the consultation results submitted by Party B (incl. proposal, solutions, and any relevant written documents, etc.), and over the succeeding improved results as well.9、工作成果的确认与验收Approval and a
36、cceptance of the solutions9.1 由甲方与乙方共同成立的咨询项目委员会负责验收,咨询项目小组与项目配合小组协助验收;The Consultation Committee will be responsible for approving the project solutions, with the help of the Party Bs consulting team and Party As coordinating team.9.2 验收标准由甲方与乙方共同商定(满足甲方的需求)。The approval and acceptance criteria wil
37、l be decided by the two parties through consultation, satisfying Party As requirements. 10、咨询费用及付款方式Consultation charges and Payment10.1 甲方支付乙方的工作咨询服务费为人民币壹佰贰拾捌万伍仟元整(RMB1,285,000);Party A shall pay to Party B a total consultation service charge of RMB 1,285,000.00.10.2 在项目服务实施过程中,如出现超出或少于本合同第1.2款规定的
38、内容,则服务费用将作相应的增加或减少调整;During the period of consultation service, if the provided contents of service in Article 1.2 are increased or reduced, then the payment will be also increased or reduced accordingly. 10.3 全部咨询费用分三期支付:Payment for the consultation service shall be made by three times: (1)2005年4月1
39、2日前甲方向乙方支付总咨询费用的35%,即人民币肆拾肆万玖仟柒佰伍拾元整(RMB449,750);Party A should pay to Party B 35% (RMB449,750) of the total consultation charge before 12 May, 2005. (2)在乙方完成了工作标准设计与培训、职业规范手册及辅导、绩效管理体系设计、薪酬福利体系设计、全面激励体系设计与培训体系设计,并经甲方审批后支付总咨询费用的40%,即人民币伍拾伍万肆仟元整(RMB514,000)After Party B has completed the following fi
40、ve items of job (i.e. job standards design and relevant training, vocational behaviors criteria design and vocational training, and the designing of performance management system, pay and benefits system, comprehensive motivation system and training system) which are approved by Party A, then Party
41、A should pay to Party B another 40% (RMB514,000) of the total consultation charge.(3)在项目结束审批后的三天内支付总咨询费用的25%,即人民币叁拾贰万壹仟贰佰伍拾元整(RMB321,250);Within three days since the solutions have been approved, Party A should pay to Party B another 25% (RMB321,250) of the total consultation charge.11、合同的终止与解除Termi
42、nation and rescission of Contract11.1 本合同至双方责任义务履行完毕后终止。The contract will be terminated when the two parties have fulfilled their respective responsibilities and obligations. 11.2 乙方的阶段性工作成果如多次不能得到咨询项目委员会的认可,甲方可单独解除合同。Party A may unilaterally rescind the contract provided that Party Bs phase results
43、 couldnt be approved by the Consultation Committee. 11.3 甲方如逾期十天未支付服务费,乙方可单方终止合同。Party B may unilaterally rescind the contract provided Party A fails to pay to Party B exceeding the time limit of ten days.12、违约责任Liability for Breach12.1 合同双方在合同期内如无法定的或本合同约定的情形不得解除合同,任何一方单方终止合同应向对方人民币伍万元(RMB 50,000)作为违约金。No party shall rescind the contract during its validity unless the legal or provide
