3、方劳动合同制员工。根据中华人民共和国劳 动法 、 蒙特工业有限公司章程 以及已颁布并可公开得到的有关法律法规, 甲乙双方本着 自愿平等、协商一致的原则,签订本合同。According to the Labor Law of the P .R. China, as well as the Personnel Regulations of Labor Contract, Valmont Industries Ltd. employs Party B (the employee as a contract employee. Both parties to this contract sign on

4、 the basis of equity, free will, and mutual benefits.第 1条 合同期限 Contract Period1.1 本合同有效期自 200_年 _月 _日至 200_年 _月 _日止 (含试用期 _个月 。 The contract period of employment will be valid from _ (M/D/Y to _ (M/D/Y. During which the period of _ months will be considered as probationary employment.1.2 在试用期内,甲方发现乙

5、方不符合录用条件的,甲方可以即行解除本合同。Party A has the right to terminate Party Bs Labor Contract immediately without notification if Party B does not prove to be suitable through the period of probationary employment.第 2条 工作岗位、任务 Positions, duties & Responsibilities2.1 甲方安排乙方在 _部门 _岗位工作,覆盖岗位为 _Party A (the employer

6、 employs Party B (the employee in the capacity of _2.2 乙方必须按照甲方规定的岗位职责和要求全面完成指标和任务, 并接受甲方对其进行的 有关考核测评。Party B is required to fulfill his/her responsibilities completely and accurately as described by Party A and accept performance measurement handled by Party A2.3 甲方根据生产经营需要及乙方的工作技能和表现, 可变更乙方的工作, 乙方

7、须服从甲方的调动,如无正当理由,不服从调动者,甲方可辞退乙方,解除其劳动合同。Party A has the right to adjust Party Bs position according to the actual business situation and the performance of Party B. Party B must accept Party As arrangement.第 3条 工作条件、劳动保护 Labor Conditions & Labor Protection3.1 甲方实行每周 40小时工作制。对特殊岗位可实行不定时工作制。Party Bs no

8、rmal working time will not exceed 40 hours per week, whereas its flexible for some special position holders.3.2 甲方因生产经营原因需要乙方加班时, 乙方应服从。 同时甲方应按规定支付乙方加班费 报酬作补偿。If it is necessary for Party A to request Party B to put in overtime, Party B must be subordinated to request of Party A. Party A shall provi

9、de Party B with economic compensation according to relevant regulations.3.3 甲方为乙方提供必要的工作条件, 根据国家劳动法则提供符合中国政府规定的劳动安全 卫生条件和提供必要的劳动保护用品, 保证乙方在人身安全及个体不受危害的环境条件下工 作,对女职工及未成年工按劳动法的规定酌情予以特殊劳动保护。Party A must provide Party B with a safe and non-toxic working environment, necessary safety measures to guarante

10、e safe working conditions of Party B, according to National Safety and Sanitation Standards. Party A shall provide special protection measures for female and underage employees according to the Labor Law.3.4 甲方认为乙方的健康状况将会对工作或其他员工造成不利影响时, 甲方有权按制度采取 相应的措施,并有权要求乙方进行健康检查,乙方不应拒绝。If Party A thinks Party B

11、s healthiness will effect to the work or other staffs, Party A will have the authority to correspond and will have the authority to ask Party B to have a physical check-up, at same time the Party B should not to refuse.3.5 乙方在被聘用期间, 甲方负责对乙方进行岗位职责、 技能、 安全规程、 职业道德及相关 规章制度的教育和培训,乙方须积极配合,并根据岗位职责要求努力提高自身

12、的技能。 Party A is in charge of various training such as technical training, Position principles, safety operations, Companys regulations and p rovision, etc. within the employment period. Party B shall accept the training with positive attitude for raising his/her work efficiency.第 4条 劳动报酬 Payroll4.1

13、公司实行内部薪酬管理制度, 甲方依据按劳取酬准则、 企业经营状况及岗位确定乙方的 薪酬标准,并按有关规定支付。Party A implements Companys internal salary system. Party A will pay Party B monthly salary based on the following conditions: the actual business situation, the level of Party Bs position and the general principle of “distribution according to

14、work”.4.2 公司在实行新工资制度、 调整员工工资水准或当乙方岗位职务发生变化时, 甲方可根据 政策给予乙方以工资待遇调整。Party A has the right to adjust the salary standard of Party B if Party A implements new salary system, or transfers the position of Party B.4.3 每月最后一天为甲方的当月薪金发放日。Salary will be given to Party B on the end of month.第 5条 社会保障和福利待遇 Socia

15、l Insurance & Fringe Benefits5.1 在劳动合同期内甲方按照中国政府有关规定为乙方办理养老保险、 医疗保险、 住房公积 金、失业保险等手续。Party A should provide the pension, medical insurance, unemployment insurance and housing fund for Party B within the contract period according to the relevant government laws.5.2 甲方为乙方提供因伤病、 工伤、 职业病及计划生育而发生医疗费用保险, 并

16、创造条件办 好员工福利。Party A shall provide the following social insurance for Party B: disease and injury related to work, occupational disease, pregnancy within family planning and handle necessary collection welfare enthusiastically.5.3 乙方在甲方工作期间不满一年的可享受累计 3个月的停工医疗期,工作时间每增加一 年,累计停工医疗期增加一个月,最多不超过 24个月。Party

17、 B has the right to have 3 months work-off medical treatment if he/she works for Party A less than one year. One more month work-off medical treatment will be permitted with the one more year employment. The total work-off medical treatment is limited within 24 hours.5.4 乙方享有国家规定的法定节假日、婚丧、探亲、生育假以及年休

18、假等有薪假期。 Party B has the right to enjoy public holidays, marriage leave, funeral leave, home-visit leave, family planning leave, new-year holiday, Company holidays, etc.5.5 乙方因工作或非因工死亡的待遇等按中国政府的法规执行。Party Bs compensation for the death of working accident etc. is executed according to the prevailing r

19、ules and regulations enacted by the government.第 6条 劳动纪律和奖惩办法 Labor Discipline and Reward6.1 乙方在合同期内必须严格遵守国家法律法规, 熟知并遵守本公司 员工手册 和各项规 章制度。Party B must obey State Laws and Regulations, the joint venture Employee Handbook and the bylaw of company.6.2 甲方依照本公司员工手册 ,对于模范遵守规章制度和为公司经营、生产和发展作出 重大贡献的员工予以奖励;对于

20、违反规章制度的乙方予以处罚。Party A will reward the model employees who perform Companys discipline perfectly and make a big contribution to operation, production and development of Companys business. Party A will disciplinary the employees who breach Companys Employees Handbook.第 7条 合同变更、续订、终止和解除 Contract Renew

21、and Termination7.1 合同双方在履行本合同过程中确因客观情况发生重大变化,可变更本合同的有关内容, 但需双方协商并办理变更手续。Both Parties have the right to change the contracts due to not be estimated external conditions during the actual contract process with necessary negotiation and procedures.7.2 本合同期满即行终止,甲乙双方如需延长劳动合同期限,应在合同期满前 30天,续订 延长合同期手续。乙方在

22、本企业工作满 10年以上,如甲乙双方同意续延劳动合同,可以签 订无固定期限的劳动合同。The expiration date of signed contract will be considered as the natural termination. If either Party A or Party B intends to continue this contract, such intent shall be delivered to the other party 30 days prior to the processing of contract termination b

23、ased on the mutual negotiation. Party B had the right to sign life contracts with Party A based on 10 years working for Party A and permission of Party A.7.3 乙方达到规定的退休年龄或因病丧失劳动能力提前退休时,劳动合同自然终止。 The Labor Contract expires naturally when Party B is in the retirement age or loses the capabilities due t

24、o disease.7.4 符合下列情况之一的,甲方可以解除本合同,辞退乙方。Party A has the right to terminate the contract due to the following conditions.Party B doesnt prove to be suitable through the period of probationary period. (it including and be not limited that the situation which Party B provides is not true, an d Party B d

25、oesnt pass through the period of probationary.Party B breaks State law, and has been sentenced to punishment or forced labor.Party B is in serious neglect of duty, or engages in grafts.Party A will terminate the Labor Contract with Party B who doesnt abide by the family planning according to related

26、 regulations.7.5 有下列情况之一的,甲方可以解除劳动合同,但是应当提前 30天通知乙方。Party A has the right to terminate Party Bs Labor Contract in any of the following situation withwilling to inform Party B 30 days in advance.Party B is deemed incompetent even following additional training or adjustment of position.Party B with di

27、seases or non work-related injury, and after the treatment which does not exceed the prescribed period, Party B cannot take the original work or other position arranged by Party A.The conditions of Agreement attached to Labor Contract later.7.6 符合下列情况之一的,甲方不得解除劳动合同。Party A cannot terminate Party Bs

28、labor contract based on the following situations.Party B has contracted disease or non-work related injury, and required treatment does not exceed the prescribed period.Due to any work related injury or occupational disease, Party B is either engaged in period of treatment/recuperation, or the emplo

29、yee has completed such treatment/recuperation and has lost part or all the capacity to work, as configured by the Labor Appraisal Committee.Party B is evolved in a period of pregnancy within family planning, post-natal or breasts feeding (except the serious violation of Companys provision.Party B ha

30、s the right to terminate this Labor Contract in any following situations.During the period of probationary employ, Party B cannot suit and engage this job.Party A cannot pay party Bs salary or the necessary protection facilities in accordance with its contract.Party B is forced to be work by Party A

31、 with violation or threat.Party B goes university or abroad, cannot carry out labor contract.Party A cannot carry out this contract with the required regulations and laws of Government.7.8 乙方申请辞职并经甲方同意, 劳动合同可以解除。 但应提前三十天通知甲方, 手续齐备 后方可办理解除劳动合同手续。In the case that Party B intends to terminate this labo

32、r contract, based on the negotiation and approval by Party A, Party B shall deliver his/her resignation in writing to Party A 30 days prior to the processing of contract, then Party B go through necessary formulations of termination.7.9 终止或解除本合同后, 乙方的去向问题由乙方自行解决。 甲方按规定为乙方办理劳动关 系转移手续。Party A must tra

33、nsfer Party Bs Labor Files to the required Bureau according to the relevant Laws. Party B shall solve his/her job problem by himself/herself.第 8条 兼职规定 Part-time Job Policy8.1 兼职是指乙方与甲方劳动关系存续期间, 不论受薪与否, 与其他用人单位发生劳动关系 或为其他用人单位提供劳务的活动。 乙方未经甲方书面同意, 不得从事任何与本职工作有关 的兼职活动。Part-time job is the activity which

34、 Party A has the labor relation or provides the service for other Company within employment period of Party A, without reference to giving the salary from the other Company or not. Party A should not engage the Part-time job which has the relation to company business without Party As agreement.8.2 确

35、属情况特殊, 甲方书面同意乙方在外兼职的, 须以不影响在甲方的工作和保守甲方的 商业秘密为前提。If Party B has the agreement of part-time job giving from the Party A in especially situation, Party B could not to effect the employ work and keep the business secret of Party A.8.3 甲方有权通过各种途径对乙方擅自在外兼职的情况进行调查, 如有必要, 乙方须配合甲 方的调查工作。Party A has the autho

36、rity to investigate Party Bs part-tine job without Party As agreement. Party B should be cooperate with Party A for investigation.第 9条 保密及附随义务 Keep Secret and Employees Incumbency9.1 乙方在甲方工作期间接触到的资料、 图纸、 信息均视为甲方企业所有的知识产权和商业秘密,未经甲方书面同意,均不得私自对外泄露。It will be treated to Party As property right and busin

37、ess secret which Party B gets to information, drawing, communication within the employment period. Party B could not leak out the information without Party As agreement.9.2 保密约定:Secret agreementParty B should not entangle any activity which conflict with companys benefit.Party B should keep companys

38、 business secret when Party B communicates with the suppliers, contractors and other customers. Party B should be sure to not damage the companys benefit according to the companys safety, benefit and quality standard.Party B who grasps the companys important data and information should obey the agre

39、ement and should not engage in the positions which influence the companys benefit. (Such as design, technology, marketing, sales, purchasing, equipment, finance, auto-weld machine operator for large pole, auto-cut machine operator, maintenance, etc. In order to vindicate companys benefits, Party B s

40、hould not engage in the position that is associated with companys benefit.Party B should not discuss salary with others according to companys salary system.If Party B disobeys companys system, Party B will be punished and should assume the legal burden.9.3 双方劳动关系结束一周内,乙方应按甲方要求办妥离职手续。乙方须根据公司 “ 移交清 单

41、” 要求向公司指定人员办理工作、资料、相关物品的移交手续, “ 移交清单 ” 经甲方书面确 认后视为移交完毕。Party B should transact demission procedure according Party As requirement within a week after employment period. At the same time, Party B will transact the work, information, articles and must be gotten the confirm form the Party A.9.4 乙方应自觉维护

42、甲方企业的形象和声誉, 保守甲方的知识产权和商业秘密, 在离开甲方 公司后,不得散布对甲方不利的言论和作出对甲方不利的行为。Party B should vindicate Party As visualize and report, and should keep Party As property right and business secret. Party B should not spread the saying and act the activity that adverse for Party A.第 10条 违约责任 Liabilities Resulting from

43、Breach of Contract10.1 甲乙双方必须履行劳动合同,乙方若违反本合同规定或约定, 给甲方造成经济损失的, 须承担经济赔偿责任。具体赔偿金额按责任、损失的大小程度和有关规定确定。Party A & B must fulfill the contract. Each party is liable for losses sustained by the other party that result from breach of contract. Specific cash amounts of recompense will be set depending on the

44、degree responsibilities for the loss, on the size of the loss and on the relevant regulations.10.2 乙方违反保守商业秘密义务的,应向甲方支付违约金, 违约金数额相当于乙方的 12个 月全额工资,并赔偿甲方因此所遭受的损失。If Party B disobey to keep the business secret, Party B should pay the breach of faith fee. The amount is equal to 12 monthly salary of Part

45、y B. Party B should also pay for loss of Party A.10.3 如果乙方在本合同期内,由甲方出资培训(含境内外实习、进修需要延长合同期限 的; 由甲乙双方另行签订协议。 如乙方在合同期内受过甲方出资培训, 因个人情况辞职或者 自行离职,需按甲方规定赔偿相应的培训费用。If, within the period of validity of this labor contract, Party A provides Party B with training (including overseas training, both sides need t

46、o consult prolongation of this contract. If Party B resigns, Party A has the right to claim the recompense of training. Specific cash amounts of recompense will be set depending on the degree responsibilities for the loss, and on the relevant regulations.10.4 乙方因其他行为对甲方造成损失的,应当根据其造成的实际损失情况赔偿甲方相应的 损失

47、。If Party B was causes damage on Party A. Party B should pay to Party A.10.5 上述赔偿费用甲方可以按照有关规定在支付乙方劳动报酬时,要求乙方同时支付。 The Mount which Party B should pay to Party A will be deducted in reward of Party B.第 11条 劳动争议 Labor Contentions11.1 甲乙双方因履行本合同而发生劳动争议时,适用劳动争议程序。If during the binding period of this cont

48、ract, Party A & B encounter a dispute that cannot be resolved, this dispute should be handled according to the official procedures of Labor Contention.11.2 劳动争议由双方协商解决, 也可由一方或双方自劳动争议发生之日起 60天内向甲方所 在地劳动争议仲裁机构申请仲裁。Both sides can settle the dispute bilateral, or can also appeal to Labor Contention for arbitration within 60 days.第 12条 其他 Others12.1 在签署本合同书时,甲方已向乙方出示了本公司员工手册以及有关规章制度,乙 方经充分了解阅读后予以接受, 同意甲方公司的 员工手册 以及有关的协议和规章制度为 本合同的有效组成部分。The Companys Employees Handbook and
