You are expected to act with integrity. This means that you should

You should direct any questions you have about these Guidelines or a legal compliance matter to your manager

In general, you must avoid any activity or personal interest that creates or app

8、ears to create a conflict between your interests and the interests of COMPANY or that might impair, or appear to impair; your ability as an COMPANY employee to perform your work objectively and effectively. Some guidelines for avoiding actual or apparent conflicts follow:员工的行为可能会有意无意的造成利益冲突或看起来不正当。您

Gifts, hospitality and entertainment in a business relationship are ap

19、propriate only to foster goodwill, and must be of reasonable value. Payments, gifts, kickbacks, or other business courtesies that are offered for an improper purpose or are excessive in terms of frequency or monetary value are inappropriate and may be unlawful.业务决策始终都应将产品和服务的优点以及人员的诚信作为依据。在业务关系中提供的礼

In addition to putting the reputation and success of COMPANY at risk, violation of any anti-bribery, anti-kickback, or other anti-corruption law can

21、subject COMPANY and its business partners to serious criminal and civil penalties.COMPANY绝不容忍任何性质的行贿、回扣和敲诈勒索行为。违反任何反贿赂、返回扣和其它反腐败法律不但会使COMPANY得声誉和成功面临风险,而且可能会让COMPANY及其业务合作伙伴遭受严厉的刑事和民事处罚。Such laws apply in China in which COMPANY does business. Violation of these laws can also subject you personally t

22、o serious criminal and civil penalties, and result in your immediate termination from COMPANY.在COMPANY开展业务的每个地区都实施了此类法律。违反这些法律也可能会使您本人遭受严重的刑事和民事处罚,并且导致COMPANY立即解除与您的雇佣关系。Laws and regulations applicable to government or public sector business are particularly restrictive. Except in very limited circu

23、mstances, offering, promising or giving any gratuity or benefit, either directly or indirectly, to an official, employee or agent of any government or state-controlled enterprise can result in criminal or civil penalties. Accordingly, any meal, travel, entertainment, lodging or gift for any governme

24、nt or public sector personnel must be offered or given only in accordance with COMPANY written policy or guidelines for your geographic location, account category or business unit or with written approval obtained in advance from your manager.适用于政府或公共部门业务的法律和法规作出了特别严格的限制。除了极少数情况外,直接或间接向任何政府或由国家/地区控制

A bribe can b

26、e any benefit (meaning anything of value or any other advantage) that is offered or given with the intent to obligate or influence a decision or act of the recipient. Bribes can take the form of kickbacks or other cash payments, but may also take other forms, such as loans, gifts, travel or lodging

27、expenses, charitable donations, event sponsorships, tickets to events, meals and entertainment or job opportunities, whenever offered for an improper purpose.无论在公共部门还是私营部门,您都不得因为任何原因而直接或间接地提议、承诺、要求、批准或接受贿赂。贿赂可以是以任何出于迫使或影响接受者做出某项决策或行为的目的而提议或实际给予的任何利益(即有价物或其它好处)。贿赂可能会采用回扣或其它现金付款的形式,但也可能采用其它形式,例如贷款、礼品、

COMPANY expects all of its business partners to

29、 act with integrity and to comply with all applicable laws, including applicable anti-bribery laws, when doing business with or on behalf of COMPANY.您绝不应当以收到(或期望收到)某种回报为条件,向客户、潜在客户、渠道合作伙伴、供应商或代理提供任何不正当的利益。COMPANY期望所有业务合作伙伴在与COMPANY开展业务或代表COMPANY开展业务时,都能秉持诚信行事并遵守所有适用的法律,包括适用的反贿赂法。DO NOT TRADE ON “INS

30、IDE” INFORMATION不得从事内幕交易It is against the law and you are prohibited from buying or selling COMPANY if you are aware of “inside” information, that is, material non-public information about COMPANY. You may also become aware of inside information about other companies, such as COMPANY partners, suppl

31、iers and customers, through your work at COMPANY. You are similarly prohibited from buying or selling information of such other company if you are aware of inside information about that other company. You may not pass along any inside information to others, such as friends or relatives. 在得知“内部”信息(即,

33、 CONFIDENTIAL INFORMATION OF OTHERS WITH CARE小心处理其他公司的商业机密和机密信息COMPANY competes vigorously, but fairly.COMPANY会在公平的环境下展开积极竞争。You may use any publicly available information about COMPANY competitors or other companies, but you may not unlawfully acquire or misuse the trade secrets or other confidenti

34、al information of another third party. COMPANY prohibits the use of any improper means, such as cash payments, favors or hiring a competitors employees, to acquire confidential information of third parties.您可以使用有关COMPANY的竞争对手或其他公司的任何公开信息,但是不得以非法的方式获得或滥用其他第三方的商业机密或其他机密信息。COMPANY严禁以任何不正当的方式(如支付现金、好处或雇

35、佣竞争对手的员工)来获得第三方机密信息的行为。Even if you receive information about another company through legitimate means, you need to determine if the information is confidential and how such information may be used. For example, check written documents for labels that designate them as private or confidential. Before

36、 receiving what you know to be confidential information, you should establish the terms for its use. This may require the execution of a “confidentiality agreement,” which restricts the use, disclosure or distribution of the information. Once you have received confidential information through legiti

These obligations may include restrictions on the use and disclosure of confidential information or solicitation of former colleagues to work at COMPANY, or non-competition agree

41、rprise. These laws prohibit certain practices which are deemed to unreasonably restrain trade. You must fully comply with these laws. Any violation of these laws may result in severe discipline and civil and criminal penalties for you and COMPANY.适用于COMPANY业务活动的反垄断法和竞争法旨在保护与促进竞争并保护企业自有竞争。这些法律禁止某些不合理

To establish and maintain strong and long-lasting relationships, we

43、 must be honest and trustworthy in all of our dealings with customers, vendors and other third parties. Long-term relationships are more valuable than short-term gains.客户满意度是COMPANY的一个极其重要的目标。为建立稳固持久的关系,我们在与客户、供应商和其他第三方的交易中必须保持诚实可信。持久的关系比短期利益更为重要。If you are involved in proposals or contract negotiat

44、ions with third parties, you must communicate honestly. In addition, you must not enter into any contract or commit COMPANY resources unless you are authorized to do so. Once a valid contract is entered into, both COMPANY and the customer or vendor must adhere to its terms. You should not enter into

45、 an agreement on behalf of COMPANY if you believe that COMPANY will not be able to adhere to its terms. Do not take advantage of others through manipulation, concealment, and abuse of privileged information, misrepresentation of material facts or any other unfair dealing practice. In addition, you m

46、ust not in any way propose, support, participate in or accept any inappropriate or illegal behavior by third parties. Should you become aware of any inappropriate behavior of such third parties, promptly inform your manager.如果您参与涉及第三方的计划书、投标或合同谈判,您必须诚实的沟通。此外,除非您获得授权,否则您不能签署任何合同或允诺提供COMPANY资源。一旦合同生效,

Both during your employment with the Company and thereafter, you are prohibited from using such information, including such documents, for your own benefit or disclosing them to anyone outside of COMPANY. A

53、ll such information must be returned to COMPANY when you terminate your employment with COMPANY. Any taking, downloading or other prohibited use or disclosure of such COMPANY information constitutes theft of COMPANY property and may be deemed to be a misappropriation of COMPANY trade secrets.所有COMPA

You should not discuss any non-public or confidential information of COMPANY with outsiders, including family and friends, and you should not discuss such information in any public place, such as an elevator, restaurant or airplane. Even within COMPANY, information should be shared with others only on a “need to know” basis. You should not post any COMPANY information wh
