3、respect of the cooperation in the construction and opening of canadian international school in xx district on the land of education located at xxxx, donghuan street, xx district:1、 推进该合作项目的意义 i. significance of the promotion of such cooperation(一)填补xx区没有国际学校的空白，满足xx区教育多元化要求。(i) it aims to fill the g

4、ap of no international schools in xx district so as to satisfy the requirements for education diversification in xx district.(二)促进xx区教育的国际交流与合作，尤其是与xxx的教育、文化交流与合作，以提升xx教育国际化水平。 (ii) it aims to promote international exchange and cooperation in the education in xx district, especially exchange and coo

5、peration in education and culture with canada in order to enhance the standards of internationalization of education in xx.(三)吸引更多外资企业投资落户xx，解决在我区投资的外企驻华人员子女受教育问题。 (iii) it aims to attract more foreign-funded enterprises to base in pany, and to solve the issues of education to be received by the chi

6、ldren of personnel with capital investment in xx district.2、 合作方案 ii. cooperation solutions(1) 合作内容 (i) contents of cooperation1. 甲方提供位于xx区xxxx占地面积约29161.50平方米的教育用地建设用地规划许可证：xx规地证(2xxx)xx号，甲、乙双方对规划部门批准上述教育用地的用地项目、用地面积等具体情况均清楚了解。乙方在该教育用地上出资并实施建设 20000-23000平方米建筑面积的双轨制国际学校，即xx区外国语学校和xxx国际学校，提供幼儿园、小学至高

7、中的教育，招生对象以审批部门的批复为准。国际学校由乙方自主办学，独立核算，自负盈亏。国际学校采用xxx省级教育部门认证的课程结合中文语言课程，培养的学生可报考全世界优质大学。1. party a provides the land for education construction land planning license: covering a land area of about 29161.50 square meters at xxxx, donghuan street, xx district, and both party a and party b have a good u

8、nderstanding of specific conditions such as land use project and land area for the foregoing education as approved by the planning authorities. party b will make capital investment on such a land for education and carry out the construction of a double-track international school covering a floor are

9、a of 20000-23000 square meters, namely xx district foreign language school and canadian international school, which will offer education such as from kindergartens and primary schools to senior high schools, with the objects to be enrolled to be based on the approval by the reviewing and approving a

10、uthorities. international school will be independently run by party b on the basis of independent accounting and accountability for profit and loss. international school will adopt the courses certified by canadian education authorities in combination with courses in the chinese language. the studen

11、ts so educated can apply for admittance into the worlds top quality universities.2. 乙方负责兴建上述学校的全部资金投入，包括学校的建筑(包括报建、设计、勘探、监理等前期费用，施工费用及办理验收、房产确权等后期费用)、装修、办学设备及筹办运营学校，共约投入资金为xxx亿 元。其中基建约xx万元，包括基建工程、设备工程、装修工程、户外活动场地工程；办学设备共约xx万元；启动资金约xx万元。学校建设分两期进行，第一期为 8000-11000 平方米，于甲方提交建设工程规划许可证两年内完成并开学，暂定于20xx年9月；

12、第二期为12000平方米，于第一期工程投入使用后四年内完成。2. party b shall be responsible for all capital investment in the construction of the aforesaid school, including the construction of the school (including earlier stage costs and expenses to be incurred in the application for construction, design, exploration, supervis

13、ion, etc and later stage costs and expenses such as construction costs and acceptance and confirmation of real estate ownership, etc), renovation, education equipment and preparation for the building of the school, for which the proposed capital investment will account for rmb118 million, of which r

14、mb70 million will be spent on the infrastructure, including infrastructure, equipment engineering, decoration engineering, outdoor activity site engineering; and rmb40 million will be spent on school education equipment; and rmb8 million will be spent on the starting fund. the construction of the sc

15、hool will be divided into two phases. the first phase will be the construction of 8000 to 11000 square meters, which will be completed available for the start of school within two years after submission of construction engineering plan license. the opening of the school will be temporarily fixed on

16、september 2014; the second phase will be the construction of 12000 square meters, which will be completed to be put into operation within four years.3. 作为协议义务，乙方应当每年提取一定的资金用于xx区教育的国际交流与合作，即本条第(五)款。乙方除提取此项资金给甲方外，无需另行承担任何额外费用。甲方对此予以确认。3. as obligation under the agreement, party b shall provide for a c

17、ertain sum of capital to be used for international exchange and cooperation in the education in xx district, namely, as set forth in clause (v) of this article. except for the provision for such sum of fund to party a, party b will not have to bear any additional costs and expenses, which is hereby

18、confirmed by party a.(二)办学规模(ii) scale of the school在完成一、二期建校工程后，国际学校的规模为：幼儿园共4个年级，每年级4个班，每班25人，每年级100名学生，共400人。小学共6个年级，每年级4个班，每班25人，共600名学生。初中、高中即7至12年级共6个年级，每年级4个班，每班25人，共600名学生。由幼儿园到高中学生共1600人，教师及员工 113人，助教35人，以及其他管理人员(含后勤人员)共180人(不含校巴司机及跟车人员)。upon completion of phase 1 and phase 2 construction o

19、f the school, the scale of international school shall be: a kindergarten with four grades consisting of 4 classes in each grade, and there will be 25 pupils in each class, or 100 pupils in each grade, altogether 400 pupils; a primary school with 6 grades consisting of 4 classes in each grade, and th

20、ere will be 25 pupils in each class, or 600 pupils in all; a junior middle school and senior middle school consisting of 6 grades from grade 7 to grade 12, and there will be 4 classes in each grade, with 25 students in each class, namely 600 students in all. there will be 1600 pupils and students fr

21、om the kindergarten to the senior middle school. there will be 113 teachers and employees, 35 assistant teachers, and other administrative personnel (including personnel of logistics), altogether 180 persons (excluding school bus drivers and conductors).(3) 合作期限 (iii) term of cooperation双方约定的合作期限为 3

22、0+20 年，起始期暂定为2014年9月(实际起始期以实际开学时间计起)，前30年为不可撤销合作期，期间任何一方提出终止合作须承担违约责任；后20年为可撤销合作期，期间任何一方提出终止合作，只要在终止期前2年提前通知对方，不须承担违约责任。50 年的合作期满后乙方有续约的优先权。the term of the cooperation as agreed upon by the parties shall be 30+20 years. the initial period will be for the time being fixed in september 2014 (with the

23、actual initial period to be calculated from the actual time for the start of school). the first 30 years of time shall be the term of irrevocable cooperation, during which either party that will advance the termination of cooperation must assume the liability for breach of contract; the subsequent 2

24、0 years of time shall be the term of period that can be withdrawn. in the period, either party may present the termination of cooperation. as long as either party gives a 2-years prior notice to the other party before the termination hereof, such party will not necessarily assume any liability for b

25、reach of contract. upon expiration of the term of cooperation for 50 years, party b will have the option to renew the contract.(4) 成立xx区教育国际交流中心 (iv) establishment of xx district education international exchange center该国际学校加挂“xx区教育国际交流中心”牌子，由甲乙双方指派一定的人员共同参与该中心的工作，包括研究制定xx区与有关机构开展国际教育、文化交流与合作的方案，并组织实

26、施。such international school shall have “xx district education international exchange center” as the additional nameplate, and party a and party b will respectively appoint one person to jointly work for this center, including the study and preparation of solutions and proposals for the development o

27、f international education, cultural exchange and cooperation in xx district with relevant organizations and organize the implementation thereof.(5) 提取资金用于xx区教育的国际交流与合作 (v) provision for funds to be used for international exchange and cooperation in the education in xx district1. 合作第一年，无须提取该资金；1. in

28、the first year of cooperation, there shall be no necessary provision for such a fund; 2. 合作第二年至第三年，每年在学校收入提取人民币10万元；2. from the second year to the third year of cooperation, there shall be provision for rmb100000 out of the revenues of the school;3. 合作第四年至第十年，每年按学校收费总收入的1%提取；3. from the fourth year

29、to the tenth year of cooperation, there shall be provision for 1% of the total income of the charges of the school per annum;4. 合作第十一年至第二十年，每年按学校收费总收入的1.5%提取；4. from the eleventh year to the twentieth year of cooperation, there shall be provision for 1.5% of the total income of the charges of the sc

30、hool per annum;5. 合作第二十一年至第三十年，每年按学校收费总收入的2%提取；5. from the twenty-first year to the thirtieth year of cooperation, there shall be provision for 2% of the total income of the charges of the school per annum;6. 合作第三十一年至第四十年，每年按学校收费总收入的3.5%提取；6. from the thirty-first year to the fortieth year of cooper

31、ation, there shall be provision for 3.5% of the total income of the charges of the school per annum;7. 合作第四十一年至第五十年，每年按学校收费总收入的5%提取。7. from the forty-first year to the fiftieth year, there shall be provision for 5% of the total income of the charges of the school per annum;提取的资金捐赠给甲方指定的xx区教育基金会(即丙方)

33、ooperation with canada.3、 双方权利和义务 iii. rights and obligations of the parties(一)甲方的权利义务(i) rights and obligations of party a1. 提供合作之用的办学用地，负责办理学校的报建手续(包括但不限于建设手续及办学建筑物的规划审批，消防合格证，卫生许可证，建筑合格验收，环保验收等，其中建设工程规划许可证应在经甲乙双方及规划部门均认可的设计方案确定后1年内完成办理)，负责向规划部门申请满足本协议约定国际学校建设规模所需的容积率，并配合乙方申办国际学校的办学许可证。1. to provi

35、ertificates of conformity in firefighting, licenses of health, acceptance of compliance of buildings, environmental protection acceptance, etc. among them, construction engineering planning licenses shall be fulfilled within 1 year after the confirmation of the design proposals as accepted by both p

36、arty a and party b and the planning authorities), to be responsible for the application to the planning authorities for capacity rates necessary for the scale of the construction of international school satisfying this agreement, and to coordinate with party b in applying for the license for running

37、 international school.2. 甲方自签订正式协议后三个月内须交付办学场地给乙方使用，甲方迟延交付建设用地时间的，双方合作期限作相应的顺延。2. party a must, within three months after conclusion of the official agreement, deliver the school education site to party b for the use thereof. should party a delay in the delivery of the land for construction, the ter

38、m of cooperation between the parties shall be postponed accordingly.3. 有权对学校运作进行检查，并每年对财务情况进行审查。3. to have right to check and review the operation of the school, and to perform annual audit of the financial standing.4. 审核乙方对该用地的建设及物业的装饰、办公及教学设备须符合中国的学校设计、消防、安全等规范，对乙方使用该物业的情况进行监督检查，以确保该物业的安全。4. to re

39、view the construction of such a land and renovation of the property to be made by party b, and the office and teaching facilities must satisfy the specifications of china for the design, firefighting and safety of the school, and to carry out supervision and inspection of the use of such a property

40、by party b so as to ensure the safety of such a property.5. 核查乙方在办学期间的投入是否达到规定数额。5. to check whether the capital investment lives up to the sum specified in the period of running school by party b.6. 监管所提取的xx区教育国际交流与合作资金，审定其使用安排方案。6. to supervise and control the fund for international exchange and c

41、ooperation in the education in xx district so provided for, and to approve the solutions to the use of the same.7. 学校的产权属甲方所有。7. the ownership of the school shall be vested in party a.(二)乙方的权利义务(ii) rights and obligations of party b1. 有权选定学校的设计单位、地质勘探单位、施工单位、监理单位，但有关设计方案和选定工作程序须符合中国的政策法规。1. to have

42、the right to select designers, geological exploration units, construction units and supervision units for the school, provided, however, that the relevant design proposals and selection procedures must comply with the policies and regulations of the prc.2. 有权在法律、法规规定的范围内独立管理学校的日常工作及进行教学活动，有权聘任或解聘校长、

43、副校长、财务总监、校务主任，决定其报酬；学校经营过程的全部税金、费用均由乙方负责并向政府部门缴纳，甲方不承担任何费用。乙方应当实行自主办学，独立核算，自负盈亏，在办学期间对学校承担的一切责任。2. to have the right to independently manage daily work and perform teaching activities within the range as specified by laws and regulations, to have the right to employ or dismiss the schoolmaster, the

44、financial director, and school affair director, and to determine their remuneration and rewards; all taxes and charges and fees arising in the process of managing the school shall be paid by party b to the relevant government offices, for which party a will not assume any costs and expenses. party b

45、 shall implement independent running of school on the basis of independent accounting and assumption of profits and losses. and during the period of running school, it shall assume all liabilities to the school.3. 负责学校建设实施工作及资金投入，并依法筹备各项办学工作，包括办学申请、办学章程与各项规章制度的制定、教职员工的聘请、办学所需的各类办公、教学设备和图书、资料等的购置。3.

46、to be responsible for the implementation of the construction of the school and capital investment herein, and to prepare for all work in running school according to law, including application for running school, the formulation of school education articles of association and all rules and systems, a

47、ppointment of teaching staff and employees, all office and teaching facilities necessary for running school as well as purchase of books and materials.4. 负责安排专人和车辆按甲方要求报送有关报建材料。4. to be responsible for arranging specific personnel and vehicles to submit relevant documents on the application for cons

48、truction as required by party a.5. 负责向xxx省级教育部门申请课程使用及认证。5. to be responsible for to apply to the provincial education authorities of canada for the use and certification of courses.6. 按上述第二点第(五)项1-7条规定提取xx区教育的国际交流与合作资金，并在次年4月前按本协议约定捐赠给丙方，乙方不得以其经济状况显著恶化等任何理由拒绝履行捐赠义务。6. to provide for funds for inter

49、national exchange and cooperation for the education of xx district as set forth in paragraph (v) of the foregoing section 2, and to donate the same to party c as agreed upon under this agreement in the next april. party b may not refuse to perform the obligations for the donation thereof for the rea

50、son of deterioration of its financial standing.7. 在校内承担经甲乙双方商定的对xx区教师和学生的培训任务。7. to assume the task for training teachers and students in xx district as agreed upon by the parties in the school.8. 签订本意向书后两个月内向甲方提交初步设计方案，按时完成学校的建设和开学，若因甲方办理报建手续或不可抗力等因素导致未能按时完成办理报建手续，学校完成建设和开学时间相应顺延。8. to submit initi

51、al design proposals to party a within two months after the signing of this letter of intent, to fulfill the construction and opening of the school in time. in the case of failure to complete the procedures for application for construction due to the fulfillment of procedures for application for cons

52、truction by party a or due to factors such as force majeure, the completion of the construction of the school and opening of the school shall be postponed accordingly.9. 合作期满后乙方有续约的优先权。9. after the expiration of the term of cooperation, party b will have the option to renew the contract.10. 为表示诚意，乙方

53、在签订本协议7日内交付保证金人民币100万元至甲方账户。待第一期工程确认完工后7日内，由甲方全额退还(不计利息)。若因甲方原因造成本协议不能履行，乙方可提出终止协议，甲方在终止协议后7日内全额退还乙方的保证金(不计利息)。10. for the purpose of expression of good faith, party b shall pay rmb1 million to the account of party a as the deposit within 7 days after this agreement is entered into. within 7 days af

54、ter confirmation of the first phase of works, party a will refund the deposit in its full amount (without any accrued interests). in the case of failure to perform this agreement for the reason of party a, party b may present the termination of the agreement. party a shall, within 7 days after termi

55、nation of the agreement, return the deposit in its full amount to party b (without any accrued interests).11. 在合作期间内，乙方不得将国际学校的办学许可权利和本协议约定的权利义务转让给第三方，不得抵押、处置国际学校。11. within the term of cooperation, party b may not transfer to any third party the right to run international school and rights and obli

56、gations under this agreement. nor may it mortgage or otherwise deal with international school.四、违约条款iv. default clause(1) 在前30年的不可撤销合作期期满前，如甲方中途收回该学校，须提前2年书面通知乙方，并安排与原学校规模、装修标准相当及位置相近(xx区内市桥河以北，南沙港快速路与g105国道之间的区域内)的其它校舍和用地给乙方继续办学，乙方搬迁新校舍所需相关费用由甲方承担；但在合作期的前10年，乙方有权选择不接受甲方提供的新校舍和用地，并由甲方承担下述违约责任。若甲方未能提

57、前通知、或者未能安排与原学校规模、装修标准相当及位置相近的其它校舍和用地给乙方继续办学的，均视为违约，甲方除一次性向乙方支付人民币壹仟万元违约金外，还应当另行向乙方支付包括但不限于所投入剩余协议年限的建校成本(以30年平均分摊计算，以下均同)、搬迁校舍费用、解聘教师费用、分流学生费用等一切实际损失的费用。(i) before the expiration of the irrevocable term of cooperation for the first 30 years, if party a recovers the school half way, it must give 2-ye
