10、检验，卖方在发货之前都应对货物的 质量、规格、性能和数量/重量等做一准确、全面的检验，证明该商品与合同条 款相符。这些检验证明将形成议付支持文件不可分割的一部分，但不被认为是 最终结果。 no matter the buyer make inspection or not before the good shipment, the seller shall, for the purpose of delivering the goods, conduct a precise and comprehensive checking and inspection as regards the qua

11、lity, specification, performance and quantity/weight etc. and issue certificates as required certifying that the goods are in conformity with the stipulations of this contract. the checking and inspection certificates shall form an integral part of supporting documentation required by payment, but s

12、hall not be considered as the final in respect of quality, specification, performance and quantity/weight. （2） 如果货到买方施工现场因验收发现货物与合同规定不符或在质保期内因为任何 原因被证实有缺陷，包括潜在缺陷或使用了不合格的材料，买方将安排第三方 进行检验，并有权向卖方索赔。 should the quality and specifications of the goods be found not in conformity with the contract on the b

13、uyers jobsite, or should the goods prove defective within the warranty period for any reason, including latent defects or the use of unsuitable materials, the buyer shall arrange for a survey to be carried out by the third party inspectorate appointed by the buyer, and have the right to claim agains

14、t the seller on the strength of the survey report. （3） 条款 12 任何规定都不应免除卖方在合同规定下的其他保证或其它义务。 nothing in article 12 shall in any way release the seller from any warranty or other obligations under this contract. 1313、违约责任违约责任 responsibility of breach of contract (1) 品质违约责任 quality responsibility of brea

15、ch of contract 在货物到达项目现场后，如果发现货物外观、规格或数量与合同要求不符，买方有权 要求卖方免费更换货物或向卖方索赔损失，并承担由此导致的所有费用，包括直接费 用和间接费用(如商品检验费、替换货物运输费、保险费、仓储费以及装卸费等等)和 由此引起的对工期负面影响的损失将由卖方承担。 。 当地商品检验机构出具的检验证明将作为索赔的基础。对于买方的索赔，卖方有责任 迅速排除缺陷，全部或部分更换货物或根据损坏的程度降价。如果更换产品仍不能满 足本合同要求，则卖方必须接受买方退货要求。 如果有必要，将由卖方承担费用买 方自行排除缺陷，如果卖方在收到前述索赔一个月内未能答复买方，索

16、赔将被认为已 被卖方接受。 after the arrival of the goods at the buyers jobsite , should the appearance, specifications or quantity found not in conformity with the stipulations of the contract, the buyer shall have the right to claim to be free for replacement with new goods, or for compensation, and all the di

17、rect and indirect expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges, etc.), and all losses arisen from the negative effect on the buyers construction schedule due to the inconformity wit

18、h the contract shall be borne by the seller., the inspection certificates issued by the local commodity inspection organization shall be accepted as the basis of a claim. the seller, in accordance with the buyers claim shall be responsible for the immediate elimination of the defect(s), replacing al

19、l or some defective goods or depreciating the prices according to the damage degree. if the new goods replaced by the seller are still not in conformity with the stipulations of this contract.,the buyer has the right to returned purchase. where necessary, the buyer will eliminate the defects itself

20、at the sellers expenses. should the seller make no reply to the buyer within 14 days after receipt of the aforesaid claim, the claim shall be regarded as having been accepted by the seller. (2) 迟交货违约责任 late delivery and liquidated damage 如果卖方未按合同要求及时交货，除非是本合同条款 14 所述的不可抗力引起的，每 延迟交货 1 周或不足一周，买方有权从未支付

21、货款中直接扣除迟交货货款的 1作为违 约金。违约金总额不超过迟交货物全部金额的 10%，如果超过合同规定交货期 14 天后 卖方仍不能交货，买方有权解除合同，并有权向卖方索赔因此所遭受的损失。不管合 同是否被解除，卖方仍要如期交纳上述违约金。 should the seller fail to make delivery on time as stipulated in the contract, with exception of force majeure causes specified in article 14 of this contract, the buyer has the

22、right to deduct the liquidated damage directly from the unpaid value of the goods. the liquidated damage, however, shall not exceed 10% of the total value of the goods involved in the late delivery. the rate of liquidated damage is charged at 1% for one week or part there of. in case the seller fail

23、s to make delivery fourteen(14) days later than the time of delivery stipulated in the contract, the buyer shall have the right to cancel the contract and has the right to claim all losses arisen from the negative effect ,the seller, in spite of the cancellation, shall still pay the aforesaid liquid

24、ated damage to the buyer without delay. (3) 其他违约责任 other breach of liability 卖方承担由于包装和保护措施不充分或不适当而引起的任何货物损坏、缺失、锈 蚀等责任，并承担由此产生的一切费用。 the seller shall bear the liability caused any goods damage, shortage, missing ,rust corroding ,etc. as packing and protective measure not sufficient or proper, and all

25、 the incurred expense shall be borne by the seller. 卖方所售产品不得侵犯第三方的知识产权。否则，由此给买方造成的一切损失由 卖方全部承担。 the product sold by the seller is not infringed any third- partys knowledge property right. should it happen, all the incurred loss shall be borne by the seller. 14、不可抗力、不可抗力 force majeure 对于在生产过程或装船或转船过程

26、中发生的不可抗力(如战争、严重火灾、水灾、台风 和地震或其他由双方认可的事件)引起的延误船期或不能交货，卖方应不负任何责任， 卖方将迅速通知买方上述发生的一切，事故发生之后的 14 日之内快递一份由主管政府 部门出具的事故证明书。在这种情况下，卖方仍然有责任采取必要的措施尽快运输货 物。如果事故持续超过 10 周，买方有权取消合同。对于买方生产急需产品，不可抗力 事件持续 2 周，买方有权取消合同。 the seller shall not be held responsible for the delay in shipment or non-delivery of the goods du

27、e to force majeure such as war, serious fire, flood, typhoon and earthquakes or other events agreed upon by both parties, which might occur during the process of manufacturing or in the course of loading or transit. the seller shall advise the buyer immediately of the occurrence mentioned above and

28、within fourteen (14) days thereafter, the seller shall send by courier to the buyer for their acceptance a certificate of the accident issued by the competent government authorities where the accident occurs as evidence thereof. under such circumstances, the seller, however, is still under the oblig

29、ation to take all necessary measures to expedite the delivery of the goods. in case the accident lasts for more than ten (10) weeks, the buyer shall have the right to cancel the contract.for the buyers urgent product,the force majeure accident last for two(2) weeks,the buyer shall have the right to

30、cancel the contract. 15、售后服务、售后服务 service after selling 卖方有责任根据买方要求提供售后服务。 the seller has obligations to provide service after the goods are sold as required by the buyer. 16、适用法律、适用法律 governing law 本合同适用中华人民共和国相关法律法规。 the contract shall be governed by and construed in accordance with the laws of th

31、e peoples republic of china. 17、仲裁、仲裁 arbitration 凡因本合同引起的或与本合同有关的任何争议，将通过双方协商谈判友好地解决，如 果协商不成，争议均应提交中国国际经济贸易仲裁委员会,按照申请仲裁时该会现行有 效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费由败诉的一 方承担。 any dispute arising from or in connection with this contract shall be settled friendly through negotiations of the two parties. in

32、 case no settlement can be reached, the dispute shall be submitted to china international economic and trade arbitration commission for arbitration which shall be conducted in accordance with the commissions arbitration rules in effect at the time of applying for arbitration. the arbitral award is f
