7、 rental is more than ten working days overdue, party b will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, party b will be deemed to have with drawn from the premises and breach the contract. in this situation, party a has the right to take back t
8、he premises and take actions against party bs breach.五、 保证金 deposit 为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于_年_月_日前支付给甲方保证金人民币 _元整,甲方在收到保证金后予以书面签收。guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease te

10、interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在保证金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。in case party b breaches this contract, party a has right to deduct the default fine, compensation for dam
11、age or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.六、 甲方义务 obligations of party a 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。party a will provide the pr
12、emises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using. 房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair an
13、d pay the relevant expenses. 甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party bs losses.七、 乙方义务 obligations of party b 乙方应按合同的规定按时支付定金、租金及保证金。party b will pay the rental, the deposit and other
14、expenses on time. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。party b may decorate the premises and add new facilities with party as approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for n
15、ormal use. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。party b will not transfer the lease of the premises or sublet it without party as approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached f
16、acilities caused by its fault and negligence. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be respons
17、ible for the damages caused by it 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.八、 合同终止及解除的规定 termination and dissolution of the contract 乙方在租赁期满后如需退租或续租,应提前两个月
18、通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension. 租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。when the lease term exp
19、ires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party as previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection. 本合同一经双方签字
20、后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another partys agreement. anything not covered in this contract will be discussed separately by both parties九、 违约及处理 breach of the contr
21、act 甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币_元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。during the lease term, any party who fails to fulfill any article of this contract without the other partys understanding will be deemed to breach the contract. both parties agree that the default

29、租,应在本合同期限届满前两个月提出书面申请,取得甲方同意后,甲、乙双方须另行签署租赁协议。if party b wishes to renew the lease, party b shall submit a written application to party a two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to party as consent.五、 免租期(含装修期)grace

33、all charge actually incurred each month.3其它费用other charges在租赁期内,乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算,乙方按单缴付。免租期内承租单元所用的电费由乙方支付。during the lease term, the electricity consumed in the premises shall be paid by party b to the management department in accordance with the actual consumption appeared on the bil
34、l of the management department. party b shall pay for the electricity consumed in the premises during the grace period七、支付方式payment1 租金应按 预付,免租期届满后,乙方于应付款月的第【 】号前向甲方支付下期租金。the rent shall be paid on basis. after expiration of the grace period, party b shall pay for the rent before the【 】 day of the c
35、urrent .2 其他各项费用(包括但不限于)水费、电费由乙方按大厦物业管理机构每月提供的交费通知单按时交付。miscellaneous charges party b shall pay for the water and electricity on time to the management department according to the bills issued by the management department each month.八、币种和帐户currency and account乙方应按甲方指定的帐户支付本合同项下所有的到期款项,所有付款以人民币计算,以人民
36、币支付。party b shall pay the rent and all other amounts due and payable in rmb to the account designated by party a.九、保证金deposit1 自本合同签订之日起 日内,乙方应向甲方缴付相当于【 】个月的租金计人民币【 】元作为保证金及首期租金人民币【 】元,共计人民币【 】元。within【 】days after the execution of this lease agreement, party b shall pay to party a a deposit in the
37、amount of【 】-month rent and the first rent rmb【 】 , totaling rmb【 】。2本合同期满,如本合同不续租,甲方应在期满后三十(30)天内返还保证金(不计利息)如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项,甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。upon expiration of the lease agreement, if the lease agreement is not to be renewed, party a shall refund the deposit without
38、interest to party b within thirty (30) days after the expiration of this lease agreement. if there is any default penalty or compensation or expenses incurred due to the breach of party b and/or any due amount that party b fails to pay, party a may deduct such default penalty or compensation or expe
39、nses or due amount from the deposit.3在本合同期限内,如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项,甲方可直接从保证金中予以扣除,乙方应在接到甲方书面通知后五(5)天内补足该部分保证金。during the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by party b, party a may deduct such amount from the de
40、posit and party b shall, within five (5) days after party a so notifies.十、大厦及承租区域的交付状态the state of the premises when delivery甲方按现状交楼,具备办公条件。party a will deliver the premises at as-it-is basis, which satisfies the conditions as office.十一、甲方的权利义务party as rights and responsibilites11甲方在本租赁合同规定的期限内将房屋交付
41、乙方。party a shall deliver the premises to party b within the term specified herein.12甲方保证是房屋的合法权利人,有充分的权利出租房屋。party a shall ensure that it is legal owner of the premises and have full right to lease the premises.13甲方的权利保留party a may reserve the following rights.11 使用公共设施;to use the public facilities;
42、12 进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。to enter into the premises for check and maintenance provided that party a shall inform party b in advance except under emergency.13 在发出通知后(紧急情况除外),有权暂停大厦设施进行维修和维护,可能导致水电的中断。甲方无需为此承担责任。to repair and maintain the facilities of the building which may resul
43、t in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.14 甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。party a shall assist party b in registering with industrial and commercial administration by provide necessary documents.15甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋
44、维修。party a shall procure the management department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.16 如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。if party b does not submit an application for renewal two months pr
45、ior to the expiration of this lease agreement, or if party b submits such application but the parties fail to reach agreement on the renewal, party a shall have the right to enter the premises with other tenant at work hours to review.十二、乙方的权利和义务party bs rights and responsibilites11 自行负责房屋的装修和设施。par
46、ty b shall be responsible for the decoration and facilities of the premises.除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括烟感器及喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。party b shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consen
47、ts of party a and fire control authority. if party b makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.12乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。party b shall pay the rent and other fees pursuant to clauses 6, 7,
48、 and 8 on time.13乙方应按本合同的规定合理使用房屋,并保持房屋的清洁。party b shall reasonably use the premises as provided hereunder and keep it clean.14未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。party b shall not hang, affix, or display any advertisement, signboard, poster or any other mat
49、erials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of party a and management department.15 乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。during the lease term , party b shall not sub-let or assign the lease to any third party.16 乙方在其经营活动中,不得宣称或令顾客误认为其与
50、甲方关系属合作、合营、合伙、联营或关联企业关系。party b shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with party a during its operation.17乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。party b shall be responsible for obtaining all
51、 approvals, consents and licenses required by laws to ensure that its operation is legal.18乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。party b shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the premises.19对于第三方因乙方对其造成或在房屋内发生
52、的人身伤害或经济损失而提出的索赔,乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失,乙方保证进行赔偿。party b shall be responsible for and hold party a harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by party b or caused in the premises. party b hereby warranties that it
53、 shall indemnity party a for any losses caused to party a by such claims.110乙方不得在房屋内放置易燃、易爆的物品其他危险物品。party b shall not keep or store in the premises any flammable or explosive substances or other dangerous substances.111乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。party b shall strictly comply with all rule
54、s made and amended from time to time by party and/or the management department.112 乙方不得在房屋内从事任何违法活动。party b shall not carry out any illegal activity in the premises.113乙方不得将房屋用于除办公以外的用途。party b shall not use the premises for any purpose other than as office.114若乙方以租赁房屋作为其公司注册地址时,乙方应在租赁合同终止后15日内办理地址注销登记手续,乙方逾期办理的,应每日按月租金千分之三的标准向甲方支付滞纳金,造成甲方损失的,应予以赔偿。if the premises is used as companys registered address of party b, party b shall complete the procedur
