18、icle 9 Resp on sibilities of the Parties9.1发包人责任9.1 Resp on sibilities of the Employer9. 1.1发包人按本合同第五条规定的内容,在规定的时间内向设计 人提交基础资料及文件，并对其完整性、正确性及时限负责。发包 人不得要求设计人违反国家有关标准进行设计。发包人提交上述资料及文件超过规定期限15天以内，设计人按 本合同第六条规定的交付设计文件时间顺延；发包人交付上述资 料及文件超过规定期限15天以上时，设计人有权重新确定提交 设计文件的时间。9. 1.1 The Em pl oye r shal l subm

21、hall be ex tended acco rdi ngl y; in case there is a delay of more than 15 days exceeding the specifi ed time limit for the delivery of the above materials and document s by the Employer, the Designer shall have the right to re-d et erm ine the time for delivery of the desi gn documents.9.1.2 发包 人变更

22、委托设计项目、规模、条件或因提交的资料错 误，或所提交资料作较大修改，或设计周期变化，以致造成设计 人设计返工或工作量加大时，双 方除另行协商签订补充协议(或 另 订 合 同 )、 重 新 明 确 有 关 条 款 外 ， 发 包 人 应 按 设 计 人 所 耗 工 作 量向设计人支付返工费。在未签订合同前发包人已同意，设 计人为发包人所做的各项设计 工作，发包人应支付相应设计费。9.1.2 In case of the D esi gn er srewo rk on the design resulted fo r changes of the engi neering, size and c

23、ond itions of the design by the Empl oyer or mistakes of the materi al s submitted or major revi sion on the submitted materi als, the Parties shall conclude supplementary agr eement separately (or co ncl ud e addi tional agreement) and redefi ne relevant terms and condi tions, and the Employer shou

24、ld pay charges for rework to the Designer according to the workl oad.The Employer has agreed before the conclusion of the co nt r act that it wi ll pay charge s of desi gn to the Desi gner for all the design works conducted by the Designe r.9.1.3 在合同履行期间,发包人要求终止或解 除合同,设计人 未开 始设计工作的,不退还发 包人已付的定金;已开始设

25、计工作的,发 包人应根据设计人已进行的实际工作 量,不足一半时,按该阶 段设 计费的一半支付;超过一半时,按该阶段 设计 费的 全部支付。9.1.3 Duri ng the performance of the cont ract, if the Employer requires to terminate or cancel the cont ract before the D esi gn er starts the desi gn work, the Designer wi ll not return the down payment already paid by the Empl o

26、yer; if the D esi gn er has started the desi gn work, the Employer shal l pay for the actual workl oad already done by the Designer. When the actual workl oad of the design i s less than half of t he wo rk at the stage, t he Employer shall pay half of t he p aym ent for the design w ork at the stage

When the actual wor kl oad of the d esi gn is more than half of the work at the st age, the Employer shall pay all thepayment for the design work at t he stage.9. 1.4 发 包 人 必 须 按 合 同 规 定 支 付 定 金 , 收 到 定 金 作 为 设 计 开 工 的 标志。未收到定金，设计人有权推迟设计工作的开工时间,且 交付 文件的时间顺延。9. 1.4 The Employer sho uld pay down pay

Th e Designer shall have the ri ght to put off t he com mencement date of the design work if it has not received the down paym ent and the time for delivery

29、shall be ex t en ded accordi ngl y.9. 1.5 发包人应按本合同规定的金额和日期向设计人支付设计费 , 每逾期支付一天，应承担支付金额千分之二的逾期违约金，且设 计人提交设计文件的时间顺延。逾期超过 30 天以上时,设计人有 权暂停履行下阶段工作,并书面通知发包人。发包人的上级或设计 审批部门对设计文件不审批或本合同项目停缓建 , 发包人均应 支付应付的设计费。9.1.5 The Em pl oye r should pay charges for desi gn to the Designer at the amount and date provided

For each day of overdue paym e nt, 2 %o of the overdue payme nt shall be paid as damages for overdue payment and the time for delivery by the Designer shall be extended accordi ngl y. Where the delay of payment has exceeded 30 days, the Designer shall have the right to suspend the

31、 perfo rmance of the work at the next stage and give written notice to the Employer. In case the hi gher authority or competent department of design approval would not approve the design docum ents or the engi neeri ng construction of this contract is suspended or stopped, the Employe r shoul d pay

32、the payable charge s f or design.9.1.6 发包人要求设计人比合同规定时间提前交付设计文件时 ,须 征得设计人同意,不得严重背离合理设计周期,且发包人应支付赶 工费。9.1.6 If the Employer requi res the Designer to deliver the design documents in advance, it should get the prior consent of the Desi gner wi thout seri ous devi ation from the reasonabl e design circl

33、e, and the Employer shall pay the crush cost.9.1.7 发包人应为设计人派驻现场的工作人员提供工作、生活及 交通等方面的便利条件及必要的劳动保护装备。9.1.7 The Employer should offe r conveniences in aspects of working, living and traffi c and necessary labor-protection equi pments.9. 1.8 设计文件中选用的国家标准图、部标准图及地方标准图由 发包人负责解决。9.1.8 The Employer shall be r

34、esponsible for the national standard drawing, m inisterial standard dr awing and l ocal standard drawings.9.1.9 承担本项目外国专家来设计人办公室工作的接待费(包括 传真、电话、复印、办公等费用)。9.1.9 The Employer shall bear the expenses for receivi ng foreign expert in charge of the engi neeri ng to the Desi gn er so ffi ce (includi ng ex

35、penses on fax, telephone and offi ce affairs).9. 2 设计人责任9.2 Desig ner ssesp on sibilities9. 2.1设计人应按国家规定和合同约定的技术规范、标准进行设 计,按本合同第六条规定的内容、时间及份数向发包人交付设计文 件（出现9.1.1、9.1. 2、9. 1.4、9. 1.5规定有关交付设计文件顺延 的情况除外）。并对提交的设计文件的质量负责。9. 2.1 The D esi g ner shoul d carry out desi g n work in accorda nee with t ech n o

38、项目的设计联 络工作。9. 2. 3 Th e De si g ner shal l be respo nsible for the sc rut i ny on the f orei gn i nv est or ad esig n mat eri al and con tact on t he desi gn of t he engi neeri ng.9.2.4设计人对设计文件出现的遗漏或错误负责修改或补充。由 于设计人对设计错误造成工程质量事故损失，设计人除负责采取 补救措施外，应免收损失部分的设计费，并根据损失程度向发包 人支付赔偿金，赔偿金数额最多与受损部分的设计费相等.9. 2.

39、4 Th e Desi g ner shal l be respo nsible fo r the rev i si on or sup pl em ent to t he m i stakes or om ission of t he d esi gn d ocu ment s. If any engin eeri ng qual ity acci de nts happe n because of the Desi g ner sfaul t, the Desi g ner should be resp on si bl e fo r tak i ng remedi al measures

40、 as wel l as redu ce the desi gn ch arge s on the aff ected part of the de sig n work and com pe nsate the Em pl oye r accord ing to the degr ee of loss. The amount of the dam ages for compensation is no more than t he desi gn pri ce of t he actual l oss.9.2.5由于设计人原因，延误了设计文件交付时间，每延误一天，应 减收该项目应收设计费的千

41、分之二。9. 2. 5 If the del i ve ry of desig n docu me nts are del ayed fo r the Desi gner sreason , each day overdu e wi11 resul ted in the reduction of 2 %o of t he desig n ch arge s for the engi n eer ing.9.2.6合同生效后，设计人要求终止或解除合同，设计人应双倍返还 发包人已支付的定金。9. 2. 6 A ft er t he cont ract ent ers i nto f orce, t

42、 he De sign er m ay r equi re term in at i on o r c ance 11 ati on of the co nt ract and the D esi gne r shou ld return the down paym ent i n doub le.9.2.7设计人交付设计文件后,按规定参加有关上级的设计审查, 并根据审查结论负责不超出原定范围的内容做必要调查补充。设 计人按合同规定时限交付设计文件一年内项目开始施工,负责向 发包人及施工单位进行设计交底、处理有关设计问题和参加竣工 验收。在一年内项目尚未开始施工，设计人仍负责上述工作，可按 所

The fee for overseas busi ness trip and ot her relevant fee wi ll be paid by Employer ex cept the fee for pu rchasing dress.12.5 发 包人委托 设计人承担 本合同 内容 以 外的 工作服务 ,另 行签 订协议并支付费用。12.5 Additional agreement for any other servi
