5、果乙方有严重损害公司利益或给公司造成损失的情况，甲方可以撤销赠 与。In case of Party B has seriously damaged the interests of the company or caused losses to the company, Party A may revoke the donation.2、赠与撤销后，本协议终止履行。After the revocation of the donation, this agreement terminates its performance.第四条 承诺和保证 Clause 4 Promises and Gua

6、rantees 1、甲方保证对依据本协议赠与给乙方的股权拥有完全的处分权；上述股权未设 置任何抵押权或其他担保权 ;Party A has the right to dispose of the shares that should donate to Party B according to this agreement, and no mortgage or other security right has been set up in the aforesaid shares.2、乙方承认原公司章程和股东之间的合同，保证按原章程和合同的规定承担股 东权利、义务和责任。Party B ac

8、n 1、股权赠与完成后，乙方即成为公司股东，按其股权比例分享公司的利润和分 担风险及亏损；After the donation of shares is completed, Party B becomes the shareholder of the company, and shares the companys profits, risks and losses in proportion to its share right.2、公司已经发生的债权债务不受股东变更的影响；The creditors rights and liabilities of the company have n

9、ot been affected by the change of shareholders。第六条 费用的负担 Clause 6 Expense undertaking 本赠予协议实施所需支付的有关税费双方各负担二分之一。The parties shall each bear 1/2 of the burden of taxes and fees for the donation agreement.第七条 违约责任 Clause 7 Liability for breach contract 如果本协议任何一方未按本协议的规定，适当地、全面地履行其义务，应该承 担违约责任。守约一方由此产生

10、的任何责任和损害，应由违约一方赔偿。If any party to this agreement is not in accordance with the provisions of this agreement in place, fully fulfill their obligations, should bear the liability for breach of contract.
