方：_签订日期：_年_月_日1DefinitionABCshallmeanABCChinaElectronics,LtdCustomershallmeanthecustomernamedintheAgreement;andProductshallcollectivelymeantheEquipmentandSoftwarewhichABCandCustomeragreetobeservicedpursuanttothisServiceAgreementSuchProductislistedonthefirstpageofthisAgreement2AcceptanceThetermsandconditionssetforthonalltwelvepagesofthisAgreementisanoffertopurchaseServicebyCustomerwhichshallbecomeaServiceAgreementwhenacknowledgedinwritingbyABCsServiceDepartment;andthebanking,negotiationorotheruseofanypaymentshallnotconstituteanacceptancebyABCItisagreedthatServiceshallbeprovidedonlyonthetermsandconditionscontainedinthisAgreementABCshallnotbeboundbytermsandconditionsinCustomerspurchaseorderorelsewhereunlessexpresslyagreedtoinwritingBothpartiestothisAgreementagreethatuponacceptancebyABCsServiceDepartment,ABCsinterestintheAgreementisassignedtoABC,IncMINC3ServiceDefinedABCagreestoprovideservicefortheCustomerfortheProductlistedonthefirstpageofthisAgreementSuchProductsshallbeservicedaccordingtothetermsandconditionsonalltwelvepagesofthisAgreementServiceTheServiceshallbeginandendonthedatessetforthonthefirstpageofthisAgreementABCshallalsoServiceotherProductmanufacturedbyMINCorMINCssubsidiariesandpurchasedbycustomerduringthetermofthisAgreementonthesametermsandconditionssetforthinthisAgreementatthethencurrentservicefeesforsuchProductUpondeliveryofsuchotherProducttoCustomer,servicefeesforServiceofsuchotherProductshallbeaddedtothebillingcyclefollowingexpirationofthelaborwarrantyonsuchotherProductIntheeventofloss,damage,theftorremovalfromServiceofanyProduct,Customershallimmediatelyreporttheloss,damage,theftorremovalinwritingtoABCInthisevent,CustomersobligationtopayservicefeeswithrespecttoanysuchProductshallterminateattheendofthemonthinwhichABCreceivessuchwrittenreportMobileProductshallberemovedandreinstalledindifferentvehiclesatCustomersrequestfortheservicefeeineffectatthetimeofCustomersrequestThisAgreementdoesnotincludeserviceofanytransmissionline,antenna,towerortowerlighting,unlesssuchworkisdescribedonthefirstpageofthisAgreementServiceshallincludethelaborandpartsrequiredtorepairProductwhichhasbecomedefectivethroughnormalwearandusageThisdoesnotincludeconsumableandtheirinstallationServicedoesnotincludetherepairorreplacementofProductwhichhasotherwisebecomedefective,including,butnotlimitedto,damagecausedbyaccidents,physicalorelectronicabuseormisuse,actsofGod,firesorothercasualtyServiceperformedfornon-coveredrepairsshallbebilledatABCsabovecontractrateapplicableforsuchServiceProductundercontractmustbemaintainedinenvironmentalconditionsassetforthintheProductspecificationsanddamageresultingfromenvironmentalconditionsnotconformingtothespecificationsisnotcoveredbythisAgreementWheretelephonelinesandProductareusedinconjunctionwithABCmaintainedProduct,ABCshallhavenoobligationorresponsibilityforsuchtelephonelinesorProductbutshall,uponrequest,assisttheTelephoneCompanyinrepairingsuchuponpaymentattheappropriateabovecontractrateCustomershallindicateonthefirstpageofthisAgreementanyProductwhichisintrinsicallysafesothatappropriatepartsandproceduresmaybeusedtomaintainsuchstatusAttheexpirationoftwelve12monthsafterthecommencementofServicehereunderoranytimethereafter,ifProductcannotinABCsopinionbeproperlyoreconomicallyrepaired,becausebutnotlimitedtoexcessivewear,deteriorationorunavailabilityofparts,ABCatitssoleoption,uponthirty30dayspriorwrittennoticetoCustomersentbycertifiedmail,mayeither:1removesuchProductfromthisAgreement;or2mayincreasethepricetoServicesuchProductCustomershallhavethirty30daysfromreceiptofnoticeofpriceincreasetoobjecttosuchincreaseIfCustomerproperlyobjectstosuchincrease,ABCshallthenhavetheoptiontoremovesuchProductfromcoveragebythisAgreementCustomersobligationtopayServicefeeswithrespecttoProductremovedfromthisAgreementshallterminateattheendofthemonthduringwhichsuchProductisremovedTheProductshallbeservicedbyABCinaccordancewiththefollowingstandards:iABCpartsorpartsequalqualityshallbeused;iitheProductshallbeservicedatlevelssetforthinABCsproductmanuals;andiiiroutineserviceproceduresprescribedfromtimetotimebyABCforitsProductshallbefollowed5TimeAndPlaceofServiceServiceshallbedoneatthelocationspecifiedonthefirstpageofthisAgreementWhereServiceistobeperformedatthelocationoftheProduct,Customershallfurnishshelter,heat,lightandpowerattheselocations,CustomershallnotifyABCimmediatelyofProductfailure,allowABCfullandfreeaccesstotheProduct,andcooperatefullywithABCinABCsservicingoftheProductWaiverofliabilitybyABCagainstCustomerorotherrestrictionsshallnotbeimposedbyCustomerasasiteaccessrequirementCustomershallallowABCfullandfreeaccesstotheProductCustomershallallowABCtousenecessarymachines,communications,facilities,featuresandotherproductexceptasnormallysuppliedbyABCatnochargeMobilesandremovableProductshallbedeliveredbyCustomertotheABCServiceCenterindicatedonthefirstpageofthisAgreementHoursofServiceunderthisAgreementshallbethenormalworkinghours,excludingholidays,ofABCsServiceCenterunlessotherwiseindicatedonthefirstpageofthisAgreement6Payment/TaxesEachpaymentisdueonorbeforethedatesetforthonthefirstpageofthisAgreementABCmayterminatethisAgreementbygivingCustomerten10daysnoticebycertifiedmailifCustomerdefaultsinitspaymenttoABCCustomershallreimburseABCforallpropertytaxes,salesandusetaxes,excisetaxes,andthetaxesorassessmentsnoworhereafterimposedbyauthorityofanyNationalorLocallaw,ruleorregulationwithrespecttotheServiceoftheProductexceptincometaxesorotherlegallyreimbursabletaxesofABC7RighttoSubcontractABCshallhavetherighttosubcontractinwholeorinparttheServicecalledforbythisAgreementABCshallnotifyCustomerofthenameandaddressofeachsubcontractor8RevisionofFeesPriortoanAnniversaryoftheExpirationDateindicatedonthefirstpageofthisAgreement,ABCmayrevisetheServicefeessetforthonthefirstpageofthisAgreementbygivingCustomerwrittennoticeoftheamountoftheincreaseatleastsixty60daysinadvanceofthatAnniversarydateUponreceiptofanysuchnotice,CustomermayterminatethisAgreementontheExpirationDateoranyAnniversaryofituponthirty30dayspriorwrittennoticetoABCsentbycertifiedmailtotheaddressindicatedinthisAgreement;otherwisethenewfeesshallbecomeeffectiveontheAnniversarydateIntheeventofsuchtermination,allaccruedandunpaidchargesshallbedueandpayableimmediatelyupontermination9AutomaticRenewalAftertheExpirationDateindicatedonthefirstpageofthisAgreement,thisAgreementshallcontinueforsuccessiveadditionalperiodsofoneyear,providedthateitherABCorCustomermayterminatethisAgreementontheExpirationDateoranyAnniversaryofituponthirty30dayspriorwrittennoticetotheotherpartysentbycertifiedmailtotheaddressindicatedinthisAgreement10InterruptionofServiceCustomershallnotifytheservicingagencyintheeventofthefailureofanyProductIftheservicingagencyfailstorepairtheProductwithinareasonabletime,CustomershallnotifytheABCofficedesignatedbyABCAftersaidnoticefromCustomertotheservicingagencyandtotheABCofficedesignatedbyABC,ABCshallbeliableforanyinterruptionorinterferenceaffectingtheuseortransmissionthroughtheProductmaintainedtotheextentofaprorataallowancebasedonthemonthlyservicefeeforthetimesuchinterruptionorinterferenceisattributabletothefaultofABCoritssubcontractorABCdoesnotassumeandshallhavenoabilityunderthisAgreementforfailuretoprovideordelayinprovidingservicefortheProductduedirectlyorindirectlytocausesbeyondthecontrolofABC,including,butnotrestrictedto,actsofGod,actsofthepublicenemy,actsofthePRC,theUnitedStates,anyState,TerritoryoftheUnitedStates,oranypoliticalsubdivisionoftheforegoing,ortheDistrictofColumbia,actsoffailuretoactoftheCustomer,itsagents,employeesorsubcontractors,fires,floods,casualty,epidemics,quarantinerestrictions,strikes,freightembargoes,andunusuallysevereweatherconditionsordefaultsofABCsubcontractorsduetoanysuchcauses11WarrantyLimitationsExceptAsSpecifiedinThisAgreementABCDisclaimsAllWarranties,ExpressorImplied,Including,WithoutLimitation,theImpliedWarrantiesofMerchantabilityandFitnessforAParticularPurposeInNoEventShallABCBeliableforIncidentalorConsequentialDamagestotheFullExtentSuchMayBeDisclaimedbyLaw12SRRCorMPTandOtherGovernmentMattersAlthoughABCmayassistinpreparationoftheSRRCorMPTlicenseapplication,CustomerissolelyresponsibleforobtaininganylicensesorotherauthorizationsrequiredbytheStateRadioRegulatoryCommissionSRRCorMinistryofPostandTelecommunication,oranyotherNationaland/orLocalgovernmentalagencyCustomerissolelyresponsibleforcomplyingwithapplicableSRRCorMPTrulesandregulationsandtheapplicablerulesandregulationsofanyotherNationaland/orLocalgovernmentalagencyNeitherABCnoranyofitsemployeesisanagentofCustomerinSRRCorMPTorothergovernmentalmattersABC,however,mayassistinpreparationoftheSRRCorMPTlicenseapplicationatnochargetoCustomer13EntireAgreementCustomeracknowledgesthatithasreadandunderstandsthetermsandconditionsoftheAgreementandagreestobeboundbythem,thatitisthecompleteandconclusivestatementoftheagreementbetweenthepartiesandthatthisAgreementsetsforththeentireagreementandunderstandingbetweenthepartiesrelatingtothesubjectmatterhereofandallunderstandingsandagreements,oralandwritten,heretoforemadebetweenABCandCustomer,aremergedinthisAgreementwhichalonefullyandcompletelyexpressestheiragreement14AmendmentNomodificationoforadditionstothisAgreementshallbebindinguponABCunlesssuchmodificationisinwritingandsignedbytheABCDivisionServiceVicePresidentauthorizedtomakesuchrevisionsandanauthorizedagentofCustomer15ValidityIfanytermorprovisionofthisAgreementshalltoanyextentbeheldbyacourtorothertribunaltobeinvalid,voidorunenforceable,thenthattermorprovisionshallbeinoperativeandvoidinsofarasitisinconflictwithlaw,buttheremainingtermsandprovisionsofthisAgreementshallneverthelesscontinueinfullforceandeffectandtherightsandobliga
