tion10.1EvaluationCriteriaTheEmployee'sperformanceshallbeevaluatedperiodicallytheEmployerbasedonthefollowingcriteria:[EvaluationCriterion1][EvaluationCriterion2][EvaluationCriterion3][EvaluationCriterion4]10.2EvaluationProcessTheevaluationprocessshallbeconductedinaccordancewiththeEmployer'sestablishedprocedures,whichmayincludeselfassessment,peerreview,anddirectobservationtheEmployer'smanagement.10.3PerformanceImprovementPlanIntheeventthattheEmployee'sperformancedoesnotmeettheestablishedcriteria,theEmployermayimplementaperformanceimprovementplan,whichshalloutlinethespecificactionsrequiredtoimproveperformance.11.DisciplinaryActions11.1MisconductTheEmployermaytakedisciplinaryactionagainsttheEmployeeforanymisconductthatisdetrimentaltotheEmployer'sinterestsorinviolationofthetermsofthisAgreement.11.2DisciplinaryMeasuresDisciplinarymeasuresmayinclude,butarenotlimitedto,verbalorwrittenwarnings,suspensionwithoutpay,demotion,orterminationofemployment.12.TerminationofEmployment12.1NoticePeriodTheEmployeeshallprovidetheEmployerwith[Number]days'writtennoticeofterminationofemployment,ortheEmployershallprovidetheEmployeewith[Number]days'payinlieuofnotice.12.2TerminationConditionsTheAgreementmaybeterminatedeitherpartyupontheoccurrenceofanyofthefollowingconditions:[TerminationCondition1][TerminationCondition2][TerminationCondition3][TerminationCondition4]12.3SeverancePayUponterminationofemployment,theEmployeeshallbeendtoreceiveseverancepaycalculatedinaccordancewiththetermsofthisAgreementandapplicablelaws.13.GoverningLawandDisputeResolution13.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country/Region].13.2DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediation,andifmediationfails,througharbitrationin[City/Country].14.MiscellaneousProvisions14.1EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeewithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,andrepresentations,whetherwrittenororal.14.2ModificationsandAmendmentsAnymodificationsoramendmentstothisAgreementshallbemadeinwritingandshallbesignedbothparties.14.3HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofthisAgreement.14.4WaiverThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovision.14.5AssignmentTheEmployeemaynotassignthisAgreementwithoutthepriorwrittenconsentoftheEmployer.TheEmployermayassignthisAgreementatanytimewithouttheconsentoftheEmployee.14.6CounterpartsThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistanceinconnectionwiththeemploymentrelationship.15.2TypesofThirdPartyInvolvement15.2.1RecruitmentandPlacementServicesTheEmployermayengagetheservicesofarecruitmentorplacementagency(hereinafterreferredtoas"RecruitmentAgency")toassistinthehiringprocessforthepositionheldtheEmployee.15.2.2ConsultancyServicesTheEmployerortheEmployeemayretaintheservicesofaconsultancyfirm(hereinafterreferredtoas"Consultancy")toprovidespecializedadviceorsupportrelatedtotheemploymentrelationship.15.2.3LegalRepresentationTheEmployerortheEmployeemayseeklegalrepresentationfromanattorneyorlawfirm(hereinafterreferredtoas"LegalRepresentative")forthepurposeofinterpretingorenforcingthetermsofthisAgreement.15.3ResponsibilityofThirdParties15.3.1PerformanceofServicesThirdPartiesshallperformtheirservicesinamannerthatisconsistentwiththetermsoftheirengagementandthebestinterestsoftheEmployerortheEmployee.15.3.2ConfidentialityAllThirdPartiesshallberequiredtoagreetoaconfidentialityagreementthatbindsthemtomaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththeirservices.15.3.3IndemnificationThirdPartiesshallindemnifytheEmployerortheEmployeeagainstanyclaims,losses,ordamagesarisingoutoftheirnegligenceorbreachofcontractintheperformanceoftheirservices.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1ApprovalofThirdPartiesBeforeengagingtheservicesofaThirdParty,theEmployerortheEmployeeshallobtainthepriorwrittenconsentoftheotherparty.16.2CostsandExpensesAllcostsandexpensesincurredinconnectionwiththeengagementofaThirdPartyshallbebornethepartyinitiatingtheengagement,unlessotherwiseagreed.16.3ThirdPartyRepresentationIfaThirdPartyisengagedtorepresenteithertheEmployerortheEmployee,theThirdPartyshallactasanagentoftheprincipalandshallnotcreateanybindingobligationsontheprincipalwithouttheirexpressconsent.17.LimitationofLiabilityofThirdParties17.1GeneralLimitationTheliabilityofanyThirdPartyunderthisAgreementshallbelimitedtothescopeoftheirservicesandshallnotextendtoanyactsoromissionsofth
