ydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtoarbitrationin[City/Country],inaccordancewiththerulesofthe[ArbitrationInstitution].11.GeneralProvisions11.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.11.2AmendmentsAnyamendmenttothisAgreementshallbeinwritingandsignedbothparties.11.3WaiverAnyfailureeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovision.12.Notices12.1MannerofGivingNotice12.2AddressesforNoticesTheaddressesforgivingnoticeunderthisAgreementareasfollows:a.Employer:[Employer'sName],[Employer'sAddress]b.Employee:[Employee'sName],[Employee'sAddress]13.AssignmentandSubcontracting13.1AssignmentofEmploymentTheEmployeemaynotassigntheirrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheEmployer.13.2SubcontractingTheEmployermaysubcontractanyoftheEmployee'sdutiestoathirdpartywithouttheEmployee'sconsent,providedthatthesubcontractoriscapableofperformingtheworkinasatisfactorymanner.14.Miscellaneous14.1ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,civilunrest,orgovernmentaction.14.2AmendmentstotheContractNoamendmenttothisAgreementshallbeeffectiveunlessitisinwritingandsignedbothparties.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,"ThirdParty"referstoanyentityorindividual,otherthantheEmployerandtheEmployee,thatisinvolvedintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,contractors,suppliers,intermediaries,andagents.15.2ScopeofThirdPartyInvolvementTheEmployermayengageaThirdPartytoassistintheprovisionofservices,goods,orexpertiserequiredfortheEmployee'semployment.TheEmployeemayalsoberequiredtointeractwithorrelyonaThirdPartyinthecourseoftheirduties.15.3ThirdPartyAgreementsAnyagreemententeredintotheEmployerwithaThirdPartyinrelationtothisAgreementshallbegovernedthetermsofsuchagreement,andtheEmployershallensurethatsuchtermsareconsistentwiththeprovisionsofthisAgreement.15.4ThirdPartyResponsibility15.4.2TheEmployershallberesponsiblefortheactsandomissionsofanyThirdPartyengagedinconnectionwiththisAgreement,andtheEmployershallindemnifytheEmployeeagainstanylossordamagesufferedtheEmployeeasaresultoftheactsoromissionsofaThirdParty.16.AdditionalTermsandConditionsUponThirdPartyInvolvement16.1Employer'sObligationsWhenaThirdPartyisinvolved,theEmployershall:a.ProvidetheEmployeewithallnecessaryinformationandinstructionsregardingtheThirdParty'sroleandresponsibilities.b.EnsurethattheEmployee'srightsandobligationsunderthisAgreementarenotadverselyaffectedtheinvolvementoftheThirdParty.c.MonitortheperformanceoftheThirdPartyandtakeimmediateactioniftheThirdPartyfailstomeettheagreeduponstandards.16.2Employee'sObligationsTheEmployeeshall:a.ComplywithallinstructionsandrequirementsprovidedtheEmployerinrelationtotheinvolvementoftheThirdParty.b.CooperatewiththeThirdPartyintheperformanceoftheirduties.c.NotifytheEmployerpromptlyiftheEmployeeencountersanyissueswiththeThirdParty'sperformance.17.LimitationofThirdPartyLiability17.1GeneralLimitationTheliabilityofanyThirdPartyarisingoutoforinconnectionwiththisAgreementshallbelimitedtotheextentpermittedapplicablelawandshallnotexceedtheamountofdamagesrecoverableinrespectofthebreachoftheThirdParty'sobligations.17.2SpecificLimitationsThefollowingspecificlimitationsshallapplytotheliabilityofThirdParties:a.TheThirdPartyshallnotbeliableforanyindirectorconsequentiallossessufferedtheEmployerortheEmployee.b.TheThirdPartyshallnotbeliableforanybreachofconfidentialityormisuseofConfidentialInformationtheEmployerortheEmployee.18.ThirdPartyIndependence18.1TheEmployershallensurethatanyThirdPartyengagedinconnectionwiththisAgreementisanindependentcontractorandnotanemployeeoftheEmployerforthepurposesofanyemploymentlawsorregulations.18.2TheEmployershallnotberesponsibleforanytaxes,socialsecuritycontributions,orotheremploymentrelatedobligationsinrespectofanyThirdParty.19.TerminationofThirdPartyInvolvement19.1TheEmployermayterminatetheinvolvementofaThirdPartyatanytime,uponproviding[NoticePeriod]days'writtennoticetotheThirdParty,unlesstheterminationisforcause,inwhichcasetheEmployermayterminateimmediately.第三部分:其他补充性说明和解释说明一:附件列表:1.EmploymentOfferLetter要求:详细列出职位、薪资、工作地点、开始日期等关键信息。说明:此附件为雇主向雇员发出的正式工作邀请。2.JobDescription要求:详细描述职位职责、工作内容、所需技能和经验。说明:此附件用于明确雇员的工作职责和期望。3.PerformanceEvaluationForms要求:包含评价标准、评价周期、评价结果和改进建议。说明:此附件用于定期评估雇员的表现。4.ConfidentialityAgreement要求:明确保密信息的定义、保密义务和违反保密义务的后果。说明:此附件用于保护雇主的商业秘密。5.NonCompeteAgreement要求:规定竞争限制的范围、期限和地理区域。说明:此附件用于限制雇员在离职后的职业活动。6.TerminationNotice要求:明确通知期限、通知方式和终止条件。说明:此附件用于雇员在终止合同时应遵循的程序。7.SeverancePayCalculationSheet要求:详细列出计算公式和计算步骤。说明:此附件用于计算雇员应得的离职补偿。8.BenefitsSummary要求:列出所有福利和福利计划,包括保险、退休金等。说明:此附件用于提供雇员的福利信息
