5.IntellectualPropertyRights

5.1AllintellectualpropertyrightsintheWork/SupplyshallvestinPartyA,exceptforanyrightsspecificallyagreedtobetransferredtoPartyB.

5.2PartyBshallnotuse,copy,modify,ordistributetheWork/SupplywithoutthepriorwrittenconsentofPartyA.

6.Confidentiality

6.1ThepartiesheretoagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyduringthecourseofthisContract.

6.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

7.GoverningLawandDisputeResolution

9.GoverningLawandDisputeResolution
