Article2:SupplyofBooks

2.1TheSupplieragreestosupplythePurchaserwiththeBooks,aslistedinExhibitA,inaccordancewiththetermsandconditionssetforthinthisAgreement.

2.2TheSuppliershalldelivertheBookstothePurchaseratthedesignateddeliveryaddress,asspecifiedinExhibitA.

2.3TheSuppliershallensurethattheBooksareofgoodquality,inaccordancewiththestandardsandspecificationsagreeduponbytheParties.

Article3:Delivery

3.1TheSuppliershalldelivertheBookstothePurchaseronorbeforetheDeliveryDate.

3.2IftheSupplierfailstodelivertheBooksbytheDeliveryDate,thePurchasershallbeentitledtoterminatethisAgreementandclaimcompensationforanylossesincurredasaresultoftheSupplier’sfailuretodeliver.

Article4:Payment

4.1ThePurchasershallpaytheContractPricetotheSupplierwithin__________(Number)daysafterthereceiptoftheinvoiceissuedbytheSupplier.

4.2TheSuppliershallprovidethePurchaserwithadetailedinvoicefortheBooks,specifyingthequantity,description,andpriceoftheBooks.

Article5:Termination

5.1ThisAgreementmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:

5.1.1TheSupplierfailstodelivertheBooksontheagreedDeliveryDate;

5.1.2TheSupplierisunabletoperformitsobligationsunderthisAgreement;

5.1.3ThePurchaserfailstomakepaymentfortheBookswithintheagreedperiod.

Article6:GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionidentifiedinExhibitA.

6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedtothecompetentcourtofthejurisdictionidentifiedinExhibitAforresolution.

Article3:RightsandObligationsofthePurchaser

3.2ThePurchasershallhavetherighttorequesttheThirdPartytoprovideadditionalassistanceandsupportifnecessary.

3.4ThePurchasershallbeobligatedtoprovidetheSupplierwithnecessaryaccessandresourcestodelivertheITInfrastructureServices.

Article4:RightsandObligationsoftheSupplier

4.1TheSuppliershallhavetherighttoreceivepaymentfortheITInfrastructureServicesinaccordancewiththeagreed-uponscheduleandterms.

4.2TheSuppliershallhavetherighttorequestthePurchaser’sapprovalforanychangestotheprojectscopeortimelinethatmayaffecttheContractPrice.
