2025版合同法英文范本ContractAgreement(2025Edition)ThisContractAgreement("Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(hereinafterreferredtoasthe"PartyA"or"Principal"),a,havingitsprincipalplaceofbusinessat,and(hereinafterreferredtoasthe"PartyB"or"Agent"),a,withitsprincipalplaceofbusinessat.Recitals:PartyAdesirestoengagetheservicesofPartyBfor.PartyBagreestoprovidesuchservicesinaccordancewiththetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:1.ScopeofServicesPartyBshallprovidethefollowingservicestoPartyA:...ThescopeofservicesisdetailedinExhibit"A"attachedhereto,whichformsanintegralpartofthisAgreement.2.TermoftheAgreementThisAgreementshallcommenceon(the"CommencementDate")andcontinueforaperiodofmonths/years(the"Term"),unlessterminatedearlierinaccordancewiththeprovisionshereof.EitherPartymayterminatethisAgreementupondays'writtennoticetotheotherParty,providedthatsuchterminationdoesnotcontraveneanyapplicablelawsorobligationsherein.3.CompensationandPaymentTermsInconsiderationfortheservicesrenderedbyPartyB,PartyAshallpayPartyBthesumof$(the"Fee")onabasis(e.g.,monthly/annually),commencingfromandcontinuingthroughouttheTerm.AllpaymentsshallbemadeinaccordancewiththetermsoutlinedinExhibit"B,"whichdetailsthepaymentschedule,acceptablemethodsofpayment,andlatepaymentpenalties,ifany.PartyBshallsubmitinvoicestoPartyAonorbeforethedayofeachmonth/year,detailingtheservicesrenderedduringtheprecedingperiod.PartyAshallreviewandapprovesuchinvoiceswithinbusinessdaysandremitpaymentwithindaysfromreceipt.AnydisputesregardingpaymentsshallberesolvedinaccordancewithSection12(DisputeResolution).4.ConfidentialityBothPartiesacknowledgethatduringthecourseofthisAgreement,theymayhaveaccesstocertainconfidentialinformation("ConfidentialInformation")pertainingtotheotherParty'sbusiness,products,services,oraffairs.EachPartyagreesto:a)Maintaintheconfidentialityofsuchinformationandnotdiscloseittoanythirdpartywithoutpriorwrittenconsent;b)UsesuchinformationsolelyforthepurposesoffulfillingtheirobligationsunderthisAgreement;c)Ensurethattheiremployees,agents,orrepresentativeswhohaveaccesstotheConfidentialInformationareboundbyasimilarobligationofconfidentiality.TheobligationsunderthisSectionshallsurvivetheterminationofthisAgreementforaperiodofyears.5.IntellectualPropertyRightsAllintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,designs,andanyotherproprietaryrights(collectively,"IntellectualProperty"),createdbyPartyBinthecourseofprovidingservicesunderthisAgreementshallbelongexclusivelytoPartyA.PartyBagreesnottoclaimanyownershiporrighttosuchIntellectualPropertyandacknowledgesthatallsuchrightsvestsolelyinPartyA.PartyAmayrequestPartyBtoexecuteadditionaldocumentationtoperfectitsownershipoftheIntellectualProperty,whichPartyBagreestodopromptlyuponsucharequest.6.Representations,Warranties,andCovenantsEachPartyrepresentsandwarrantsthat:a)IthasthefullauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;b)TheexecutionofthisAgreementdoesnotviolateanyagreementorobligationtowhichitisbound;c)AllinformationprovidedbyitinconnectionwiththisAgreementistrue,accurate,andcompletetothebestofitsknowledge.EachPartyfurthercovenantsthatitshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceofitsobligationsunderthisAgreement.7.IndemnificationPartyBagreestoindemnify,defend,andholdharmlessPartyA,itsaffiliates,directors,officers,employees,andagents(the"Indemnitees")fromandagainstanyandallclaims,demands,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedto:a)AnybreachbyPartyBofanytermorconditionofthisAgreement;b)AnynegligentorwillfulactoromissionbyPartyBintheperformanceofitsdutiesunderthisAgreement.TheIndemniteesshallpromptlynotifyPartyBofanyclaimsforwhichindemnificationmaybesought,andPartyBshallhavetherighttoparticipateinthedefenseofsuchclaimsatitsownexpense.8.LimitationofLiabilityExceptforliabilityarisingfromdeathorpersonalinjuryresultingfromPartyB'snegligence,neitherPartyshallbeliabletotheotherforanyindirect,incidental,punitive,orconsequentialdamages,whetherbasedoncontract,tort,oranyotherlegaltheory.ThetotalaggregateliabilityofeachPartyunderthisAgreementshallnotexceedthetotalfeespaidbyPartyAtoPartyBunderthisAgreementduringtheTerm.9.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.AnylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtexclusivelyinthecourtsof,andeachPartyconsentstothejurisdictionofsuchcourts.10.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,riot,罢工,governmentrestrictions,ortheunavailabilityoftransportationorcommunicationsystems.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.IftheForceMajeureeventcontinuesformorethandays,eitherPartymayterminatethisAgreementbywrittennoticetotheotherParty.11.Non-SolicitationDuringtheTermandforaperiodofmonthsaftertheterminationorexpirationofthisAgreement,PartyBagreesnottosolicitoracceptemploymentfromorretainanyindividualswhoareemployeesofPartyAasoftheEffectiveDate,unlesssuchindividualhasbeenterminatedbyPartyA.ThisrestrictionshallnotapplyifPartyBsolicitsorhiresanemployeewhorespondstoageneralrecruitmentadvertisementthatisopentothepublic.12.DisputeResolutionAnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.IfthedisputecannotberesolvedwithindaysafterwrittennoticebyonePartytotheother,thePartiesagreetosubmitthemattertoarbitrationinaccordancewiththerulesofArbitrationAssociation.Thearbitrationshalltakeplacein,andtheawardrenderedthereundershallbefinalandbindingonbothParties.13.AmendmentsThisAgreementmayonlybeamendedormodifiedbyawrittenagreementsignedbybothParties.Nooralmodificationoramendmentshallbeeffective.14.EntireAgreementThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,orarrangements,whetherwrittenororal,relatingtosuchsubjectmatter.NocourseofdealingorconductbetweenthePartiesshallbedeemedtoamendormodifyanyprovisionofthisAgreement.15.SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredandtheremainingprovisionsshallremaininfullforceandeffect.16.WaiverThefailureofeitherPartytoenforceanyprovisionofthisAgreementatanytimeshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovi
