2025版权转让合同范本模板2025copyrighttransfercontracttemplateCopyrightTransferContractThiscopyrighttransfercontract("Agreement")isenteredintoonthisdayof,2025,byandbetween:PartyA(the"Assignor"):(FullName),(IDNumber),(Address)PartyB(the"Assignee"):(CompanyName),(RegistrationNumber),(Address)1.RightsTransfer1.1TheAssignoragreestotransferallexclusivecopyrightrightsofthework(hereinafterreferredtoasthe"Work")titledtotheAssignee,includingbutnotlimitedtoreproductionrights,distributionrights,adaptationrights,performancerights,broadcastingrights,andinformationnetworkdisseminationrights.1.2Thetransfercoversthefollowingcategories:(a)ExistingworksasoftheeffectivedateofthisAgreement;(b)Workscompletedwithinfiveyearsaftertheeffectivedate,providedtheyfallwithinthesamegenreorfieldastheoriginalworks.1.3UponsigningofthisAgreement,allintellectualpropertyrightsoftheWorksshallbelongsolelytotheAssignee.2.Compensation2.1TheAssigneeshallpaytheAssignoralumpsumofRMByuan(大写:元整)asconsiderationforthetransferofthecopyright.2.2Additionally,theAssigneeshallpaytheAssignoraroyaltyof%oftheprofitsderivedfromtheuseoftheWorks.Paymentshallbemadewithinthirty(30)daysaftertheendofeachaccountingperiod.3.RightsandObligations3.1ObligationsofAssignor:(a)EnsurethattheWorkdoesnotinfringeuponanythirdparty'scopyrightorotherlawfulrights;(b)ProvidealloriginalmaterialsrelatedtotheWorkandassistinanyrequiredlegalproceduresforthecopyrighttransfer.3.2ObligationsofAssignee:(a)UsetheWorkinaccordancewiththelawandthisAgreement;(b)InformtheAssignoroftheusagestatusoftheWorkatleastonceeverysixmonths;(c)MarktheAssignor'snameastheoriginalauthorinallusesoftheWork.4.RepresentationsandWarranties4.1TheAssignorrepresentsandwarrantsthat:(a)Theyhavefullauthoritytotransferthecopyright;(b)TheWorkdoesnotcontainanycontentthatviolateslawsorsocialmorality.4.2TheAssigneerepresentsandwarrantsthat:(a)Theyhavefullauthoritytoacceptthecopyrighttransfer;(b)TheywillusetheWorkincompliancewithapplicablelawsandregulations.5.BreachofContract5.1IncaseofbreachofthisAgreement,thedefaultingpartyshallpaytheotherpartyabreachofcontractpenaltyequalto%ofthetotalamountunderthisAgreement.5.2Ifthebreachcausesactuallosses,thebreachingpartymustcompensatetheotherpartyforsuchlosses.6.ModificationandTermination6.1ThisAgreementmaybeamendedonlybywrittenagreementofbothparties.6.2ThisAgreementmaybeterminatedunderthefollowingcircumstances:(a)Mutualagreementtoterminate;(b)Ifeitherpartyisdissolvedorceasesoperations;(c)IfacourtofcompetentjurisdictiondeterminestheAgreementtobeinvalid.7.DisputeResolution7.1DisputesarisingfromorrelatedtothisAgreementshallberesolvedthrough友好协商.Ifnoresolutionisreachedwithinthirty(30)days,eitherpartymaysubmitthedisputetoarbitration.7.2ArbitrationshallbeconductedundertheRulesofArbitrationoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC),withthearbitrationpanelconsistingofthreearbitrators.8.Miscellaneous8.1ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,understandings,anddiscussions.8.2ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.8.3AnynoticesorcommunicationsunderthisAgreementshallbeinwritinganddeliveredbyregisteredmailorcourier,deemedreceivedupondispatch.8.4ThegoverninglawofthisAgreementisthelawofthePeople'sRepublicofChina.9.EffectiveDateThisAgreementshalltakeeffectfromthedateofitsexecutionbybothparties,andshallremainvalidindefinitelyunlessterminatedasprovidedherein.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.Assignor:By:Name:Date:Assignee:By:Name:Date:＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿NotesforFilling:Theblankspacesmarkedwithunderlinesshouldbefilledwithappropriatecont
