WHEREAS,theAgentisengagedinthebusinessof[Agent'sBusinessDescription],anddesirestoactasanindependentcontractorforthePrincipaltopromoteandsellitsproductsorservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePrincipalandtheAgentagreeasfollows:

1.**ScopeofServices**

TheAgentagreestouseitsbesteffortstopromoteandsellthePrincipal'sproductsorserviceswithintheterritoryspecifiedinExhibitAattachedhereto(the"Territory").TheAgentshallengageinthefollowingactivities:

a.IdentifyingpotentialcustomerswithintheTerritory;

b.Contactingpotentialcustomersandprovidingproductorserviceinformation;

c.PresentingthePrincipal'sproductsorservicestopotentialcustomers;

d.NegotiatingandclosingsalesofthePrincipal'sproductsorservices;

e.Providingongoingcustomersupportandpost-salesservices.

2.**CommissionStructure**

ThePrincipalshallpaytheAgentacommissionattherateof[CommissionPercentage]%ofthenetsalespriceforeachsalemadebytheAgentwithintheTerritory.Thenetsalespriceshallbecalculatedbysubtractinganyapplicablediscounts,rebates,orotherdeductionsfromthegrosssalesprice.Thecommissionshallbedueandpayablewithin[NumberofDays]daysfollowingthedateofeachsale.

3.**CompensationandExpenses**

a.TheAgentshallbecompensatedinaccordancewiththecommissionstructuresetforthinSection2ofthisAgreement.

b.TheAgentshallbeentitledtoreceivereimbursementforallreasonableandnecessaryexpensesincurredintheperformanceofitsdutiesunderthisAgreement,subjecttopriorapprovalbythePrincipal.SuchexpensesshallbesubmittedtothePrincipalforreimbursementwithin[NumberofDays]daysfollowingthedateoftheexpense.

4.**OwnershipofIntellectualProperty**

a.Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,servicemarks,copyrights,andpatents,relatedtothePrincipal'sproductsorservicesshallremaintheexclusivepropertyofthePrincipal.

b.TheAgentshallnotacquireanyownershiporinterestinanyintellectualpropertyrightsofthePrincipalbyvirtueofthisAgreement.

5.**TermandTermination**

a.ThisAgreementshallcommenceontheeffectivedatehereofandshallcontinueforaperiodof[NumberofYears]years(the"Term").

b.EitherpartymayterminatethisAgreementupon[NumberofDays]days'writtennoticetotheotherparty.

c.UponterminationofthisAgreement,theAgentshallbeentitledtoreceiveanycommissionsearnedbutnotyetpaidpriortotheeffectivedateoftermination.

6.**Confidentiality**

ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisAgreementandforaperiodof[NumberofYears]yearsfollowingtheterminationorexpirationofthisAgreement.

7.**Indemnification**

a.ThePrincipalshallindemnifyandholdtheAgentharmlessagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromthePrincipal'sbreachofthisAgreement.

b.TheAgentshallindemnifyandholdthePrincipalharmlessagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheAgent'sbreachofthisAgreement.

8.**GeneralProvisions**

a.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

b.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

c.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction].

5.**Agent'sandThirdParty'sObligations**

a.TheAgentandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandards.

b.TheAgentandtheThirdPartyshallnotengageinanyactivitiesthatmaydamagethePrincipal'sreputationorgoodwill.

c.TheAgentandtheThirdPartyshallprovidethePrincipalwithaccurateandtimelyinformationregardingtheiractivitiesandsalesperformance.

6.**TerminationandConsequences**

b.TheAgentandtheThirdPartyshallindemnifyandholdthePrincipalharmlessagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforresultingfromtheirbreachofthisAgreement.

8.**Confidentiality**

ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisAgreementandforaperiodof[NumberofYears]yearsfollowingtheterminationorexpirationofthisAgreement.

9.**GeneralProvisions**
