1.**LeaseTerm**

a.ThetermofthisAgreementshallcommenceon__________(hereinafterreferredtoas“CommencementDate”)andshallcontinueforaperiodof_______years(hereinafterreferredtoas“InitialTerm”).

4.**MaintenanceandRepair**

a.TheTenantshallmaintaintheWarehouseingoodconditionduringthetermofthisAgreement.

b.TheTenantshallberesponsibleforallnecessaryrepairsandmaintenancetotheWarehouseexceptforrepairsandmaintenancerequiredduetonormalwearandtear.

5.**AlterationsandImprovements**

a.TheTenantshallobtainwrittenpermissionfromtheLandlordbeforemakinganyalterationsorimprovementstotheWarehouse.

b.AnyalterationsorimprovementsmadebytheTenantshallbecomethepropertyoftheLandlordupontheexpirationorterminationofthisAgreement.

6.**Insurance**

a.TheTenantshallobtainandmaintainpropertyinsuranceontheWarehouseinanamountsufficienttocoveranylossordamagetotheWarehouseoritscontents.

b.TheTenantshallprovidetheLandlordwithproofofinsuranceuponrequest.

7.**Liability**

a.TheLandlordshallnotbeliableforanylossordamagetotheTenant’spropertyorforanyinjurytotheTenantoranyotherpersonarisingoutoftheTenant’suseoftheWarehouse.

b.TheTenantshallbesolelyresponsibleforanyliabilityarisingoutoftheTenant’suseoftheWarehouse.

8.**Termination**

a.ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

i.ThebreachofanytermorconditionofthisAgreementbytheotherparty;

ii.Theinsolvency,bankruptcy,orliquidationoftheotherparty;

iii.TheabandonmentoftheWarehousebytheTenant;

b.UponterminationofthisAgreement,theTenantshallremoveallofitspropertyfromtheWarehouse.

9.**Miscellaneous**

a.ThisAgreementconstitutestheentireagreementbetweentheLandlordandtheTenantwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal.

b.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

INWITNESSWHEREOF,theLandlordandtheTenanthaveexecutedthisAgreementasoftheCommencementDate.

3.**ServiceProvider'sRightsandObligations**

a.TheServiceProvidershallprovidetheservicesasdescribedintheServiceAgreement.

b.TheServiceProvidershallberesponsibleforthequalityandtimelinessoftheservicesprovided.

c.TheServiceProvidershallnotengageinanyactivitythatmaycausedamagetotheWarehouseoranyotherproperty.

4.**Landlord'sRightsandObligations**

a.TheLandlordshallretaintherighttoterminatethisAgreementintheeventofabreachofanytermbytheTenantortheServiceProvider.

b.TheLandlordshallhavetherighttoinspecttheWarehouseatreasonabletimestoensurecompliancewiththetermsofthisAgreement.

c.TheLandlordshallberesponsibleforanyrepairsormaintenancerequiredduetowearandtearorotherunforeseencircumstances.

5.**Confidentiality**

a.ThepartiesagreetomaintaintheconfidentialityofanyproprietaryinformationdisclosedtotheminconnectionwiththisAgreement.

b.TheTenantandtheServiceProvidershallnotuseordiscloseanyconfidentialinformationforanypurposeotherthantheoperationoftheWarehouse.

6.**Indemnification**

a.TheTenantshallindemnifytheLandlordandtheServiceProvideragainstanyclaims,damages,orliabilitiesarisingoutoftheTenant’suseoftheWarehouse.

b.TheServiceProvidershallindemnifytheLandlordandtheTenantagainstanyclaims,damages,orliabilitiesarisingoutoftheServiceProvider’snegligenceorbreachoftheServiceAgreement.

7.**LimitationofLiability**

a.TheLandlordshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoftheTenant’sortheServiceProvider’suseoftheWarehouse.

b.TheServiceProvidershallnotbeliableforanydamagesarisingoutoftheTenant’sbreachofthisAgreement.

8.**DefaultandTermination**

a.IntheeventofabreachofanytermofthisAgreementbytheTenantortheServiceProvider,theotherpartyshallhavetherighttoterminatethisAgreementuponwrittennotice.

b.Upontermination,theTenantshallremoveallofitspropertyfromtheWarehouseandpayanyoutstandingrentanddamages.

9.**Miscellaneous**

a.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements.

b.AnyamendmentormodificationofthisAgreementmustbeinwritingandsignedbyallparties.

ByenteringintothisAgreement,theLandlordensuresthattheTenant’soperationoftheWarehouseissupportedbyareliableServiceProvider,therebyprotectingtheLandlord’sinvestment.TheTenantgainsthebenefitofspecializedservicesthatenhancetheefficiencyandprofitabilityofitsoperations.TheServiceProvider,inturn,securesastablerevenuestreamandtheopportunitytodevelopalong-termbusinessrelationshipwiththeTenant.TheintroductionoftheServiceProvideraddsalayerofprofessionalmanagementandexpertise,whichiscriticalforthesmoothoperationoftheWarehouseandtheprotectionoftheLandlord’sinterests.

b.TheLessorshallprovidetheLesseewithadeedorleaseholdinterestinthePropertyuponexecutionofthisAgreement.

c.TheLessorshallhavetherighttoinspectthePropertyatreasonabletimestoensurecompliancewiththetermsofthisAgreement.

5.**Lessee'sRightsandBenefits**

a.TheLesseeshallhavetherighttorequestchangestothePropertyManager’sperformancewithinareasonabletimeframe.

b.TheLesseeshallbeentitledtoarefundofanyRentalPaymentsmadeinexcessoftheagreed-uponamountduetothePropertyManager’sfailuretoprovideservices.

c.TheLesseeshallhavetherighttoterminatethisAgreementifthePropertyManagerfailstomeettheagreed-uponservicestandards.

6.**Lessor's违约及限制条款**

a.TheLessorshallnotbeliableforanylossordamagetotheLessee’sbusinessorpropertyarisingfromtheLessor’sfailuretocomplywiththetermsofthisAgreement.
