eSellerandtheBuyershallnotbeliablefortheactsoromissionsofaThirdParty,excepttotheextentthatsuchactsoromissionsresultfromthenegligenceorwillfulmisconductoftheSellerortheBuyer.4.Indemnification:TheSellerandtheBuyershallindemnifyeachotheragainstanylosses,claims,damages,orexpensesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,providedthatsuchlosses,claims,damages,orexpensesarenottheresultofthenegligenceorwillfulmisconductoftheindemnifyingparty.5.ResponsibilityLimitation:TheliabilityofaThirdPartyforanybreachofthisAgreementshallbelimitedtothescopeoftheirservicesorfunctionsasspecifiedinthewrittenagreementbetweentheThirdPartyandtheengagingparty.TheSellerandtheBuyershallnotbeliableforanylosses,claims,damages,orexpensesarisingfromthefailureofaThirdPartytoperformtheirservicesorfunctionsinaccordancewiththisAgreement,excepttotheextentthatsuchfailureistheresultofthenegligenceorwillfulmisconductoftheSellerortheBuyer.6.AuthorizationofThirdParties:TheSellerandtheBuyerhereauthorizetheengagementofThirdPartiestoperformcertainservicesorfunctionsrelatedtotheexecutionofthisAgreement.SuchauthorizationshallbeinwritingandshallspecifythescopeofauthoritygrantedtotheThirdParty.7.CommunicationwithThirdParties:8.Confidentiality:TheSeller,theBuyer,andanyThirdPartyengagedunderthisAgreementshallmaintaintheconfidentialityofanyandallinformationdisclosedtothemtheotherpartiesinconnectionwiththisAgreement,excepttotheextentsuchinformationisrequiredtobedisclosedlaworcourtorder.9.DisputeResolution:AnydisputearisingbetweentheSeller,theBuyer,andaThirdPartyinconnectionwiththeperformanceoftheirrespectiveobligationsunderthisAgreementshallberesolvedinaccordancewiththedisputeresolutionproceduressetforthinthisAgreement.10.TerminationofThirdPartyEngagement:TheSellerortheBuyermayterminatetheengagementofaThirdPartyatanytimeprovidingwrittennoticetotheThirdParty.Upontermination,theThirdPartyshallceaseallactivitiesunderthisAgreementandshallreturnanypropertyordocumentsprovidedtothemtheSellerortheBuyer.11.ContinuationofAgreement:TheterminationoftheengagementofaThirdPartyshallnotaffectthevalidityorenforceabilityofthisAgreementbetweentheSellerandtheBuyer.12.AssignmentofRightsandObligations:TheSellerandtheBuyermaynotassigntheirrightsorobligationsunderthisAgreementtoaThirdPartywithoutthepriorwrittenconsentoftheotherparty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyalloftheassetsofaparty.13.ForceMajeure:IntheeventofanydelayorfailuretoperformunderthisAgreementduetocircumstancesbeyondthecontroloftheSeller,theBuyer,oraThirdParty,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions,theaffectedpartyshallbeexcusedfromitsobligationsunderthisAgreementtotheextentandfortheperiodoftimethatsuchdelayorfailurecontinues.14.Amendments:AnyamendmenttothisAgreementregardingtheengagementofThirdPartiesshallbemadeinwritingandshallbesignedallpartiestothisAgreement.15.EntireAgreement:ThissectionconstitutesanintegralpartofthisAgreementandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,regardingtheengagementofThirdParties.第三部分：其他补充性说明和解释说明一：附件列表：1.ScheduleA:GoodsDescription详细要求和说明：列出所有货物的基本信息，包括但不限于货物的名称、规格、型号、数量、单价和总价。确保所有信息的准确性和完整性。2.ScheduleB:DeliveryandShipmentDetails详细要求和说明：包含货物的交付地点、预计交货日期、运输方式、保险条款等信息。确保所有信息与国际贸易惯例相符合。3.ScheduleC:PaymentTermsandConditions详细要求和说明：规定支付金额、支付方式、付款期限、付款条件和任何相关的费用。确保所有支付条款清晰明确。4.ScheduleD:QualityControlandInspectionProcedures详细要求和说明：规定货物质量标准、检验程序、检验机构和检验时间。确保所有检验程序符合国际标准。5.ScheduleE:DisputeResolutionMechanism详细要求和说明：描述解决合同争议的程序，包括但不限于谈判、调解、仲裁或诉讼。确保所有争议解决选项均被明确列出。6.ScheduleF:ConfidentialityAgreement详细要求和说明：规定双方在合同执行过程中应遵守
