6.Termination

a.EitherpartymayterminatethisContractbyproviding[NoticePeriod]priorwrittennoticetotheotherparty.

b.ThisContractmaybeterminatedimmediatelybyeitherpartyintheeventofabreachofanymaterialtermhereofbytheotherparty,providedthatthebreachingpartyhasfailedtocuresuchbreachwithinareasonableperiodafterreceiptofwrittennoticethereof.

7.GoverningLawandJurisdiction
