WHEREAS,PartyBisastudentinterestedinpursuinghighereducationintheUKanddesirestoengagePartyA'sservicesforthepurposeofobtainingadmissiontoasuitableinstitution;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.ScopeofServices
PartyAagreestoprovidethefollowingservicestoPartyB:
1.1AssistanceinselectingandapplyingtosuitableinstitutionsofhighereducationintheUK.
1.2Guidanceinpreparingandsubmittingapplicationdocuments,including,butnotlimitedto,personalstatements,lettersofrecommendation,andstandardizedtestscores.
1.3AssistanceinobtainingnecessaryvisasandotherdocumentationrequiredforthepurposeofstudyingintheUK.
1.4OngoingsupportandguidancethroughouttheapplicationprocessandduringthefirstyearofstudyintheUK.
2.FeesandPaymentTerms
2.1PartyBagreestopayPartyAatotalfeeof[Amount](hereinafterreferredtoasthe"Fees")fortheservicesprovidedunderthisContract.
2.2TheFeesshallbepaidinaccordancewiththefollowingschedule:
2.2.1Aninitialpaymentof[Amount]shallbepaiduponthesigningofthisContract.
2.2.2TheremainingFeesshallbepaidin[Number]equalinstallments,withthefirstinstallmentdue[Date]andsubsequentinstallmentsdue[Date],respectively.
2.3AllFeesarenon-refundableandnon-transferable.
3.Confidentiality
3.1Thepartiesagreetokeepallinformationprovidedbytheotherpartyconfidential,exceptasrequiredbylaworwiththeconsentoftheotherparty.
4.Termination
4.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationisnotinbreachofanyotherprovisionsofthisContract.
4.2UponterminationofthisContract,PartyAshallpromptlyreturnanyconfidentialinformationordocumentsprovidedbyPartyBtoPartyB.
5.GoverningLawandDisputeResolution
5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
5.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationand,ifnecessary,arbitrationinaccordancewiththerulesof[ArbitrationInstitution].
6.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,representations,andunderstandings,whetheroralorwritten,withrespecttothesubjectmatterhereof.
InWitnessWhereof,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

1.1.2Guidanceinpreparingandsubmittingapplicationdocuments,includingpersonalstatements,lettersofrecommendation,andstandardizedtestscores.
1.1.3AssistanceinobtainingnecessaryvisasandotherdocumentationrequiredforstudyingintheUK.
1.2TheInstitutionagreestoprovidethefollowingservicestoPartyB:
1.2.1AcceptanceofPartyBasastudentuponsuccessfulcompletionoftheapplicationprocess.
1.2.2Provisionofeducationalfacilities,resources,andservicesasagreeduponintheInstitution'sadmissionoffer.
2.FeesandPaymentTerms
2.1PartyBagreestopayPartyAatotalfeeof[Amount](hereinafterreferredtoasthe"Fees")fortheservicesprovidedunderthisContract.
2.2TheFeesshallbepaidinaccordancewiththefollowingschedule:

3.2.1ProvidetheservicesasdescribedinthisContractinaprofessionalandtimelymanner.
3.2.2MaintainconfidentialityofanyinformationprovidedbyPartyB.
3.2.3EnsurethattheapplicationprocessisconductedinaccordancewiththeInstitution'sadmissioncriteria.
4.PartyB'sRightsandObligations
4.1PartyBhastherightto:
4.1.1Requestchangestotheapplicationprocessifnecessary.
4.1.2WithdrawfromtheservicesprovidedbyPartyAatanytime,subjecttotheprovisionsofthisContract.
4.2PartyBisobligatedto:
4.2.1Provideaccurateandcompleteinformationduringtheapplicationprocess.
4.2.2ComplywiththetermsandconditionsofthisContractandanyadditionalagreementswiththeInstitution.
4.2.3PaytheFeesasagreeduponinthisContract.
5.ThirdParty'sRightsandObligations
5.1TheThirdPartyhastherightto:
5.1.1RefuseadmissiontoPartyBiftheapplicationdoesnotmeettheInstitution'scriteria.
5.1.2RequestadditionalinformationfromPartyBduringtheapplicationprocess.
5.2TheThirdPartyisobligatedto:
5.2.1ProvideaclearandconciseadmissionoffertoPartyB.
5.2.2EnsurethattheeducationalservicesprovidedtoPartyBmeetthestandardssetbytheInstitution.
6.违约及限制条款
6.1PartyBshallnot:
6.1.1DiscloseanyconfidentialinformationobtainedthroughthisContracttoanythirdpartywithoutthepriorwrittenconsentofPartyA.
6.1.2EngageinanyactivitythatmaydamagethereputationofPartyAortheInstitution.
6.2IntheeventofabreachofthisContractbyPartyB,PartyAshallhavetherightto:
6.2.1TerminatethisContractimmediately.
6.2.2RetainallFeespaidbyPartyB.
6.2.3Pursueanylegalremediesavailabletoit.
7.GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationand,ifnecessary,arbitrationinaccordancewiththerulesof[ArbitrationInstitution].
8.EntireAgreement

TheinclusionoftheThirdPartyinthisContractenhancestheprotectionofPartyA'sinterestsbyensuringthatPartyBisadmittedtoareputableInstitution.ThisarrangementalsoallowsPartyAtomaintainalevelofcontrolovertheapplicationprocessandtoretaintheFeespaidbyPartyBintheeventofabreach.ThepurposeofthisContractistoestablishaclearframeworkfortheservicesprovidedbyPartyA,whileprioritizingtherightsandinterestsofPartyAthroughouttheagreement.

3.2.1ProvideaccurateandcompleteinformationregardingtheirfinancialqualificationsandabilitytopurchasetheProperty.
3.2.2ComplywithalltermsandconditionsofthisContractandanyadditionalagreementswithPartyA.
4.ThirdParty'sRightsandObligations
4.1TheThirdPartyhastherightto:
4.1.1RepresentPartyBinnegotiationswithPartyAandensurethatPartyB'sinterestsareprotected.
4.1.2RequestadditionalinformationfromPartyAorPartyBasnecessarytofacilitatethetransaction.
4.2TheThirdPartyisobligatedto:
4.2.1Maintainconfidentialityofallinformationobtainedduringthetransaction.
4.2.2ActingoodfaithandwithduediligenceonbehalfofPartyB.
5.PartyA'sRightsandObligations
5.1PartyAhastherightto:
5.1.1RequestproofofPartyB'sfinancialqualificationsbeforeenteringintothesale.
5.1.2InspectPartyB'scredithistoryandotherrelevantfinancialinformation.
5.2PartyAisobligatedto:
5.2.1ProvidePartyBwithadetailedpropertydisclosurestatementpriortothecompletionofthesale.
5.2.2CompleteallnecessarylegalandregulatoryrequirementsrelatedtothesaleoftheProperty.
6.违约及限制条款
6.1PartyAshallnot:
6.1.1RefusetosellthePropertytoPartyBwithoutavalidreason.
6.1.2FailtoprovidethePropertyintheconditiondescribedintheContract.
6.2IntheeventofabreachofthisContractbyPartyA,PartyBshallhavetherightto:
6.2.1TerminatetheContractandseekarefundoftheinitialdeposit.
6.2.2Pursuelegalremediesforanydamagesincurredasaresultofthebreach.
