2.Term

4.Confidentiality

Thepartiesagreetokeepconfidentialanyandallinformation,whetherwritten,oral,orelectronic,thatisdisclosedtothembytheotherpartyinconnectionwiththisContract.Suchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

5.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

6.EntireAgreement
