医疗设备分销租赁合同编号：__________Address：ContractNo.：LegalRepresentative：Phone：Address：ContractNo.：LegalRepresentative：Phone：Accordingtotherelevantlawsandregulationsofthepeople'sRepublicofChina,bothpartieshave充分沟通andreachedthefollowingagreementthroughfriendlynegotiation:Article1：Scopeofbusiness1.2Theequipmentshallbeusedforthepurposeofmedicaltreatmentandresearch,andmustnotbeusedforotherpurposes.Article2：Leaseterms2.1Leaseterm：____years,from____年____月____日to____年____月____日2.2Leasefee：____yuan（taxincluded）permonthforeachpieceofequipment.Thetotalleasefeefortheleaseperiodshallbe____yuan（taxincluded）.2.3Paymentmethod：PartyBshallpaytheleasefeetoPartyAwithin7daysafterreceivingtheequipment.Article3：Deliveryandacceptanceofequipment3.1PartyAshalldelivertheequipmenttoPartyBwithin30daysafterthesigningofthiscontract.3.2PartyBshallchecktheequipmentuponreceiptandsigntheacceptancecertificate.Ifthereareanyproblemswiththeequipment,PartyBshallnotifyPartyAinwritingwithin3daysofreceivingtheequipment.PartyAshalltakeresponsibilityforrepairingorreplacingtheequipmentwithin15daysafterreceivingthenotice.Article4：Maintenanceandrepair4.1PartyAshallprovidetechnicalsupportandmaintenancefortheequipmentduringtheleaseperiod.4.2Iftheequipmentfailsduetonormalwearandtear,PartyAshallrepairorreplacetheequipmentwithin15daysafterreceivingthenoticefromPartyB.4.3IftheequipmentfailsduetoimproperuseormisusePartyB,PartyBshallbeartheresponsibilityforrepairingorreplacingtheequipment.Article5：Transferofrightsandobligations5.1Neitherpartymaytransferitsrightsandobligationsunderthiscontracttoathirdpartywithoutthewrittenconsentoftheotherparty.5.2Ifeitherpartywishestotransferitsrightsandobligationsunderthiscontracttoathirdparty,itshallnotifytheotherpartyinwritingatleast30dayspriortothetransfer.Theotherpartymayobjecttothetransferwithin15daysofreceivingthenotice.Iftheotherpartyobjectstothetransfer,thepartiesshallnegotiateasolution.Article6：Terminationofcontract6.1Thiscontractshallterminateupontheexpirationoftheleaseterm.6.2eitherpartymayterminatethiscontractinwritingiftheotherpartybreachesthiscontractandfailstocurethebreachwithin30daysafterreceivingwrittennoticefromtheotherparty.6.3eitherpartymayterminatethiscontractinwritingiftheotherpartyfilesforbankruptcyorentersintoliquidation.Article7：Disputeresolution7.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthrough友好negotiation.7.2Ifthepartiesareunabletoresolvethedisputethrough友好negotiation,thepartiesmaysubmitthedisputetothepeople'scourtwithjurisdictionovertheplacewherePartyAislocated.Article8：Confidentiality8.1Bothpartiesshallkeepconfidentialanybusinessinformationobtainedfromtheotherpartyinthecourseofperformingthiscontract,andshallnotdisclosesuchinformationtoanythirdpartywithoutthewrittenconsentoftheotherparty.8.2Thisconfidentialityobligationshallsurvivetheexpirationorterminationofthiscontract.Article9：Forcemajeure9.1eitherpartyshallberelievedofliabilityfortheperformanceofitsobligationsunderthiscontractifitisunabletoperformitsobligationsduetoforcemajeure.9.2ForcemajeureshallincludebutnotbelimitedtoactsofGod,labordisputes,governmentactions,andothereventsbeyondthereasonablecontrolofthepartyaffected.Article10：Amendmentandsupplement10.1Thiscontractmaybeamendedorsupplementedmutualagreementofthepartiesinwriting.10.2Anyamendmentsorsupplementstothiscontractshallbeeffectiveupontheexecutionoftheamendmentorsupplementbothparties.Article11：EntireagreementThiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstand一、附件列表：1.医疗设备详细清单2.乙方医疗机构资质证明3.租赁设备保险单4.技术支持和维护服务协议5.设备操作手册和维护手册6.租赁合同补充协议7.双方签署的保密协议8.不可抗力事件证明文件二、违约行为及认定：1.甲方未按约定时间交付设备，或交付的设备不符合约定规格和质量标准。2.甲方未提供约定的技术支持和维护服务。3.乙方未按约定时间支付租金。4.乙方未按照设备操作手册和维护手册的要求使用和维护设备。5.任何一方未经对方书面同意，将合同权利和义务转让给第三方。6.任何一方违反保密协议，泄露对方商业信息。7.因甲方原因导致设备无法正常使用，且在收到乙方通知后未能在约定时间内修复或更换。三、法律名词及解释：1.甲方：指提供医疗设备分销租赁服务的企业。2.乙方：指租赁医疗设备的医疗机构。3.租赁期：指双方约定的租赁开始和结束日期之间的期限。4.租金：指乙方按照约定每月应支付给甲方的租赁费用。5.技术支持和维护服务：指甲方为保证设备正常运行，提供的技术咨询、维修、更换等服务。6.违约：指合同一方或双方未履行合同约定的义务。7.不可抗力：指不能预见、不能避免并不能克服的客观情况，如自然灾害、社会事件等。四、执行中遇到的问题及解决办法：1.设备交付延迟：甲方应及时与乙方沟通，说明延迟原因，并尽快交付设备。2.设备损坏或故障：甲方应在收到乙方通知后及时修复或更换设备。3.租金支付问题：乙方应按时支付租金，如遇支付困难，应及时与甲方沟通，寻求延期支付
