ThisBluetoothHeadsetSalesContract(the"Contract")isenteredintobetweenPartyAandPartyB,hereinreferredtoindividuallyas"Party"andcollectivelyasthe"Parties".ThePartieshaveagreedtoenterintothisContractonthefollowinggroundsandinrelianceonthefollowingbackgroundandpremiseforcooperation:

PartyA,inthepursuitofexpandingitsproductofferingsandmeetingthedemandsofitscustomerbase,desirestopurchasehigh-qualityBluetoothheadsetsfromPartyB,awell-establishedandreputablemanufacturerandsupplierintheaudiotechnologyindustry.

PartyB,recognizingthemarketpresenceanddistributionnetworkofPartyA,iswillingtosupplytheBluetoothheadsetsasperthespecificationsandquantitiesdetledinthisContract,withthemofreinforcingitsmarketpositionandfurtheringthereachofitsproducts.

ThePartiesheretoagreethatthefollowingtermsandconditionsshallgovernthesaleandpurchaseoftheBluetoothheadsets,ensuringaclearunderstandingoftherightsandobligationsofeachParty,andprovidingaframeworkfortheorderlyandefficientfulfillmentofthetransaction.

ThePartiesacknowledgethatthisContractisexecutedingoodfthandisbasedonthemutualunderstandingandagreementastothequality,quantity,price,paymentterms,deliveryschedules,andotherconditionssetforthherein.ItisfurtherunderstoodthatthisContractshallbetheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,supersedingallpriornegotiations,representations,andunderstandings,whetherwrittenororal.

ThePartiesareawarethatanydeviationfromthetermsandconditionsspecifiedinthisContractmayleadtodisputesandpotentialliabilities.Therefore,itisintheinterestofbothPartiestoadherestrictlytothetermsandconditionsasoutlinedherein.

ByexecutingthisContract,thePartiesexpresstheirintentiontobelegallyboundbytheprovisionscontnedhereinandundertaketofulfilltheirrespectiverolesandresponsibilitiesassetforthunderthisContract.

ThisContractOverviewformsanintegralpartoftheoverallagreementbetweenPartyAandPartyBandshallbereferredtoinconjunctionwithallothersectionsofthisContract.ItisacknowledgedthatthisOverviewisaconcisesummaryoftheParties'intentionsanddoesnotreplaceormodifythedetledprovisionsthatfollow.

第一条合同目的与范围

TheprimarypurposeofthisContractistodefinethetermsandconditionsunderwhichPartyAshallpurchaseandPartyBshallsupplytheBluetoothheadsets.ThespecificcontentofthisContractincludes,butisnotlimitedto,thespecifications,quantities,prices,paymentterms,deliveryschedules,warranty,andafter-salesservicesoftheBluetoothheadsets.TheContractmstoestablishaclearframeworkfortheParties'obligationsandrightsinrelationtothesaleandpurchaseoftheheadsets,ensuringasmoothandefficienttransactionprocess.

第二条定义

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

"BluetoothHeadsets"referstothewirelessaudiodevicesthatutilizeBluetoothtechnologyforconnectivity,asspecifiedintheproductspecificationsattachedhereto.

"ProductSpecifications"referstothedetledtechnicalspecificationsandfeaturesoftheBluetoothheadsetsprovidedbyPartyB.

"Delivery"meanstheactofPartyBmakingtheBluetoothheadsetsavlabletoPartyA,asperthetermsandconditionssetforthinthisContract.

"WarrantyPeriod"referstotheperiodduringwhichtheBluetoothheadsetsarecoveredunderthewarrantyprovidedbyPartyB,asspecifiedinthisContract.

第三条双方权利与义务

1.PartyA'sRightsandObligations:

a.PartyAhastherighttoreceivetheBluetoothheadsetsthatmeettheagreed-uponproductspecifications.

b.PartyAshallprovidePartyBwiththenecessaryinformationandspecificationsforthecustomizationorbrandingoftheheadsets,ifapplicable.

c.PartyAisobligatedtomakepaymentfortheBluetoothheadsetsinaccordancewiththepaymenttermsspecifiedinthisContract.

d.PartyAhastherighttoinspecttheheadsetsupondeliveryandmayrejectanyproductsthatdonotconformtotheagreedspecificationsoraredamaged.

e.PartyAshallberesponsibleforthestorage,handling,andsaleoftheBluetoothheadsetsincompliancewithapplicablelawsandregulations.

2.PartyB'sRightsandObligations:

a.PartyBhastheobligationtosupplytheBluetoothheadsetsinaccordancewiththeproductspecificationsandquantitiesdetledinthisContract.

b.PartyBshallensurethattheheadsetsareofgoodquality,freefromdefects,andcomplywithallrelevantindustrystandardsandregulations.

c.PartyBhastherighttoreceivetimelypaymentfromPartyAaspertheagreedpaymentterms.

d.PartyBisresponsibleforthepackaging,shipping,anddeliveryoftheheadsetstothedesignatedlocationasspecifiedbyPartyA.

e.PartyBshallprovideawarrantyfortheBluetoothheadsetsasoutlinedinthisContractandshallberesponsibleforaddressinganywarrantyclmsmadebyPartyA.

f.PartyBhastherighttorequestfromPartyAanynecessaryinformationtofulfillitsobligationsunderthisContract.

TherightsandobligationsofbothPartiesaretobeperformedingoodfthandwithduediligencetoensurethesuccessfulimplementationoftheContract.AnychangestotherightsandobligationsmustbemutuallyagreeduponinwritingandappendedtothisContract.

第四条价格与支付条件

ThepricesoftheBluetoothheadsetsshallbeasagreeduponbetweenthePartiesandspecifiedintheattachedpricingschedule.PaymentshallbemadebyPartyAtoPartyBinaccordancewiththefollowingterms:

a.PaymentMethod:PartyAshallmakepaymentviawiretransfertoPartyB'sdesignatedbankaccount,detlsofwhichshallbeprovidedbyPartyB.

b.PaymentTerms:Onehundredpercent(100%)ofthetotalpurchasepriceshallbepdbyPartyAuponthelaterof(i)thedateofdeliveryoftheBluetoothheadsets,or(ii)theissuanceoftheinvoicebyPartyB.

c.PaymentTime:Paymentshallbeduewithinthirty(30)calendardaysofthedateoftheinvoiceissuedbyPartyB,unlessotherwiseagreedinwritingbytheParties.

d.LatePayment:Intheeventoflatepayment,PartyAshallbeliabletopayinterestontheoutstandingamountatarateof[X]%perannum,calculateddlyfromtheduedateuntilthedateofpayment.

第五条履行期限

ThisContractshallbeeffectivefromthedateofitsexecutionandshallremninforceforaperiodof[X]years,unlessterminatedearlierinaccordancewiththeterminationprovisionssetforthinthisContract.Thekeytimelinesandmilestonesareasfollows:

a.DeliveryDate:PartyBshalldelivertheBluetoothheadsetstoPartyAwithin[X]daysfromthedateofreceiptofthepurchaseorderfromPartyA.

b.WarrantyPeriod:ThewarrantyperiodfortheBluetoothheadsetsshallcommencefromthedateofdeliveryandcontinuefor[X]months,unlessspecifiedotherwiseinthisContract.

c.InspectionandAcceptance:PartyAshallhave[X]daysfromthedateofdeliverytoinspecttheBluetoothheadsetsandnotifyPartyBofanydefectsornon-conformities.

第六条违约责任

IntheeventofabreachofanyprovisionofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

a.FluretoDeliver:IfPartyBflstodelivertheBluetoothheadsetswithintheagreedtimeframe,PartyAshallhavetherighttoclmapenaltyof[X]%ofthetotalpurchasepriceforeachweekofdelay,uptoamaximumof[X]%.

b.Non-Payment:IfPartyAflstomakepaymentinaccordancewiththepaymentterms,PartyBshallhavetherighttochargeinterestasspecifiedinthepaymentconditionsand,inaddition,maysuspendfurtherdeliveriesuntiltheoutstandingamountispd.

c.ProductDefects:IftheBluetoothheadsetsdonotconformtotheagreedspecificationsorarefoundtobedefective,PartyAshallhavetherighttorequestareplacementorreprofthedefectiveproducts,orarefundofthepurchasepricefortheaffectedproducts.

d.Indemnification:ThebreachingPartyshallindemnifyandholdharmlessthenon-breachingPartyfromanyandalllosses,damages,costs,andexpensesarisingoutoforinconnectionwiththebreach.

e.Termination:Intheeventofamaterialbreachthatisnotremediedwithin[X]daysofwrittennotice,thenon-breachingPartyshallhavetherighttoterminatethisContractandseekappropriatelegalremedies.

ThePartiesagreethattheaforementionedconsequencesofbreacharefrandreasonableestimatesofthedamagesthatwouldbesufferedbythenon-breachingPartyasaresultofthebreach.

第七条不可抗力

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,strikes,lockouts,riots,war,terrorism,fire,explosion,flooding,earthquake,governmentalactions,oranyothersimilareventsthatareunforeseeable,unavoidable,andinsurmountable.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorfluresintheperformanceofitsobligationsunderthisContract,totheextentandforthedurationthatsuchperformanceispreventedbytheForceMajeureevent.

a.Notice:ThePartyaffectedbyaForceMajeureeventshallpromptlynotifytheotherPartyinwritingoftheoccurrenceandexpecteddurationofsuchevent.

b.Relief:TheaffectedPartyshallbeentitledtoareasonableextensionoftimetoperformitsobligations,orthePartiesmayagreetomodifyorsuspendtheaffectedobligationsforthedurationoftheForceMajeureevent.

c.Termination:IfaForceMajeureeventcontinuesforaperiodexceeding[X]months,eitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherParty.

第八条争议解决

Intheeventofanydispute,controversy,orclmarisingoutoforinconnectionwiththisContract,thePartiesshallusetheirbesteffortstoresolvesuchdisputethroughamicablenegotiations.IfthePartiesareunabletoresolvethedisputewithin[X]daysofthecommencementofnegotiations,thefollowingproceduresshallapply:

a.Mediation:ThePartiesmayagreetosubmitthedisputetomediationbyaneutralthird-partymediatoragreeduponbybothParties.ThemediationshalltakeplaceatalocationmutuallydeterminedbytheParties.

b.Arbitration:Ifmediationflstoresolvethedispute,thePartiesmayagreetosubmitthedisputetoarbitrationbyanarbitrationinstitutionmutuallyagreeduponbytheParties.Thearbitrationshallbeconductedinaccordancewiththerulesofthechosenarbitrationinstitution,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

c.Litigation:IfthePartiesdonotagreetomediationorarbitration,orifsuchproceduresfltoresolvethedispute,eitherPartymayinitiatelegalproceedingsinacourtofcompetentjurisdiction.ThePartiesagreetosubmittothejurisdictionofsuchcourtandtowveanyobjectionsbasedonvenueorinconvenience.

ThePartiesagreethatthedisputeresolutionproceduressetforthinthisArticleareexclusiveandthattheyshallnotfileorparticipateinanyclassactionorrepresentativeproceedinginconnectionwithanydispute,controversy,orclmarisingunderorrelatedtothisContract.

第九条其他条款

1.Notice:AllnoticesandcommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedeffectivewhendeliveredpersonallyorsentbyregisteredml,courier,oremltotheaddressoremladdressprovidedbythe
