二零二四年度园林景观设计与施工合同本合同目录一览第一条合同主体及定义1.1设计方主体1.2施工方主体1.3合同主体权利与义务第二条合同范围及内容2.1设计范围2.2施工范围2.3材料供应范围第三条设计要求3.1设计方案提交时间3.2设计方案修改次数3.3设计方案最终确定第四条施工要求4.1施工标准及质量4.2施工安全要求4.3施工进度计划第五条材料供应5.1材料质量标准5.2材料供应时间及数量5.3材料验收及退换货规定第六条合同价格及支付6.1合同总价6.2支付方式及时间6.3价款调整条件及方法第七条工期延误7.1工期延误责任7.2工期延误的计算及赔偿第八条合同变更8.1合同变更条件8.2合同变更程序8.3合同变更产生的费用及责任第九条违约责任9.1设计方违约责任9.2施工方违约责任9.3违约赔偿金额及方式第十条争议解决10.1争议解决方式10.2争议解决机构及地点10.3法律适用第十一条合同的生效、变更和终止11.1合同生效条件11.2合同变更程序11.3合同终止条件及后果处理第十二条保密条款12.1保密信息范围12.2保密期限12.3保密违约责任第十三条不可抗力13.1不可抗力事件的认定13.2不可抗力事件的后果处理第十四条其他条款14.1合同的补充条款14.2合同的修改和解除14.3合同争议的诉讼或仲裁第一部分：合同如下：第一条合同主体及定义1.1设计方主体designatingparty(hereinafterreferredtoas"Designer")shallmeanthepartyidentifiedinthe"Parties"sectionofthisAgreement,whichisresponsibleforthedesignservicesprovidedunderthisAgreement.1.2施工方主体TheContractingParty(hereinafterreferredtoas"Contractor")shallmeanthepartyidentifiedinthe"Parties"sectionofthisAgreement,whichisresponsiblefortheconstructionservicesprovidedunderthisAgreement.1.3合同主体权利与义务TherightsandobligationsofthepartiesshallbeassetforthinthisAgreement,andthepartiesagreetoperformtheirrespectiveobligationshereunderinatimely,professionalandworkmanlikemanner.第二条合同范围及内容2.1设计范围ThedesignservicestobeprovidedtheDesignerunderthisAgreementshallinclude,butnotbelimitedto,thepreparationofdesignplans,specifications,andotherrelateddocumentsasspecifiedinthe"ScopeofWork"sectionofthisAgreement.2.2施工范围2.3材料供应范围ThematerialstobesuppliedtheContractorunderthisAgreementshallinclude,butnotbelimitedto,thosematerialsspecifiedinthe"Materials"sectionofthisAgreement,andshallmeetthequalitystandardsandspecificationssetforthinthisAgreement.第三条设计要求3.1设计方案提交时间TheDesignershallsubmitthedesignplansandspecificationstotheContractorwithinthetimeperiodspecifiedinthe"DesignSchedule"sectionofthisAgreement,orasotherwiseagreeduponthepartiesinwriting.3.2设计方案修改次数TheDesignershallbeallowedamaximumoftwo(2)roundsofrevisionstothedesignplansandspecificationsatnoadditionalcosttotheContractor,subjecttothetermsandconditionssetforthinthisAgreement.3.3设计方案最终确定第四条施工要求4.1施工标准及质量TheContractorshallperformtheconstructionservicesinaccordancewiththedesignplansandspecificationsprovidedtheDesigner,andshallensurethattheworkmanshipandmaterialsusedintheconstructionmeetthequalitystandardssetforthinthisAgreement.4.2施工安全要求4.3施工进度计划第五条材料供应5.1材料质量标准ThematerialssuppliedtheContractorshallmeetthequalitystandardsandspecificationssetforthinthedesignplansandspecificationsprovidedtheDesigner,andshallbesubjecttotheContractor'sstandardqualitycontrolprocedures.5.2材料供应时间及数量TheContractorshallsupplythematerialstotheconstructionsiteatthetimesandinthequantitiesspecifiedintheconstructionschedule,orasotherwiseagreeduponthepartiesinwriting.5.3材料验收及退换货规定第六条合同价格及支付6.1合同总价ThetotalcontractpriceforthedesignandconstructionservicesprovidedunderthisAgreementshallbeassetforthinthe"Pricing"sectionofthisAgreement,andshallbeexclusiveofanytaxes,fees,orotherchargesunlessotherwisespecifiedinthisAgreement.6.2支付方式及时间PaymentshallbemadetheDesignertotheContractorinaccordancewiththepaymentschedulesetforthinthe"PaymentTerms"sectionofthisAgreement,orasotherwiseagreeduponthepartiesinwriting.第八条工期延误8.1工期延误责任IftheContractorexperiencesanydelaysintheconstructionschedulethatarebeyonditscontrol,asdefinedinthe"ForceMajeure"sectionofthisAgreement,theContractorshallnotbeheldresponsibleforsuchdelays.8.2工期延误的计算及赔偿IntheeventofdelaysintheconstructionschedulethatarewithinthecontroloftheContractor,theContractorshallberesponsibleforanydirectcostsincurredtheDesignerduetosuchdelays,asspecifiedinthe"DelayCompensation"sectionofthisAgreement.8.3工期延误责任免除TheContractorshallnotbeliableforanydelaysintheconstructionschedulecausedactsofGod,actsofwar,laborstrikes,orotherunforeseeableeventsbeyondtheContractor'scontrol,asdefinedinthe"ExclusionofLiability"sectionofthisAgreement.第九条合同变更9.1合同变更条件EitherpartymayrequestachangetothetermsofthisAgreementprovidingwrittennoticetotheotherparty,specifyingthenatureandextentoftheproposedchanges,withinthetimeperiodspecifiedinthe"Amendment"sectionofthisAgreement.9.2合同变更程序Uponreceiptofarequestforacontractamendment,theotherpartyshallreviewtheproposedchangesand,ifagreeduponinwriting,shallexecuteanamendmenttothisAgreementthatreflectsthechanges.9.3合同变更产生的费用及责任AnychangestothetermsofthisAgreementshallresultinacorrespondingadjustmenttothecontractpriceandschedule,asspecifiedinthe"AmendmentConsequences"sectionofthisAgreement,andshallbetheresponsibilityofthepartyrequestingthechange.第十条违约责任10.1设计方违约责任IntheeventofabreachofthisAgreementtheDesigner,theDesignershallbeliableforanydirectdamagessustainedtheContractorasaresultofsuchbreach,asspecifiedinthe"Default"sectionofthisAgreement.10.2施工方违约责任IntheeventofabreachofthisAgreementtheContractor,theContractorshallbeliableforanydirectdamagessustainedtheDesignerasaresultofsuchbreach,asspecifiedinthe"Default"sectionofthisAgreement.第十一条争议解决11.1争议解决方式AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughnegotiationbetweentheparties,assetforthinthe"DisputeResolution"sectionofthisAgreement.11.2争议解决机构及地点Intheeventthatthepartiesareunabletoresolveadisputethroughnegotiation,anysuchdisputesshallbesubmittedtoarbitrationinaccordancewiththerulesofthearbitrationbodyspecifiedinthe"DisputeResolution"sectionofthisAgreement,tobeheldatthelocationalsospecifiedtherein.11.3法律适用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinthe"GoverningLaw"sectionofthisAgreement.第十二条保密条款12.1保密信息范围ThepartiesagreetomaintaintheconfidentialityofallproprietaryandconfidentialinformationsharedbetweentheminconnectionwiththisAgreement,asdefinedinthe"Confidentiality"sectionofthisAgreement.12.2保密期限Thepartiesagreethattheconfidentialinformationshallbemaintainedinconfidencefortheperiodspecifiedinthe"Confidentiality"sectionofthisAgreement,orforsuchlongerperiodasrequiredapplicablelaw.12.3保密违约责任IntheeventofabreachoftheconfidentialityobligationsunderthisAgreement,thebreachingpartyshallbeliableforanydamagessustainedtheotherpartyasaresultofsuchbreach,asspecifiedinthe"Confidentiality"sectionofthisAgreement.第十三条不可抗力13.1不可抗力事件的认定Aneventofforcemajeure,asdefinedinthe"ForceMajeure"sectionofthisAgreement,shallbeconsideredaneventbeyondthecontrolofthepartiesandshallnotbedeemedabreachofthisAgreement.13.2不可抗力事件的后果处理第十四条其他条款14.1合同的补充条款ThisAgreementmaybesupplementedadditionaltermsandconditionsagreeduponthepartiesinwriting,whichshallbeattachedtothisAgreementasanaddendumandshallbeconsideredpartofthisAgreementforallpurposes.14.2合同的修改和第二部分：第三方介入后的修正15.1第三方概念界定ForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnottheDesignerortheContractor,andthatisinvolvedintheperformanceoftheservicesorobligationsunderthisAgreement.15.2第三方介入情形IntheeventthataThirdPartyisengagedeithertheDesignerortheContractortoperformanypartoftheservicesorobligationsunderthisAgreement,suchThirdPartyshallbedeemeda"ParticipatingThirdParty"forthepurposesofthisAgreement.15.3第三方责任限制AParticipatingThirdPartyshallberesponsiblefortheperformanceoftheservicesorobligationsdelegatedtoittheDesignerortheContractor,andshallbeliableforanydamagesorlossesarisingfromitsfailuretoperformsuchservicesorobligationsinaccordancewiththetermsofthisAgreement.15.4第三方权益保护TheDesignerandtheContractorshallnotdirectlycontractwithaParticipatingThirdPartyormakeanypaymentstoaParticipatingThirdPartywithoutthepriorwrittenconsentoftheotherparty.15.5第三方违约处理IntheeventofabreachofthisAgreementaParticipatingThirdParty,theDesignerandtheContractorshalltakeallnecessarystepstomitigatetheeffectsofsuchbreachandtoenforcethetermsofthisAgreementagainsttheParticipatingThirdParty.15.6第三方权益的转让AParticipatingThirdPartymaynotassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheDesignerandtheContractor.15.7第三方保险要求15.8第三方合规性15.9第三方与甲乙方的关系TherelationshipbetweenaParticipatingThirdPartyandtheDesignerortheContractorshallbethatofanindependentcontractor,andneitherpartyshallhaveanyauthoritytobindtheotherpartyinanymanner.15.10第三方与甲乙方之间的争议解决IntheeventofadisputebetweenaParticipatingThirdPartyandtheDesignerortheContractor,suchdisputeshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisAgreement,asiftheParticipatingThirdPartywereapartytothisAgreement.15.11第三方责任限额TheliabilityofaParticipatingThirdPartyunderthisAgreementshallbelimitedtotheextentoftheinsurancecoveragemaintainedsuchParticipatingThirdPartyandshallnotexceedtheamountspaidtheDesignerortheContractortosuchParticipatingThirdPartyfortheperformanceoftheservicesorobligationsunderthisAgreement.15.12第三方退出AParticipatingThirdPartymaywithdrawfromtheAgreementuponwrittennoticetotheDesignerandtheContractor,providedthatsuchwithdrawaldoesnotcauseabreachofthisAgreement.15.13第三方与甲乙方之间的合同AParticipatingThirdPartymayenterintoseparatecontractswiththeDesignerortheContractor,providedthatsuchcontractsdonotconflictwiththetermsofthisAgreementandareapprovedinwritingtheotherparty.15.14第三方与甲乙方之间的沟通15.15第三方与甲乙方之间的保密义务AParticipatingThirdPartyshallmaintaintheconfidentialityofallproprietaryandconfidentialinformationsharedwithittheDesignerortheContractorinconnectionwiththisAgreement,inaccordancewiththeconfidentialityprovisionsofthisAgreement.第三部分：其他补充性说明和解释说明一：附件列表：附件一：设计方案包括但不限于设计图纸、设计说明书、设计效果图等，用以明确设计范围和内容。附件二：施工方案包
