子公司知识管理与传播合同编号：__________KnowledgeManagementandDisseminationAgreementRecitals:WHEREAS,theCompanyisengagedinthebusinessof__________andhasdevelopedcertainknowledge,information,andtechnologythatarevaluableassetsoftheCompanyanditsSubsidiaries(collectively,the"Knowledge");WHEREAS,theSubsidiarydesirestoaccessandusetheKnowledgeforthepurposeofenhancingitsoperationsandimprovingitsbusinessperformance;WHEREAS,theCompanyiswillingtogranttheSubsidiaryalimitedlicensetoaccessandusetheKnowledge,subjecttothetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.GrantofLicense1.1Grant.SubjecttothetermsandconditionsofthisAgreement,theCompanyheregrantstotheSubsidiaryanonexclusive,revocable,andnontransferablelicensetoaccessandusetheKnowledge,inaccordancewiththeproceduresandguidelinesestablishedtheCompany.1.2ScopeofLicense.ThelicensegrantedunderthisAgreementshallentheSubsidiaryto:(a)AccessandusetheKnowledgeforthepurposeofenhancingitsoperationsandimprovingitsbusinessperformance;(b)SharetheKnowledgewithitsemployees,consultants,andotherauthorizedrepresentativeswhohaveaneedtoknowsuchinformationforthepurposeofperformingtheirdutiesinconnectionwiththeSubsidiary'sbusiness;(c)ReproduceanddistributetheKnowledgeinternallywithintheSubsidiaryforthepurposeofimplementingtheKnowledgeintheSubsidiary'sbusinessoperations;and(d)Developandimplementanyimprovements,modifications,orenhancementstotheKnowledgethatarederivedfromtheSubsidiary'suseoftheKnowledge,providedthatsuchimprovements,modifications,orenhancementsshallbeownedtheCompany.1.3Limitations.ThelicensegrantedunderthisAgreementshallbelimitedasfollows:(a)TheSubsidiaryshallnotusetheKnowledgeforanypurposeotherthanenhancingitsoperationsandimprovingitsbusinessperformance;(b)TheSubsidiaryshallnotdisclosetheKnowledgetoanythirdpartywithoutthepriorwrittenconsentoftheCompany;(c)TheSubsidiaryshallnotmodify,alter,ordeleteanypartoftheKnowledge;(d)TheSubsidiaryshallnotsublicenseortransferthelicensegrantedunderthisAgreementtoanythirdparty;and2.ProtectionofKnowledge2.1Confidentiality.TheSubsidiaryshallmaintaintheconfidentialityoftheKnowledgeandshallnotdiscloseanyconfidentialinformationrelatedtotheKnowledgetoanythirdparty,exceptasrequiredapplicablelaworregulation.2.2IntellectualPropertyRights.TheCompanyshallretainallright,,andinterestinandtotheKnowledge,includingallassociatedintellectualpropertyrights.TheSubsidiaryshallnotclaimanyownershiporotherinterestintheKnowledge.3.TermandTermination3.2Termination.eitherpartymayterminatethisAgreementatanytimeforanyreasonuponwrittennoticetotheotherparty.4.Indemnification4.1Indemnification.TheSubsidiaryshallindemnifyandholdharmlesstheCompanyagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorney'sfeesandcosts)arisingoutoforinconnectionwiththeSubsidiary'suseoftheKnowledge,excepttotheextentsuchclaims,losses,damages,liabilities,andexpensesaredirectlycausedtheCompany'sbreachofthisAgreement.5.Miscellaneous5.1GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionof__________.5.2EntireAgreement.ThisAgreement(includingtheexhibitshereto)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,一、附件列表：1.KnowledgeManagementandDisseminationAgreement2.Company'sKnowledgeDocumentation3.Subsidiary'sOperationalProcedures4.IntellectualPropertyRightsDocumentation5.ConfidentialityandNonDisclosureAgreement6.IndemnificationAgreement7.anyotherdocuments,exhibits,orschedulesthatareattachedheretoandmadeapartofthisAgreement.二、违约行为及认定：1.Failuretomaintainconfidentiality:IftheSubsidiarydisclosesanyconfidentialinformationrelatedtotheKnowledgetoanythirdpartywithoutthepriorwrittenconsentoftheCompany.2.UnauthorizeduseofKnowledge:IftheSubsidiaryusestheKnowledgeforanypurposeotherthanenhancingitsoperationsandimprovingitsbusinessperformance.3.Modificationoralteration:IftheSubsidiarymodifies,alters,ordeletesanypartoftheKnowledge.4.Sublicensingortransfer:IftheSubsidiarysublicensesortransfersthelicensegrantedunderthisAgreementtoanythirdparty.三、法律名词及解释：1.Knowledge:ValuableassetsoftheCompanyanditsSubsidiaries,includinginformation,technology,andintellectualproperty.2.Confidentiality:Theobligationtokeepcertaininformationsecretandnotdiscloseittounauthorizedparties.3.IntellectualPropertyRights:Legalrightsgiventoindividualsandorganizationsfortheirinventions,literaryandartisticworks,andotherintellectualactivities.5.GoverningLaw:Thelawthatappliestoalegaldisputeorcontract.四、执行中遇到的问题及解决办法：2.Disputeoverintellectualpropertyownership:ThepartiesshouldrefertotheIntellectualPropertyRightsDocumentationtoresolveanydisputesregardingownershipoftheKnowledge.3.Breachofconfidentiality:Ifabreachofconfidentialityoccurs,theaffectedpartyshouldprovidewrittennoti
