**ContractforResearchandDevelopmentServices**

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'slegalentitytype]withaprincipalplaceofbusinessat[InsertClient'saddress],and[InsertDeveloperName]("Developer"),a[InsertDeveloper'slegalentitytype]withaprincipalplaceofbusinessat[InsertDeveloper'saddress].

**Recitals**

WHEREAS,theClientdesirestoengagetheDevelopertoperformcertainresearchanddevelopment(R&D)services(the"Services")inaccordancewiththetermsandconditionssetforthherein;and

WHEREAS,theDeveloperiswillingtoperformtheServicesonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

**Article1:Services**

1.1TheDevelopershallperformtheServicesfortheClientinaccordancewiththetermsandconditionssetforthinthisContract.

1.2TheServicesshallinclude,butnotbelimitedto,[InsertdetaileddescriptionofServices].

1.3TheDevelopershallusereasonableeffortstocompletetheServiceswithinthetimeframesspecifiedbytheClient,buttimeshallnotbeoftheessenceintheperformanceoftheServicesunlessspecificallystatedotherwiseinthisContract.

**Article2:PaymentTerms**

2.1TheClientshallpaytheDeveloperthefeesfortheServicesassetforthintheattachedScheduleA(the"FeeSchedule").

2.2PaymentshallbemadebytheClienttotheDeveloperwithin[Insertnumberofdays]daysafterthereceiptofaninvoicefromtheDeveloper.

2.3TheFeeSchedulemaybeamendedfromtimetotimebymutualagreementoftheparties.

**Article3:Confidentiality**

3.1TheDevelopershallkeepconfidentialallinformationconcerningtheClient'sbusiness,operations,andaffairsthatisdisclosedtotheDeveloperbytheClient,including,butnotlimitedto,anyproprietaryortradesecretinformation(collectively,the"ConfidentialInformation").

3.2TheDevelopershallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheServicesunderthisContract.

3.3TheDevelopershallnotdisclosetheConfidentialInformationtoanythirdpartywithouttheClient'spriorwrittenconsent.

**Article4:IntellectualProperty**

4.1Anyintellectualproperty(IP)rightsarisingoutoforrelatedtotheServices(IP")shallbeownedbytheClient.

4.2TheDevelopershallassigntotheClientallright,title,andinterestinandtotheIP,includingallassociatedpatents,copyrights,trademarks,andtradesecrets.

4.3TheDevelopershallexecutealldocumentsandtakeallotheractionsnecessarytoeffectuatetheassignmentoftheIPtotheClient.

**Article5:TermandTermination**

5.1ThisContractshallcommenceontheEffectiveDateandshallcontinueforatermof[Insertnumberofmonths/years](the"Term").

5.2eitherpartymayterminatethisContractatanytimeforanyornoreasonuponwrittennoticetotheotherparty.

5.3uponterminationofthisContract,theDevelopershalldelivertotheClientallworkproductandotherdeliverablespreparedinconnectionwiththeServices,andtheClientshallpaytheDeveloperforallServicesperformedpriortotheterminationdate.

**Article6:Miscellaneous**

6.1ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

6.2ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

6.3AnyamendmentormodificationofthisContractoradditionalobligationassumedbyeitherpartyinconnectionwiththisContractshallbebindingonlyifevidencedinwritingsignedbyeachpartyoranauthorizedrepresentativeofeachparty.

6.4Ifanyterm,provision,covenant,orconditionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,void,orunenforceable,theremainderoftheprovisionsshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.

6.5ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Insertstateorcountry],withoutregardtoitsconflictoflawsprinciples.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasoftheEffectiveDatefirstabovewritten.
